WHEREAS:
A. MOBILE VOYAGE MY SDN BHD is in the business of distributing and selling OrderPin and its products (“OrderPin”).
B.The Client wishes to purchase OrderPin from MOBILE VOYAGE SDN BHD, and MOBILE VOYAGE SDN BHD is agreeable
to sell OrderPin to the Client, on the terms set out in this Agreement.

1. Sales Product
1.1. The Product name is OrderPin.
1.2. Definition
OrderPin, a F&B industry system solution (SaaS), is a leading restaurant technology solution enabling customers to better
manage F&B business, while bringing consumers a superior dining experience.

2. Obligations
2.1. Party A
2.1.1. Comply with the contract terms.
2.1.2. Make sure the device is set up and connected to OrderPin.
2.1.3. Take photos of all food and upload the OrderPin dashboard.
2.1.4. Make up table stickers provided by MOBILE VOYAGE SDN BHD.
2.2. Party B
2.2.1. Comply with the contract terms.
2.2.2. Provide OrderPin manual training and set up guidance.
2.2.3. Provide OrderPin Account and dashboard.
2.2.4. Provide solutions and timely feedback once Party A has issues.
2.2.5. Promote and publicize through the OrderPin platform and related channels, guide consumers to Party A and attract
consumers to cooperative merchants, to increase sales.

3. Payment Terms
3.1. The Client shall pay for the OrderPin in accordance with the terms contained in OrderPin Rates as agreed or designated with
MOBILE VOYAGE MY SDN BHD on a case-to-case basis.
3.2.If any payment made under this Agreement is subject to withholding tax or deduction on the account of such taxes, the sum
payable shall be increased to such sum as will ensure that after such withholding or deduction on the account of taxes (and after
giving credit for any tax relief available to the recipient in respect of the matter giving rise to the payment) the recipient shall be
left with a sum equal to the sum that it would have received in the absence of such withholding or deduction.

4. Term & Termination

4.1. This Agreement will commence on the Agreement Date for a term of 1 year (the “Agreement Date”).
4.2. At the end of each Agreement Term, this Agreement will be automatically renewed for a further 1-year period on the same
terms unless either Party gives the other Party written notice of its intention to terminate this Agreement no later than 1 month
before the end of each Agreement Term.
4.3. Either Party may terminate this Agreement at the end of agreements date prior written notice to the other Party.

5. Confidentiality
5.1. Both parties shall (i) keep all Confidential Information confidential and accordingly not disclose any Confidential Information
to any other person; and (ii) not use any Confidential Information for any purpose other than the performance of the obligations
under this Agreement.

6. Dispute Resolution
6.1.Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or
termination, shall be referred to and finally resolved by arbitration administered by an internationally recognized independent
arbitrator or tribunal to be agreed upon between the Parties, with the seat of arbitration to also be determined by mutual agreement
between the Parties. In the event that Parties are unable to agree on any of the particulars of the arbitration after using reasonable
efforts to negotiate in good faith, either Party may commence legal action in a court with jurisdiction.
6.2. Any arbitral award will be final and binding upon each Party and each Party shall comply with such award. Each Party agrees
that the arbitral award may be enforced against any Party or their assets wherever they may be found and that a judgment award
may be entered in any court having jurisdiction over such assets.
6.3. Performance of this Agreement shall (subject to any other clause to the contrary in this agreement) continue during the course
of arbitration proceedings save for the elements over which the Parties are undergoing arbitration.

Remark:
1. The Promotion Rate will be calculated from the date of deployment. If it is not deployed within weeks
after signing due to Party A reasons, it will be calculated from 14 days after signing the contract.
2. Every additional normal sticker will be charged PHP .
3. The balance must be paid on the day of deployment, otherwise your OrderPin accounts will be freeze and all devices
will be withdrawn.
4. All Payment is not refundable.
