Whenever both contracting parties are the intended audience of the communication, they shall be referred as
Either Party or Both Parties in this agreement.

PREAMBLE
Based on the desire and will of the two parties to establish a mutual collaboration relationship to enhance their
mutual common interests through the exchange of services and benefits.
Therefore, the parties met and the agreement between them was made while they were within legal and regulatory
capacity, and they agreed to implement this MOU according to the following terms:

1. The parties acknowledge abiding by and acting on the terms of this MOU and to the validity of their
signature.
2. The Parties have the necessary power and approval to enter this MOU.
3. The Parties warrant that they are not aware of anything in their reasonable control which will or could hurt
their ability to perform their respective obligations under this MOU.

OBJECTIVES OF THE MOU

The two parties agree to cooperate as follows:
1. The objectives of this memorandum are to establish the principles of cooperation sought by the parties in
order to strengthen their business relationship.
2. Every effort is made to encourage continued cooperation between the two parties.
3. Party A to add Party B as a partner for affiliate/Influencer in the XXXXXXXXXXXXXX market.
4. If Party B is involved in the business development and client relationship process, the revenue share from
Party A to Part B will be 10% of revenue.
5. For retainership contracts the revenue share from Party A to Party B will be 5%, as long as the relationship
is active.
6. In case of referral only revenue sharing from party B to A is based on the following:
6.1. For Shopify, Magento, mobile or custom application projects the percentage will be 10%.
6.2. For Tech support/AMC it will be 5%, as long as the relationship is active.
6.3 For UnumPay referral the percentage will be10% (One time)
6.4 For MyAlice referral the percentage will be 5%. (One time)

7. In other circumstances, Both Parties will mutually decide the shared revenue of each party based on the
involvement in the project. In such a case Party A will share reasonable financial proposals against the
project/engagements shared by Party B.

EXPENDITURE
1. Any expense spent by one of the parties under this MOU will be at their expense unless otherwise provided
in the Annex to this MOU.

USE OF A NAME OR LOGO

1. No party may use or display the name or logo to the other party without the owner's prior consent of the
name or logo.

CONFIDENTIALITY

1. Any kind of applications, software, codes, programs, training, documents, information and materials
disclosed in writing, orally or electronically by either party shall be within the scope of confidential
information and non-disclosure obligation.
2. Either party shall use the confidential information according to and limited by its own purpose of sharing.
No party shall disclose it fully or partially to any other natural or legal person for any reason without the
written consent of the other party.
3. Either party can only share confidential information with its employees if necessary as a matter of course,
and with the third parties in cooperation relating to the Agreement, provided that such employees and
third parties shall be informed and warned of such a situation.
4. The situations where the confidential information becomes public by any other person or without any
negligence of Either party, where it is compulsory to disclose due to the law or judicial or administrative
proceedings, where the confidential information has already been public, shall not be within the scope of
confidential information and non-disclosure.

INTELLECTUAL PROPERTY RIGHTS

1. Either party shall take the intellectual and moral property rights owned by the other party into
consideration and shall not violate them under any circumstances.

4. Any communications related to this memorandum shall be in writing, and it shall be sent to the two parties
or who are their duly authorized representatives by a formal letter approved by both parties.

DURATION OF THE MOU

1. This MOU shall enter effect after its signature by both parties and extend to 1 year. It may be extended or
modified after the two relevant parties discuss this to reach the final and formally approved consent.

RENEWAL AND RESUMPTION OF WORKS

1. If this MOU is not renewed, the two parties should continue working on performing and fulfilling the
mutual contracts and the obligations that arise from them according to the terms of this memorandum until
its fulfillment comes to an end, and this shall be agreed on by a formal letter in which the details of the
contract are defined and both parties approve the expiry period.

TERMINATION OF THE MOU

1. Either Party may terminate this MOU after notifying the other party [30] days in advance.

DISPUTES
1. The disputes related to this memorandum shall be resolved through negotiations.
2. This MOU shall be governed in all respects by the laws of UAE.

OTHER PROVISIONS
1. The failure of any party to enforce at any time any of the provisions of this MOU shall in no way be
construed to be a waiver of such provision, nor in any way to affect the validity of this MOU or any part
hereof.
2. No party shall assign or in any way transfer its rights or obligations arising out of the present MOU without
obtaining the prior written consent of the other party.
3. All notices to be given under this MOU shall be in writing and be deemed properly given upon dispatch by
registered or certified mail to the two parties' address as set forth above or to such other address as the
parties may subsequently designate.
4. Any modification to this MOU shall be agreed upon by mutual consent of Both Parties and shall be
formalized in writing, specifying the date they will come into force.
5. This MOU shall constitute the agreement between the two parties concerning the subject hereof and
supersedes all prior discussions, agreements and understandings between the parties relating to the same
subject matter, whether oral or written.
