Acceptance of the guidelines for the Code of Conduct Tata
Pigments Business Associate’s Code of Conduct:
The Tata Code of Conduct (TCOC) represents the values and core principles that guide the conduct of every Tata
business. At the Tata Group, we are committed to improve the quality of life of the communities we serve
globally through long-term stakeholder value creation based on ‘Leadership with Trust’. Tata Pigments Ltd
(TPL) has epitomized the true spirits of Ethics in its interactions with all its stakeholders be it the Customers,
Suppliers, Employees, Shareholders, the Government or the Society at large.
TPL follows the Tata Code of Conduct (TCOC) globally and expect all Suppliers to adhere to the same principles
of TCOC.
“Business Associate” here means suppliers, customers, vendors, dealers, distributors, franchisees, lessors, lessees
or such other persons with whom Tata Steel has any business or transactional dealings including the Business
Associate’s employees, agents and other representatives.
1. Products & Services:
The Suppliers shall be committed to supplying products and services of high quality that meet all
applicable standards. The products and services offered shall comply with applicable laws, including
product packaging, labelling and after-sales service obligations. The Supplier shall market its products
and services on their own merits and not make unfair or misleading statements about the products and
services of competitors.
2. Regulatory Compliance
The Supplier shall comply with all applicable laws and regulations, both in letter and in spirit, in
all the territories in which it operates.
3. Bribery & Corruption:
The Supplier shall not engage in any form of bribery or corruption.
4. Money Laundering :
We shall not involve in any money laundering activities or whether by deemed conversion
of illegally gained money or whether directly or indirectly, even where the involvement
may be unintentional in the conduct of our \ operations and business activities.
5. Human Rights:
a) The Suppliers shall not employ children at their workplaces.
b) The Suppliers shall not use forced labour in any form.
6. Gifts & Hospitality:
Business gifts and hospitality are sometimes used in the normal course of business activity. However,
if offers of gifts or hospitality (including entertainment or travel) are frequent or of substantial value,
they may create the perception of, or an actual conflict of interest or an ‘illicit payment’. Therefore,
gifts and hospitality given or received should be modest in value and appropriate, and in compliance
with TPL’s Gifts and Hospitality policy.
The Suppliers shall neither receive nor offer or make, directly or indirectly, any illegal payments,
remunerations, gifts, donations or comparable benefits that are intended, or perceived, to obtain
uncompetitive favors for the conduct of its business with TPL.
7. Health & Safety:
The Suppliers shall strive to provide a safe, healthy and clean working environment for its
employees.

8. Environment:
The Supplier shall strive for environmental sustainability, particularly about the emission of greenhouse
gases, consumption of water and energy and the management of waste and hazardous materials. The
Supplier shall endeavor to offset the effect of climate change in its activities.

9. Conflict of Interest:
The Supplier shall not engage into a financial or any other relationship with a TPL employee that
creates any actual or potential conflict of interest for TPL. The Supplier understands that a conflict of
interest arises when the personal interests of the TPL employee are inconsistent with the responsibilities
of his/her position with the company. All such conflicts must be disclosed. Even the appearance of a
conflict of interest can be damaging to TPL and to the Suppliers, and are to be disclosed and approved
in advance by TPL management.

10. Third Party Representation:


a) The Supplier shall represent our company (including Tata brand) only with
duly authorized written permission from our company. They are expected to abide by the
Code in their interactions with, and on behalf of us, including respecting the
confidentiality of information shared with them.

b) The Supplier shall safeguard the confidentiality on the use of intellectual property and
data of TPL.

11. Protecting Company Assets:

The assets of TPL shall not be misused; they shall be employed primarily and judiciously for conducting the
business for which they are duly authorized. These include tangible assets such as equipment and machinery,
systems, facilities, materials and resources as well as intangible assets such as proprietary information and
intellectual property.

12. Reporting Violations:


The Supplier shall notify TPL regarding any known or suspected improper behavior by the supplier relating to
its dealings with TPL, or any known or suspected improper behavior by TPL employees by email to:
nidhi@tatapigments.co.in Reported violations will be treated confidentially without retaliation.
We hereby confirm that we have received the TPL Supplier Code of Conduct and
commit to comply with it in letter and in spirit. We are also aware that these
clauses/provisions form an integrated part of Suppliers agreement, signed with TPL.
We understand that TPL reserves the right to check compliance with the
requirements of Supplier Code of Conduct.
We understand that TPL encourages its Suppliers to implement their own binding
Code of Conduct and agree that we will be responsible for complying obligations
under this code. Failure to adherence to this code would attract the disciplinary
consequences.

Acceptance of Guidelines for SA 8000


SA 8000 Compliance:
(Note: Tata Steel being a responsible corporate citizen would expect its business partners to comply
with SA8000 requirements. Please refer to SA8000 standard for details of clauses
&requirements)
1. We do not engage or support engagement of Child Labor (i.e. persons less than 18 years
ofAge)
2. We do not use or support the use of forced or compulsory labor. We ensure right of
personnel to leave premises after workday and ensure freedom to quit employment as
and when desired.
3. Weensure providing a safe and healthy workplace and work towards prevention of
potential occupationalaccidents.
4. We respect the right of personnel to form and join trade unions and bargain collectively
and ensure no discrimination is done against personnel engaged in worker
organizations.
5. We ensure that no discrimination is done based on race, national or social origin, caste,
birth, religion, disability, gender, sexual orientation, union membership, political
opinions and age.
6. We treat all personnel with dignity and respect; there is no evidence of corporal
punishment, mental or physical abuse of personnel.
7. We ensure compliance with laws & industry standards on working hours- normal
workweek, notincluding overtime, shall not exceed 48 hours.
8. Weensure all personnel are paid at least legal minimum wage; wages and benefits are
clearly communicated to them and paid in a convenient manner and overtime, if any is
paid at premium rate.
9. The Company has systems for monitoring the requirements as given above from Step 1
to 8, analyzing and taking corrective actions.

SA 8000 in letter and in spirit.
