1. Objective

The objective of this MOU is to express the willingness of both parties to engage in an
effort to promote and develop the existing network & competitiveness of each other by
providing and sharing their resources to achieve a joint profitable venture.

WHEREAS, the Parties desire to enter into an arrangement whereby Party A and Party B
will share the profits realized from the maturity of the deal due to the joint efforts
according to the terms and conditions herein.

2. General Terms of MOU

Duration of MOU: This MOU shall be operational upon signing and will have an initial
duration of one (1) year. All activities conducted before this date within the vision of the joint
collaboration will be deemed to fall under this MOU.

Termination of MOU: The partnership covered by this MOU shall terminate upon
completion of the agreed upon period. The agreement may also be terminated with a written
one-month notice from either side. In the event of non-compliance or breach by one of the
parties of the obligations binding upon it, the other party may terminate the agreement with
immediate effect.

Extension of Agreement: The MOU may be extended provided the parties agree
upon, and can provide the necessary resources.

Addendum: Any Addendum to this MOU shall be in writing and signed by both parties.

3. Other Provisions

RGHTS & RESPONSIBILITIES F PARTIES

 The Parties of this MOU are going to faithfully share sources and introduce strategic partners to
each other, Therefore; Party A and Party B of this MOU are not allowed to establish a direct
partnership or a company establishment with a third party within other’s Party shared or
introduced network unless the introducer party has given a written permission for that.. For
compliance and at any conflict; the respective party who claims that this third party is already
one of his independent networks must proof that once a new introduction occurred. Otherwise
he will be considered satisfied to enroll the new third party into the common network where
this MOU provisions apply.
 The parties will be independent and free to make any agreement or partnership outside each
other’s network.

  The parties will show transparency while dealing in mutually agreed business, all documentation
and paper works must be declared upon asking or whenever required.
 To perform research and other prospecting duties with regards to potential business deals.
 To complete paperwork as needed.
 To perform other such duties and services required to accomplish the aims of this Agreement in
the time, place, and manner deemed appropriate by the Parties.
 Violating the terms mentioned above, respective Party will bear penalty of at least USD 10,000
or equivalent to be paid for the other party as the minimum reimbursement.

PROFIT SHARE.

 The Parties shall be entitled to share the mutually agreed profits earned from closed deals.
 Such share of profit or commission shall be fixed in writing prior to the confirmation of each
deal.
 Both Parties will not have any profit share and involvement in other’s existing business.
 Each Party’s share in mutual deals will be only up to the extent of their involvement &
participation in the business.

CONFIDENTIALITY.

The Parties shall not, in any form, or manner, either directly or indirectly:

 Disclose or communicate to any party any information relating to the Company’s business or the
Product including (but not limited to) customer lists, price points, or marketing plans (the
“Confidential Information”);
 Duplicate any Confidential information;
 Use any Confidential Information other than solely for the benefit of this agreement; or
 Assist a third party in using any Confidential Information in any manner but solely for the benefit
of this Agreement.

APPLICABLE LAW.

This Agreement and the interpretation of its terms shall be governed by and construed in accordance
with the laws of the State of incorporation of each parties and subject to the exclusive jurisdiction of the
federal and state courts of the same.

The terms and provisions in this MOU also apply to any subsequent Addendum to this agreement.

IN WITNESS WHEREOF, the parties hereto have executed this MOU on the 17. 09. 2020.
