Subject: Architectural Consultancy Proposal - Full Time

Dear Mr. Uy,

As discussed, I would like to present to you my proposal regarding the architectural

consultancy to your company. Below are the details:

I. SCOPE OF WORK

A. CONSULTING RELATIONSHIP. During the term of this Agreement,

CONSULTANT will provide the COMPANY services as required and specified by
the Board of Directors or the Chief Executive Officer (CEO) of the COMPANY
from time to time (“the SERVICES”). CONSULTANT shall use his best efforts to
perform the SERVICES such that the results are satisfactory, compliant and
acceptable to the COMPANY. CONSULTANT shall conduct site visits and attend
site coordination meetings and project inspections FIVE (5) times a week
equivalent to at least FORTY (40) hours per week.

B. CONSULTANT shall, in addition to the services required in Item A, provide the

following architectural services in PROJECT SITE to the COMPANY:

Primary

1. Coordination with the project architect;

2. Architectural plan and details evaluation;
3. Allied engineering plan and details evaluation;
4. Architectural and allied engineering drawing production monitoring;
5. Provide technical support for the projects;
6. Review of technical specifications, materials selection and cost analysis;
7. Coordination with all other consultants for the project;

 8. Conduct regular inspection of the project premises, project plan production
schedule monitoring and ensuring compliance with the overall project
schedule.
9. Organize and evaluate bidding documents.
10. Oversee construction requirements of the project.

Secondary:

11. Provide assistance to COMPANY’s design department to develop a standard in

drawings and documentation;
12. Provide assistance to the COMPANY to develop project planning skills, project
evaluation and construction methodology;
13. Provide assistance to the COMPANY to develop a design-working
environment;
14. Such other tasks as may be deemed necessary or in the interest of the
SERVICE. Provided however that any SERVICE to be performed by
CONSULTANT shall be agreed between the parties.

II. PROFESSIONAL FEE

For and in consideration of CONSULTANT’s services to be rendered as generally

outlined above, COMPANY shall pay CONSULTANT a monthly of (payable on or
before the 15th day of each calendar month):

PHILIPPINE PESO: ONE HUNDRED FIFTY THOUSAND (PhP 150,000.00)

Non - VAT, subject to 15% EWT.

III. OTHER EXPENSES AND OR EXCLUSIONS

Subject however to prior written notice and approval from the COMPANY, additional
on site-visits in excess of the required number of days in a month will be chargeable
to the COMPANY in the amount of not more than PHILIPPINE PESO: FIVE
THOUSAND (PhP 5,000.00) net per day. The said amount already includes meal
allowance and other out-of-pocket expenses, fees and charges.

For COMPANY required out-of-town trips (outside Manila), bookings for
transportation, toll fees, gas allowance and hotel accommodation shall be done by
and for the account of the COMPANY. Any allowances for transportation and
accommodation shall be subject to proper liquidation.

CONSULTANT shall not be authorized to incur on behalf of the COMPANY any

expenses without the prior written consent of the COMPANY’s Chief Executive Officer
(CEO) or Administration and Finance. As a condition to receipt of reimbursement,
CONSULTANT shall be required to submit to the COMPANY proper supporting
documents to prove that the amount involved was expended and related to the
SERVICES. Further, any reimbursement shall be subject to the limits and must be
processed in accordance with COMPANY guidelines and restrictions usually imposed
to other consultants.
