TIDS LEASE AGREEMENT is made between

WHEREAS
The Lessor agrees to let on and the Lessee agrees to take on lease a part ofMONIA Apartment building located
th
on 5 floor shown as unit number 503, hereinafter referred to as "Leased ro_om" which is a part of the spaces
designated for leasing for residential purposes.
THEREFORE, both parties hereto make a lease agreement in the following Term.
1. The Lessor agrees to let on and the Lessee agrees to take on the Lease room as specified above at the rental
and service payments at US$1600 (One Thousand Six Hundred US Dollars) per month. This rental fee is
inclusive of VAT YO%. The Lessee, athls own cost, shall not be responsible for Wilhholdingtax (TO%) and
Fringe Benefit tax
if applicable.
2. In case the tenant overstays his/her lease agreement but .not longer than one month, the tenant will be charged an
additional US$65 (Sixty Five US Dollars) per day.
3. The date on which this Agreement enters :into force, the Lessee agrees to place the rental and service payment of
one (01) month(s) equaling the amount of US$ 1600 (One Thousand Six Hundred US Dollars) as a Security
Deposit. .

5. General Condition of Lease Agreement, Project announcement and attachments whereof shall be considered as
parts of this Agreement.
THIS AGREEMENT is made in duplicate, each of equal tenor and·effect. Both parties have read and understood
the provisions hereof and deemed them to be true to their intents. Therefore, in testimony whereof the parties have
hereunder signed their name hereunder in the presence of witnesses, each retaining one copy of the Agreement.

GENERAL CONDITION

LEASE AGREEMENT
(GCA)
'G£N£RAL-CONDITION ofLEASE AGREEMENT (GCA)
GCA.1- Definition
L MONIA Apartment is referred to the Building (defined below) incorporated under the
management ofMONIA Investment Co,, Ltd,
2, "Building" or "Property" means the building and structures located at #13, Street 302, Sangkat
Boeung Keng Kang1, Khan Chamkamorn, Phnom Penh, 12302, Cambodia,
3, "Term" or "Terms" means the terms and conditions stated in the Lease Agreement, GCA and
other attachments,
4, "Premises" or "Leased room" means the space of a part of the Building shown by its unit number
as specified whereof in the Lease Agreement renting to the Lessee for residential purpose.
5. "Contents" means all furniture, equipment, furnishings and other items set out in the Inventory
List attached to this Agreement as Annexure 1.
GCA.2-General Agreement
The Lessor lets to the Lessee the Premises for the Term. Upon the expiration of the Term the Lessee
shall restore the Premises to its original condition either ordinary (fair wear and tear excepted), and
return it to the Lessor in accordance with GCA.13.
GCA.3-Rent
The Lessee agrees to pay the rental and service payment per month (inclusive of management charge)
to the Lessor in the first week of every calendar month.
Unless otherwise agreed between the parties, the Rent includes following services and furnishings:-

3 Complete Furniture in Room/Living room

5 DVD Player
6 Safety Box
7 Complete Kitchenette Set

9 Refrigerator
10 Washing Machine
11 Water Usage Supply by the State
12 Usage of Rooftop Swimming Pool from 6:00AM to 21:30PM
13 Usage of Fitness-Room from 6:00AM to 21:30PM
14 24 Hours Reception
15 24 Hours Security Guard

Unless otherwise agreed between the parties, the Rent excludes following items:-
1 Telephone Charges (at the prevailing State rate plus VAT 10%)
2 Electricity Charge $0.25/kwh
3 Value Addition Tax 10%

The Rent is payable in advance between the 01st to 07th of every caiendar month without deduction
whatsoever, the first of such payments to be made upon the signing of tbe Lease Agreement. If the
Lessee makes default in payment of Rent for seven (7) business days or more, he shall on demand
made by the Lessor to pay interest on all arrears of Rent at the rate of five (5) per cent per month
calculated from the date on which the same becomes due for payment until the date of actual payment.
All payments shall be made in Local Currency or United States Dollars only.
GCA.4- Renewat of Lease Agreement

Any renewal of the Lease Agreement will be at open market rent value. Open market rental value will
be calculated through benchmarking and negotiation. The Lessee shall give at least (one) months'
written notice to the Lessor prior to the expiry date of the Term of its intention to renew the Lease
Agreement.

The Lessor and the Lessee agree that the Rent can only be revised by mutual written agreement of the
parties to the Lease Agreement.
GCA.5- Secnrity Deposit

Upon signing of the Lease Agreement, the Lessee shall pay to the Lessor a sum amount of
Security Deposit. The Security Deposit is for securing the full performance of its contractual
obligation throughout the Terms of the Lease Agreement and any damage or indemnity which might
occur to the Lessor. This amount of money shalt not be considered as an advancedrentatpayment. The
overdue on any public utilities (electrical, water, telephone, and other expenses relating to the use
of the Leased room) including the full compensation for any damage occurring to furniture installed in
the Premises will be deducted from the Security Deposit.

The Lessor agrees to return such Security Deposit to the Lessee within seven (7) days after the
termination of the Lease Agreement. The Lessor shall have the right to forfeit the Security Deposit in
case the Lessee terminates the Lease Agreement before the expiration date.
GCA.6- Status

The Lessee shall occupy the Premises as tenant only. Possession of the Premises is retained by the
Lessor who shall have unrestricted access to the Premises SUBJECT however to the reasonable prior
notice, the rights and privileges hereby granted to the Lessee and SUBJECT ALSO TO other
11rovisions of !!he Lease Agreement. 'f'he 'benefit of \he Lease Agreement is persona to the Lessee
and shall not be capable of being assigned or otherwise disposed of.
GCA.7- Use

The Lessee shall not use the Premises for any purpose other than as a private residential unit and shall
not keep upon any part of the Premises any animal, bird or live-stock of any description.
GCA.8- Nuisance
The Lessee shall share the use and enjoyment of the Premises in the Building amicably, quietly and
peaceably with the Lessor and other users of the Building and shall not do anything on or to the
Building or the Premises which may at any time be or become a nuisance, annoyance, damage or
disturbance to the Lessor or the occupiers of adjoining or other nearby premises whether within the
Building or otherwise and shall not use the Premises for any illegal or immoral purpose.

GCA.9- LANDLORD'S RESPONSIBILITIES
The Lessor (landlord) agrees to:-
(a) Hand over in good order and good condition the Premises and its equipment, fixtures and fittings
as set out in the Inventory List attached to the Lease Agreement to the Lessee on the
commencement date of the Term;
(b) Ensure the right of full and separate use of the Premises for the Lessee;
(c) Promptly repair any structural damage and defects to the Premises not caused 6y the act or
omission of the Lessee upon the request of the Lessee.
GCA.10- TENANT'S RESPONSIBILITIES
The Lessee (tenant) agrees to:-
(a) Pay the Rent and other charges ou time in accordance with the terms of the Lease Agreement;
(b) Use the Premises for the purpose stated in Clause 7 and; if the Lessee wishes to repair or improve
the Premises to meet the Lessee's requirements, the Lessee must obtain the prior written agreement
of the Lessor and must comply with all laws and other legal or regulatory instruments pertaining to
permission for construction in the Kingdom of Cambodia;
(c) Bear responsibility for losses and damages:
(i) In respect of the internal equipment and facilities caused by the Lessee;
(ii) aused to a third,party during.fue Term; and
(iii) In respect of the Lessee's valuables and personal property.
(d) Comply with the rules and regulations of the Building from time to time prescribed by the
Lessor ("Building Regulations");
(e) Not to assign the Lease Agreement to auother person nor sublease the Premises to a third party;
(f) Not mortgage, charge or grant a security interest over, nor enter into a declaration of trust of, the
Premises, nor assign or underlet the Premises, nor part with the possession or occupation of the
Premises;
(g) Pay or reimburse the Lessor on demand as additional rent for all costs it incurs in connection with
or in contemplation of:-
(i) the remedying of a breach by the Lessee of its obligations under the Lease Agreement;
(ii) a demand for payment of Rent or other sums payable by the Lessee under the Lease Agreement;
(iii) any action or proceedings against the Lessee in respect of:-
(1) the recovery of arrears of Rent or other sums payable; or
(2) a breach by the Lessee of its obligations Ullder the Lease Agreement; or
(3) the enforcement of the Lessor's rights or remedies against the Lessee.
(h) Provide the Lessor with a copy of the Lessee's assigned employee's Passport identification page
and valid visa or ID card;
(i) Permit the Lessor, its agents and others authorized by the Lessor.to enter, view and inspect the
Premises with prospective tenants during the period o§ one {}) month prior to the expiration or
earlier determination of the Lease Agreement (or sooner if the Rent or any part thereof shall be in
arrears and unpaid for upwards of one calendar month) upon giving reasonable prior notice to the
Lessee, unless the Lessee shall have agreed to renew the Lease Agreement and executed a legally
binding agreement for the renewal term in respect of the Premises.

GCA.11- RELOCATION
The Lessor has the right to relocate the Lessee to another unit with similar features within the Building
if the Lessor intends to cany out any renovation or repair work to the Premises or the Building. The
other unit to which the Lessee will be relocated will not be in any worse condition than the existing
Premises. The Lessor shall not be under any liability whatsoever or be responsible to pay any
compensation to the Lessee in respect of such relocation.
GCA.12- TERMINATION
The Lease Agreement shall terminate in the following cases:
(a) The Term has expired;
(b) The Premises are destroyed or demolished according to the decision of a competent government
authority or act of god;
(c) There has been a material breach or non-perfonnance or non-observance of any of the obligations,
conditions or agreements (inc1uding the non-payment or more-than-14_days-1ate-payment of the
rent) contained in the Lease Agreement on the part of the Lessee.
(d) The Lessee is expelled from Cambodia or its license or operating license in Cambodia is
withdrawn;
If the Lease Agreement is terminated due to the events set out in Clause 12(c) or (d), the Security
Deposit and any Rent and other charges paid in advance shall be forfeited to the Lessor. However, the
Security Deposit shaU be returned to the Lessee if tl1e Lease Agreement is terminated clue to the
events as stated in Clause 12(e) or (f) as below:-
(e) In the event that the Lessee ceases operations in Cambodia or has to depart from Cambodia prior to
the expiration of the Term, the Lessee may, subject to satisfactory documentary evidence to be
given to the Lessor, terminate the Lease Agreement by giving the Lessor thirty (30) days written
notice in advance;
(f) In the event the Lessee is d'eported from Cambodia, refused permission by the Cambodian
Government to reside in Cambodia, or transferred or relocated from Cambodia to another country,
the Lessee shall subject to satisfactory documentary evidence to be given to the Lessor, be at
liberty to terminate the Lease Agreement upon giving thirty (30) days written notice in advance.
GCA.13- REINSTATEMENT
At the expiration or earlier determination of the Lease Agreement the Lessee shall deliver up to the
Lessor the Premises including the Contents in good repair and condition (fair wear and' tear excepted)
and shall be responsible at its own cost for the reinstatement of the Premises to the satisfaction of the
Lessor.
GCA.14- INDEMNITY
The Lessee agrees to indemnify and keep the Lessor indemnified against all actions, proceeding, costs,
claims, demands, dl!mages, losses or expenses or other liability in respect of the use or occupation of
the Premises, the execution of repairs to the Premises, any breach or non-observance by the Lessee of
the terms of the Lease Agreement or any other act or default of the Lessee, its employees, agents,
servants, contractors or invitees.

GCA.15-DISCLMMER
(a) The Lessor shall not be responsible for any loss, accident or damage sustained at or originating
from the Building and the common areas and facilities, nor does the Lessee have any claim against
the Lessor for obstruction, interruption or fluctuation of a right granted by the Lease Agreement or
non-performance of its obligations hereof du to a force majeure event (a force majeure event is
any event beyond the reasonable control of a party including (so far as beyond such control)
earthquake, fire, :11ood-, storm, epidemic, national emergency, war, host\ii,ies, riot, civil
commotion). The Lessor is not liable for any failure by it to comply with an obligation it may have
to repair the Premises unless it has been given notice of the need of such repair and a reasonable
time within which to carry it out.
(b) The Lessor will not be responsible for any damage, injury or loss caused by other tenants or
occupiers in the Building.
(c) The Lessor shall not be responsible for any loss or damage to the lessee arising :from any loss of
valuable equipment and money.
(d) The Lessor shall not be responsible for any event beyond the Lessor's control, which prevents the
Lessor from carrying out any of its obligations under the Lease Agreement.
GCA.16- GOVERNING LAW
The Lease Agreement shall be governed by and construed in accordance with the laws of the Kingdom
of Cambodia and each party agrees to submit to the jurisdiction of the Phnom Penh Capitaf City Court
of First Instance (or such successor court having the same jurisdiction) as regards any claim or matter
arising under the Lease Agreement.
GCA.17-NOTICE
