DEALERSHIP AGREEMENT

THIS DEALERSHIP AGREEMENT IS MADE AT DAR ES SALAAM ON THIS

……………….DAY OF……………………2022.

Between:

MARS COMMUNICATIONS LTD of P.O Box 20726, Dar es Salaam,

The company duly established and incorporated in United Republic of
Tanzania under the Companies Act 2002 R.E 2019.
Hereinafter referred to as the “MCL”, which expression shall always mean
and include, its Managing Directors Board of Directors, Representatives
Office Bearers, Successor in title and the assigns (THE PARTY OF THE OTHER
PART)

AND

ALRAHEEB ELECTRONICS (LLC) of P.O Box 30196, Dubai, UAE

Hereinafter referred to as the Dealer (Which expression shall always mean
and include, unless repugnant to the context or meaning thereof his Legal
Representatives, Heirs Successors, Administrators, Executors, and Assigns),
THE PARTY OF THE OTHER PART.

WHEREAS MCL is dealing with sales of Electronic items which include mobile
phone and different electronic items and is based at Dar es Salaam. AND
WHEREAS in order to expand its selling activities “MCL” is looking for good
and reliable dealer. AND WHEREAS the dealer has offered to sell and deal in
the Electronic products and mobile phones and WHEREAS “MCL” has
accepted the said offer of the dealer on the following mutually agreed
terms and conditions:

NOW THEREFORE THE PARTIES HERETO AND HEREUNDER MUTUALLY AGREE

AND DECLARE AS BELOW:-

1. The Manufacturing companies around the world for different brands

have appointed Alraheeb Electronic (LLC) based in Dubai as dealer for
Africa; the dealer also deals with Tanzania in selling electronic items
and Mobile phones.

2. This Dealer shall supply all electronic products related to Samsung,

Hisense and other brands to MCL. With this deal MCL will sell the
products and generate sales for their Company.

3. The selling amount shall be remitted by MCL to the Manufacturing

office of Samsung Electronics South Africa (PTY) LTD in South Africa,
Hisence Manufacturing (PTY) LTD, Cape Town, South Africa, Hisense
(HK) Middle East Africa Sales Holdings Co Ltd and Media Electronic
Trading Singapore Copte LTD in Singapore and China.

4. CONFIDENTIALITY:
The Dealer shall keep all the communication confidential made with
the MCL, any information, technical data, know-how supplied /
disclosed by the MCL as a trade classified information shall not
divulge the same to any third party, without prior written permission
obtained from the MCL, in any manner, whatsoever and either
directly or indirectly.

4 RESPONSIBILITY OF THE COMPANY:

i) To receive products from the Dealer in order to sell in the
country.

ii) To maintain showroom to display the products of Samsung,

Hisense and other brands.

iii) Appoint maximum retail outlets in the area to cover all

electrical shops & general stores etc.

iv) Keep adequate stock for regular supply to Retail Outlets and
Customers.

v) Do all such acts, deeds & things, which will generate customer
sales, supply and commission at the site, provide after sales
service during the warranty period and after wards also.

vi) Invest necessary finance in this business.

vii) Employ required manpower in this business.

viii) MCL will be selling all electronic products and Mobile phones as
per Dealers rate.

ix) All manufacturing defects in the product (supplied by

DEALER)if any will be rectified by the dealer. New product will
be replaced if there is a need.

x) The agreement is terminable prematurely by issuing one month

prior written notice by either party, without assigning any
reason.

xi) The mode of transporting company / agency will be of the

choice of MCL in order to get the security of the goods in
transport.

5 BRANDING OF ITEMS:
The Dealer shall ensure that all the products will bear the main name
Samsung, Hisense or any other brand and no MCL will be inserted in
any advertisement leaflets except in producing receipts to the
consumers.

 6 DEALERS COVENENT
The Dealer will not be treated as relieved from this agreement and
the terms of this agreement will be binding of the Dealer till then.

7 JURISDICTION
Any dispute pertaining to interpretation, application, fulfillment /
breach of any condition of this agreement shall be subject to
exclusive United Republic of Tanzania jurisdiction only and MCL shall
have right to withhold all money till the final decision of the dispute
by the Competent Court.
