Statement of Anti-Bribery & Corruption

1. [Company name] (the “Company”) understands that compliance with all applicable laws and
regulations in relation to bribery and corruption (“Anti-Bribery and Anti-Corruption Laws”) is of
utmost importance for Gojek and its affiliates. The Company hereby represents and warrants that
it and its affiliates, and their respective directors, officers, employees and agents
(“Representatives”):

(a) have not, at any time, engaged in any activity, practice or conduct which would constitute
an offence under the Anti-Bribery and Anti-Corruption Laws;

(b) have not, at any time, directly or indirectly:

(i) solicited, received, agreed to receive for himself or for any other person; or
(ii) given, promised, or offered to any person, whether for the benefit of that person or
of another person,

any gratification as an inducement to or reward for, or otherwise on account of, any

government official (including any officer or employee of a government or government-
owned or controlled entity or of a public international organization, or any person acting
in an official capacity for or on behalf of any of the foregoing, or any political party or
party official or candidate for political office), any Representative of Gojek or its affiliates,
or any other person or entity, doing or forbearing to do anything in respect of any matter
or transaction, in order to obtain or retain business for, direct business to, or secure an
improper advantage for the Company, including but not limited to the Company’s
contract with Gojek to provide goods and services to Gojek and/or its affiliates
(“Contract”); and

(c) have not been the subject of any investigation, inquiry or enforcement proceedings by
any court, governmental, administrative or regulatory body or any customer regarding
any offence or alleged offence under the Anti-Bribery and Anti-corruption Laws, and no
such investigation, inquiry or proceedings have been threatened or are pending and there
are no circumstances likely to give rise to any such investigation, inquiry or proceedings.

2. The Company undertakes:

(a) to at all times comply with Anti-Bribery and Anti-Corruption Laws in the performance of
its obligations under the Contract;

(b) to provide assistance to the extent reasonably required in the context of the Contract to
the other Party, at that other Party’s reasonable request and expense, to comply with
Gojek’s obligations under Anti-Bribery and Anti-corruption Laws; and

(c) to provide Gojek with notification as soon as practicable to the extent that it has actual
knowledge of the occurrence or non-occurrence of any event, the occurrence or non-
occurrence of which would cause any of the foregoing representations to be untrue or
inaccurate.

3. The Company acknowledges and agrees that the Contract may be terminated by Gojek and/or its
affiliates (as applicable) if the Company has breached any of the representations, warranties and
undertakings contained in this Statement of Anti-Bribery & Corruption, and that any such breach
may result in referral of the matter to the relevant authorities. The Company further agrees to
defend, indemnify, and hold harmless, Gojek, its affiliates, and their respective Representatives,
from and against any claim, suit or proceeding arising out of any such breach.

4. Each person signing this Agreement represents and warrants that he or she is duly authorised and
has legal capacity to execute and deliver this Statement of Anti-Bribery & Corruption. The
Company represents and warrants that the execution and delivery of this Statement of Anti-
Bribery & Corruption have been duly authorised and that the declarations made hereunder are
valid and binding on the Company.
