CASE PROBE: ORGANIZATIONAL POLICIES AND LAWS

I. Three (3) organizational policies (local or internal company)

Board Diveresity

The Corporation shall support board diversity as much as it can, taking into account
factors like age, gender, culture, and knowledge, competence, and skills. The PSC
board of directors comprises a varied range of business experience, including retail,
finance, accounting, investing, banking, property, information technology, and
communications. In practice, there are two female directors on the board.

Dividend Policy

The priority of the interests of PSC's shareholders is one of its main management
policies. Its objective is to raise shareholder value by keeping up a consistent revenue
stream and expanding. PSC will keep paying out funds to shareholders by adhering to
a sustainable dividend policy. Starting in 2015, the Corporation plans to provide cash
dividends equal to at least 20% of its annual net income. This considers both potential
expansion opportunities and future financial requirements. The Board regularly
reviews the dividend policy, taking into account all of the following factors, including
the frequency of distribution. Cash dividends were distributed to stockholders of
record within 30 days following the declaration and approval of the holders.

Anti-Corruptions Programs and Procedures

The purpose of PSC's Code of Business Conduct and Ethics is to set clear guidelines for
employee behavior and to show the company's dedication to corporate governance. It
established guidelines for the following in order to safeguard ethics in business
dealings and transactions:

II. Impact on the company’s brand image

have little opportunity to switch brands. Extreme circumstances prevent light
purchasers from having any reason to be disloyal (Hallberg G., 1995, p. 54). The
market with the highest contemplation rate is where brand loyalty is most prevalent.

1. Policy on employee code of behavior

It needs to be succinct and precise so that the staff members know exactly what you
expect from them in terms of behavior and performance.

2. Policy for employee disciplinary action

Distributing staff handbooks that contain information about the company's policies
and procedures. You can if you have full access to the policies and procedures of the
workplace. When necessary, use the employee handbook to impose disciplinary
action.
