This SELF-ADJUDICATION- SETTLEMENT with DEED OF ABSOLUTE


SALE, made and entered into by and among the following:

GODOFREDO B. FRENILLA, of legal age, American Citizen,


married to Catherine C. Frenilla And residing at 2A Liwayway
Bldg., 2021 Simoun St., Sampaloc, Manila; Herein referred to as
the HEIR-SELLER;
and

LOLITA POLINAG. KHO, of legal age, Widow, Filipino Citizen, with


Address at 9B Gen. De Jesus St., Heroes Hills, Diliman , Quezon City;

CHARLES JUSTIN POLINAG KHO, of legal age, single, Filipino


Citizen, with Address at 9B Gen. De Jesus St., Heroes Hills, Diliman ,
Quezon City ;

MARC JULIAN POLINAG KHO, of legal age, single, Filipino Citizen,


with Address at 9B Gen. De Jesus St., Heroes Hills, Diliman , Quezon City;

hereinafter referred to as the BUYERS;

WITNESSETH:

WHEREAS LIWAYWAY B. FRENILLA, GODOFREDO B. FRENILLA,


married to Catherine C. Frenilla and WILFREDO B. FRENILLA are the
registered owners of the real property with improvement thereon located at 2021
Simoun St., Corner Instruccion St., Brgy. 494, Zone 049, Sampaloc District,
Manila, with ONE HUNDRED FIFTEEN SQUARE METERS and FITY
SQUARE DECIMETERS (115.50) and covered by Transfer Certificate
of Title No. 200933 of the Registry of Deeds for Manila City registered
in the name of “Liwayway B. Frenilla, Godofredo B. Frenilla and Wilfredo B.
Frenilla”, and more specifically described in the Certified True Copy of the
Transfer Certificate of Title (TCT) - Attached as ANNEX “A”.
WHEREAS WILFREDO B. FRENILLA, died single, without a will on June
02, 2007 as shown by a copy of his Death Certificate attached as Annex “B” and
LIWAYWAY B. FRENILLA, a widow, died on April 22, 2023 as shown by a copy
of her death certificate attached as Annex “C” , also without a will, and both
deceased registered owners were solely survived by their sole Heir GODOFREDO
B. FRENILLA, thereby entitling him to inherit the full share in the above-
described property in accordance with the law on intestate succession.

WHEREAS, pursuant to Section 1, Rule 74 of the Revised Rules of Court,


the aforementioned heir decided to adjudicate the property by himself.

WHEREAS, no personal properties are involved in this extrajudicial


settlement.

WHEREAS, to the best knowledge and information of the heir, all the
aforementioned deceased left no outstanding debts in favor of any person or
entity.

WHEREAS, a copy of this self-adjudication settlement shall be published


once a week for three (3) consecutive weeks in a newspaper of general circulation.

WHEREAS, all taxes, including the Estate Tax, have been paid for by the
HEIR-SELLER to have the said title transferred.

WHEREAS, all shares in the real property having been acquired through
a gratuitous title, the same are not part of the Absolute Community Property or
Conjugal Partnership of Gains as provided for under the Family Code of the
Philippines and therefore considered as the separate property of the HEIR-
SELLER.

WHEREAS, the HEIR-SELLER has offered the said real property for
sale to the BUYERS who have accepted the offer under the terms and conditions
set hereinunder.

NOW, THEREFORE, for and in consideration of the foregoing premises,


the parties have agreed as follows:

1. The HEIR-SELLER agreed to sell the subject property in the amount of


FIVE MILLION PESOS (PhP 5,000,000.00) which is acceptable to
the BUYERS.

2. The BUYERS agreed the sharing of the acquired property to be transferred


into their names will be in the following manners:

a.) LOLITA P. KHO - - - - - - - - - - - - - - TEN PERCENT (10%) shares


b.) CHARLES JUSTIN P. KHO - - - - - - TEN PERCENT (10%) shares
c.) MARC JULIAN P. KHO - - - - - - - - - -TEN PERCENT (10%) shares
d.) ALEJNA JANELI P. KHO - - - - - - - - TEN PERCENT (10%) shares
e.) DENISE JILIAN P. KHO - - - - - - - - - TEN PERCENT (10%) shares
f.) NENITA POLINAG-----TWELVE & A HALF PERCENT (12.5%) Shares
g.) JOHN AARON PHILIP POLINAG - TWELVE & A HALF PERCENT
(12.5%) Shares
h.) LETICIA P. YEE - - - - - - - - TWENTY-FIVE PERCENT (25%) Shares

3. Upon the execution of this Deed of Absolute Sale, the HEIR-SELLER
hereby SELL, TRANSFER and CONVEY, in a manner absolute and
irrevocable, unto the said BUYERS, its successors, and assigns the
subject property.

4. The HEIR-SELLER hereby represents and warrants that he has a good,


valid, and subsisting right, interest, and title to the subject property sold to
the BUYERS.

5. THE HEIR-SELLER also warrants that the said real property is free
from any and all liens and encumbrances whatsoever and that there is no
pending, threatened or imminent action or controversy, whether
administrative or judicial, involving or affecting the above-described
property.

6. All outstanding real property taxes, if any, shall be for the account of the
HEIR-SELLER. The Capital Gains Tax, the transfer taxes and
Documentary Stamp Taxes shall be for the account of the BUYERS.

7. IN WITNESS WHEREOF, the parties have hereunto set their hand this
