AFFIDAVIT

I, ANNA CARMELA H. RODRIGUEZ, Filipino, of legal age, with address c/ o the

Rodriguez & Partners Law Firm located at Suite 1505 City & Land Megaplaza Bldg.
ADB Ave. cor. Garnet Road, Ortigas, Pasig City, after having been sworn in accordance
with law hereby depose and state THAT:

1. I am one of the incorporators of Sugar Group, Inc. with TIN 006-

335-187-000 and office address at 85-F Scout Rallos, Sacred Heart, Quezon City;

2. Due to financial constraints to continue the operations of the

business, the company was forced to close on April 30, 2010;

3. I inadvertently overlooked the procedures for business closure,

hence, I did not know if the steps were completed; and

4. I am executing this affidavit to attest to the truth of the foregoing

and to request pertinent government agencies to have this affidavit registered to
effect the closure of the business.
