License Agreement for Loop/Sample/Starter Distribution

This License Agreement ("Agreement") is entered into on 01.04.2023 between The Blindside Collective,
hereinafter referred to as "Licensor," and the User of the Loops/Samples/Starters hereinafter referred to
as "Licensee."

1. Grant of License:

Licensor grants Licensee a non-exclusive, non-transferable license to use the provided

loops/samples/starters solely for the creation of beats and compositions intended for sale to artists and
other end users. The loops/samples may not be sold or distributed as standalone products.

2. Revenue Sharing:

Licensee shall share 50% of the sales revenue generated from the compositions created using the
licensed loops/samples. Payments shall be made via PayPal to collectiveblindside@gmail.com or
distributed through the Collaborator System on BeatStars, where Licensor is recognized as
"theblindsideduo."

3. Major Placements:

In the event that beats created using the licensed loops/samples achieve over 1,000,000 streams or are
placed with major record labels such as Sony, Universal, etc., Licensor must be notified, and a separate
clearance and fair compensation agreement shall be negotiated.

4. Ownership:

All rights and ownership of the provided loops/samples/starters belong to Licensor, and Licensee shall
not claim any ownership or rights to the samples.

5. Termination:

This Agreement may be terminated by either party with written notice. Upon termination, Licensee must
cease using the licensed loops/samples for beat production and distribution.

6. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction].

7. Entire Agreement:

This Agreement constitutes the entire agreement between the parties, and supersedes all prior or
contemporaneous understandings, agreements, representations, and warranties.

By using the loops, both parties acknowledge their acceptance of the terms and conditions of this
Agreement.
