MEMBERSHIP AND SUBSCRIPTION AGREEMENT

The Board of Directors

Gentlemen:

I, _______________________, a resident of ___________________________________ and a regular employee of

Moog Controls Corporation (Philippine Branch) hereby agree to be a member of MOOG BAGUIO CREDIT COOPERATIVE (MBCC).
I have completed the training prescribes for prospective members and I understand the purposes and objective of this
cooperative.

In connection with such membership, I hereby agree to the following terms and conditions:

1. To comply with the provisions of the Articles of Cooperation, the By-Laws and Policies set by the Board, the General
Assembly as well as acts of duly constituted authorities.

2. To participate in the planned thrift and savings program by:

a. Subscribing for twenty (20) shares valued at Two Thousand Pesos only (Php 2000.00) and paying them
in lump sum.
b. Contributing to its share capital ______________________Pesos (P________) semi-monthly.
c. Contributing at least 1% of every loan granted to me and at least 50% of the annual interest and
patronage refund due me;

Failure on my part to comply with my financial obligation, unless excused by the Board, shall make me liable for a fine
to be set by the Board.

3. To attend all meetings, conferences and seminars as required by the Board of Directors and failure on my part to do so,
unless previously excused by the Board, to pay the fine set for in the Policies and to make up for the activity I missed.

4. To pay the membership fee of Php 200.00 and seminar fee of Php 350.00

5. To authorize MOOG Controls Corporation to deduct from my salaries/wages my share capital/fixed deposit
contributions, contributions to the loan redemption fund, death aid fund and any other funds that may be approved by
the general assembly in the future; my installments, loan and interest payments; and fines and penalties; and for MOOG
Controls Corp. to remit the same to the Cooperative.

6. To comply with the directives of duly constituted authorities as well as the decisions of the Board regarding the
operating policies of the cooperative.

The provisions of this agreement, the articles of Cooperation and the By Laws, have been explained to me; I understand them
and I agree to abode with all of them.

In all of the above undertakings, I am aware that the Board of Directors and the Cooperative may impose sanction(s) against me
or performs any acts necessary to make the sanction(s) effective without going to court.
