Terms of Reference for Smart Farm India Partnership


Kallol Saha has designed 'Smart Farm India' project to create a set of advanced agriculture
farms in India (See prospectus for details). Please find below basic proposed terms of
engagement (negotiable) for Kallol Saha with the project.
1. Kallol Saha gets associated with the project as a Business & Management Consultant. For
this, he gets minimum 5 percent or, 50 decimals of land transferred in his own name. Date
of transfer marks the date of formal engagement of Kallol Saha with the project. In case
owner or owner consortium is not willing to transfer the land, they may decide to commit
a minimum amount equal to 5 percent of cost of total land cost under the project at the
date of signing the agreement as professional fees. The amount may be paid in equal
monthly instalments over a period of 36 months.

2. Kallol Saha gets 5 percent of annual income or profit made by the initiative for minimum
period of 25 years. He also gets right to deploy minimum one professionally qualified
employee with relevant background as project manager for the project as per the norm
fixed by the project owners or major stakeholders through his employment connects
initiative. In addition, major stakeholder shall bear cost of minimum 2 physical visit of Sri
Kallol Saha along with 2 associates for three days to the farm in a calendar year.

3. Depending upon need of the client, they can hire Sri Saha's remote Audio-visual
consultation service on demand through 'knowledge connects'. Hourly package starts
from Rs.2500.00 and Daily package starts from Rs. 10,000.00. Food, lodging, Travel & DSA
extra for onsite support. This may be important in Early and exploratory stage, before
Kallol Saha and the prospective client finds common ground to sign an agreement and
commit long term engagement with the project.
