SUBCONTRACT AGREEMENT

THE SUBCONTRACT AGREEMENT (hereinafter referred to as the “Agreement”) is made on the

------xx----- between WTC MEGA SDN BHD. (Company No.: 839417-A) private limited company
incorporated in Malaysia and having its place of operation at No 6,Lorong BLM ¼,Bandar Laguna
Merbok,08000 Sungai Petani,Kedah Darul Aman .(hereinafter referred to as the “Main Contractor”) of
the one part and MERCY CONSULTANCY SDN BHD.( Company No.165719-H) ) private limited
company incorporated in Malaysia and having its place of operation at No 58-1 Jalan Eco Ardence B
U12/36B, Seksyen, U12 Shah Alam, 40170 Shah Alam, Selangor Darul Ehsan. ( hereinafter referred
to as the “ Sub Contractor”) of the other part.

1. The Sub Contractor shall execute, complete and maintain the contract works subject to and
in accordance with this contract in all respect to the statisfaction of the Main Contract.

2. The Subcontract shall commence and complete the contract work in accordance with the
work schedule

3. The Subcontract shall be deemed to have allowed to be fully acquainted with the site of the
work and shall ensure smooth and efficient and co-ordination of the contract works at the
presence of the other contract.

4. The Subcontract shall be deemed to have allowed for and above all terms and conditions
for engagement of foreign workers in accordance with the rules and regulation of the
satisfaction of the Main Contractor.

5. All defect or other faults in the contract works caused by any act, omission of default on
the part of the Sub Contractor shall be made good by the Contractor at his own expenses
and to the satisfaction of the Main Contractor.
 6. Your terms of payment will based on progressive claim. The payment will be released
within ----xx---- days from submission of claim.

7. On completion of the works, the site at his own expenses all tolls, equipment, surplus and
unwanted materials, rubbish and other things belonging to the Sub Contractor to the
satisfaction of the Main Contractor.

NOW THEREFORE the Company and the Subcontractor agree as follows:-

6.Early Termination : Early termination of the Agreement could be invoked by the Main Con
for the following Reason :

a) Non-performance i.e.poor, non-satisfactory or not up to the Main Con’s

Expectation:

b) Disciplinary problems or misconduct

7.Termination of Agreement:
The Company reserves the right to immediately terminates this Agreement on occurrence of
any or more of the following events:-
 a) If the Subcontractor breaches any one or more of the terms and condition of this
Agreement, or is convicted under the law of Malaysia;

b) If the Subcontractor refuses to follow any work related instructions given by the Company
or its representatives;

c) If the Subcontractor is found employed by other companies, contractors, or persons to

performs similar works and such employment is in conflict with the Company’s interest.

this letter to us.

IN WITNESS HEREOF the parties hereto have executed this Agreement as of the day and year first
