IRREVOCABLE SPECIAL POWER OF ATTORNEY

KNOWN ALL MEN BY THESE PRESENTS:

That I, MARIECEL T. BACULI, single, of legal age, Filipino Citizen and a

resident of #952 S.H Loyola Street, Sampaloc Manila, Philippines, do hereby
irrevocably NAMED, CONSTITUTED AND APPOINTED, Juan F. Dela Cruz,
single, Filipino Citizen, of legal age, and a resident of 426 Santol Street,
Sta.Mesa Manila, Philippines (whose signature appears herein below and which
signature I now hereby attest to be true, genuine and authentic), to be my true
and lawful Attorney-in-fact, for me and in my name, place and stead, to do, and
perform the following special powers, to wit:

1. To m a n a g e , sell, m o r t g a g e all whatever price/amount and terms

and conditions that he may deem proper and fit, to whosoever may but or
purchase my house and lot property located at B78, L14 Bellavita
Subdivision, Indahag, Cagayan de Oro City, covered by TCR No. 012-
1234567890, more particularly described as follows:

2. To accept and collect full payment in his name and/or in my name, the
proceeds of mortgage or sale of the aforesaid described property and
sign for the receipt thereof;

3. To sign and execute any all documents related to mortgage, sale, transfer
or conveyance, of the aforementioned property;

4. To pay any and all unpaid or accrued property taxes including such
capital gains and documentary stamp taxes necessary to effect the
registration of the sale and the transfer of title of the said property to the
buyer or purchaser of the same;

5. To engage the services of a reputable real estate broker, a lawyer, a tax

professional and such professional real estate practitioner, if necessary,
to ensure the expeditious and smooth sale or mortgage of the property
and to pay their respective fees and/or commissions from out of the
proceeds of the sale of the same;

6. To do and perform any and all other lawful act and deeds necessary
to undertake the execution and finalization related to manage, sell,
mortgage or conveyance of the said property;

7. This Irrevocable Special Power of Attorney is coupled with consideration

and it is agreed that this Irrevocable Special Power of Attorney shall not
be revoked or cancelled without the prior written consent of the
undersigned principal.

GIVING AND GRANTING unto my said attorney-in-fact full power and

authority to do and perform all and every act and thing whatsoever requisite and
necessary to be done in and carry into effect the foregoing powers, as fully to all
intents and purposes as I might or could lawfully do if personally present, with
full power of substitution and revocation, and hereby ratifying and confirming all
that my said attorney shall lawfully do or cause to be done by virtue of these
presents.
