Re: Kansas City Royals - Community Benefits Agreement

Dear Jackson County Legislators:

As contemplated by Jackson County Ordinance 5822 and the Letter of Intent approved by
the County pursuant to Resolution 21525, the Kansas City Royals (the “Royals”) engaged
in lengthy negotiations with a stakeholder coalition of subject matter experts and
community advocates (the “Coalition”) with respect to a Community Benefits Agreement
(“CBA”) with Jackson County. I am pleased to report that, as a result of the tireless
efforts and significant input of the Coalition, the Royals have agreed to binding terms to
be set forth in a community benefits agreement (the “Agreement”) that will provide more
than $140 million of financial and other community benefits to the residents of Jackson
County. This Agreement is in the top tier of community benefits agreements across all
professional sports, and contains unprecedented M/WBE engagement goals for the
Kansas City region.

The material binding terms agreed to by the Royals and the Coalition are as follows:

Parties: Jackson County Missouri (the “County”)


Kansas City Royals Baseball Club LLC

Term: Concurrent with the baseball stadium lease (the “Term”)

M/WBE 33% MBE and 10% WBE participation during the construction
Engagement period and 30% MBE and 10% WBE participation on any material
Goals: project at the new stadium during post-construction period
throughout the Term of the Lease

Community Each year during the Term, the Royals will invest at least $3.5
Investment: million (the “Community Investment”) in immediately available
funds, in an interest-bearing, independently maintained escrow
account
Governance: The Community Investment will be administered by a board
(“CBA Board”) established by the County and comprised of
appointees of the County and the Royals. The Royals will have
the right to appoint 45% of the CBA Board members.

Community The Board shall distribute the Community Investment


Purposes: periodically, but no less frequently than annually, to various
nonprofit and charitable programs, initiatives, and objectives
approved by the CBA Board from the following categories:
• Employment Benefits (i.e., workforce training and
education);
• Affordable Housing;
• Childcare Benefits (i.e., workforce support);
• Healthcare (i.e., anti-violence initiatives, mental health
awareness);
• Diversity Benefits (i.e., minority- and women-owned
business goals, low interest loan program, and pay without
delay program);
• Workforce Assistance;
• Education (i.e., supplemental education support services
for urban youth and adults);
• Environment & Sustainability (i.e., development,
implementation and maintenance of a sustainability
operations plan, and efforts to reduce carbon emissions);
and
• Public Transportation Benefits (for both workers and
residents).

This Community Investment is in addition to the Kansas City Royals Foundation’s (the
“Foundation”) robust charitable contributions and programs in the County. The
Foundation will continue its mission to support organizations and programs that are
aimed at improving the lives of children, families, and military personnel with a focus on
several key areas:

1. Education: Providing resources and support to educational initiatives that


enhance the learning experiences of children and youth, including scholarships,
school supplies, and educational programs.
2. Youth Baseball/Softball: Promoting the growth and development of youth
baseball and softball by funding leagues, donating equipment, and improving
facilities to ensure access to these sports for children in the community.
3. Health and Wellness: Contributing to health and wellness programs that address
various community needs, such as access to healthcare services, promoting
healthy lifestyles, and supporting individuals facing health challenges.
4. Military Support: Recognizing and assisting military personnel, veterans, and
their families through financial assistance, morale-boosting activities, and
partnerships with military-focused organizations.
5. Diversity and Inclusion: Promoting diversity, equity, and inclusion within the
community and baseball by supporting initiatives that celebrate diversity, combat
discrimination, and create opportunities for underrepresented groups.

The Foundation has donated more than $25 million in grants, including approximately $3
million in 2023.

Finally, to demonstrate our unwavering commitment to public education the Royals have
committed to making an annual financial contribution to the Kansas City Public Schools
(“KCPS”) to ensure that KCPS receives no less funding with respect to the properties in
the baseball stadium development than what KCPS currently receives through County
property taxes.

On behalf of the Royals, I want to express my sincere gratitude to the Coalition for their
time, professionalism, cooperation, and commitment throughout this process. Our
negotiations were characterized by open communication, mutual respect, and a shared
goal of reaching a mutually beneficial agreement that will benefit the residents of Jackson
County for decades to come.

We look forward to our continued partnership with the County, and entering into the
Agreement to address, in more detail, the binding terms summarized above.
