RE: SALE OF PROPERTY TITLE NO: KAJIADO/KITENGELA/1234 (“THE PROPERTY”) TO JACKLINE


WANGUI (“THE PURCHASER”) BY JOHN ELLY (“THE VENDOR”)
The matter above refers. We further refer to the Sale Agreement (“the agreement”) dated 20th
February 2024 between the Vendor and the Purchaser in respect of the sale and purchase of the
property.

We act as Advocates for John Elly, the Vendor of the said property and as such hereby issue our
irrevocable and unconditional professional undertaking regarding the transaction as follows:
1. THAT we shall release the Title and Completion Documents in respect of the above property to
be held by yourselves in trust and to our order, returnable on demand, pending payment of the
sum of Ksh. 4,500,000/= (Kenya Shillings Four Million Five Hundred Thousand Only) to us
being the balance of the purchase price of the property.
2. THAT we shall hold the Purchase price of Ksh. 6,000,000/= (Kenya Shillings Six Million Only) as
stakeholder, and shall not release, cause or allow to be released, the Purchase price to our Client,
the Vendor, until we receive your confirmation that the Transfer has been successfully registered
in favour of Jackline Wangui, the Purchaser.
3. THAT we shall exercise our best endeavors to ensure that the Transfer in favour of the Purchaser
is registered as soon as possible and without unnecessary delays.
4. THAT we shall indemnify you and keep you fully indemnified in respect of any loss and damage
which you or your Client, the Purchaser, may suffer by reason of any breach by us of any of the
terms or conditions contained in this letter of undertaking.
5. THAT this professional undertaking shall remain in force up and until such time that you shall
expressly release us from the same in writing which release shall be granted upon our full
compliance and successful registration of the transfer in favour of your Client, the Purchaser.
6. THAT this professional undertaking shall be governed by the Laws of Kenya.
