Optional Loan Your optional loan protection premium is calculated using the following

protection as outlined in the certificate of insurance at any time. Please refer
to section 5 for details.

Services:
You may cancel your MogoMini Service Bundle at any time in accordance
with the terms and conditions of the MogoMini Service Bundle agreement.

Term The initial term is for 1 year and this Agreement will renew automatically for
additional 1 year terms unless you or we end this Agreement. If you or we
end this Agreement, then you will be required to repay any outstanding
principal or other amounts you owe.

1. Definitions:
a. "We", "our" and "us" means Mogo Financial Inc. dba Mogo and/or its designated agents, affiliates
and assigns;
b. "You" and "your" means the Borrower named above;
c. "this Agreement" means this MogoMini Line of Credit Agreement;
d. "Pay Frequency" means the frequency that you receive your income (for example: bi-weekly,
semi-monthly, or monthly).
2. Your credit limit: Your initial credit limit identified as "Credit Limit" on page 1 of this Agreement is
the maximum amount you can borrow under this Agreement. You agree that we may, without notice
to you, change your Credit Limit whenever we choose. We calculate how much is available to
borrow on your MogoMini Line of Credit by deducting the amount you owe from your Credit Limit.
We can refuse to let you borrow any amounts on your MogoMini Line of Credit account that would
cause you to exceed your Credit Limit. However, if we let you borrow more than your Credit Limit,
you must pay us the amount that exceeds your Credit Limit as soon as you are advised or are aware
that you have exceeded your limit. At any time, if we ask you, you must pay us the total amount
you owe on your MogoMini Line of Credit account.
3. Charging you interest: We charge you interest on all amounts you borrow on your MogoMini Line
of Credit account at an annual rate of 47.42% after as well as before maturity, default, judgement
and demand.
4. How we calculate interest: We calculate interest daily. To calculate the amount of interest you owe
we multiply the total amount you owe on your MogoMini Line of Credit account each day by the
annual interest rate and divide the result by the number of days in the year. We add together the
interest charge for each day and the total is what we charge you. You cannot pre-pay interest that
we may charge you in the future. We charge interest from the day we record the transaction in your
account until the day we receive the amount you owe. Interest is not compounded.
5. Optional services: If you have received any optional services aside from Optional Loan Protection
from us in connection with this Agreement, you may cancel such services at any time in accordance
with the terms and conditions of the agreement we have with you for such optional services.
Optional Loan Protection Program: The optional Loan Protection Plan includes coverage for
involuntary unemployment, injury/sickness, critical illness, life, unpaid family support and some
lifetime milestones support. The optional Loan Protection Plan is underwritten by Canadian Premier
Life Insurance Company and Canadian Premier General Insurance Company. You are not required
to purchase the optional loan protection to obtain this loan. Should you wish to purchase the loan
protection coverage, a separate application to enroll outlining the cost and eligibility criteria must be
completed. Your optional loan protection premium is calculated using the following formula:
minimum periodic payment (excluding optional loan protection fee) times 0.475, rounded up to the
nearest cent.
The following is a sample calculation for illustrative purposes only (premiums will vary depending on
the minimum payment due as shown on your statement and includes sales tax where applicable):

Sample balance at statement date including accrued interest: $519.29
Sample minimum payment: $44.29
Sample optional loan protection premium: $44.29 x 0.475 = $21.04
If you have applied for loan protection insurance in connection with the loan provided under this
Agreement, you irrevocably authorize and direct us to pay to the insurer, or as otherwise directed by
the insurer, the premium payable for the loan protection. Loan protection is optional and you may
obtain similar services from other sources. You may terminate the optional loan protection as
outlined in the certificate of insurance at any time. If you cancel your loan protection you may
be entitled to a refund of a portion of the premium paid in accordance with applicable laws.
6. Payments: You agree to pay each Minimum Payment on its due date. Each Minimum Payment is an
amount equal to the sum of the accrued interest, service fees (including optional service fees) and
other charges that apply for the period. The amount of your Minimum Payment will be shown on
your statement for the applicable period. The due date for each Minimum Payment is determined by
your Pay Frequency (each a “Payment Date”). Your first Payment Date is your next scheduled pay
date after the Loan Issue Date and any following Payment Dates will be on your following pay dates,
except that if your pay date would fall on a Saturday, Sunday or other non-business day, in which
case your Payment Date for your Minimum Payment will be the last business day before such non-
business day, and interest will continue to accrue until that date. When you make a payment, we use
the money to pay amounts you owe in the following order: service fees and other charges (including
for optional services), interest and principal. If You or we end this Agreement, then you will be
required to repay any outstanding principal or other amounts you owe. We may also, from time to
time, require you to make an unscheduled payment of principal. If we do, then we will provide you
with a statement setting out the principal payment amount or the method for determining it, and the
payment due date. You may pay all or any part of the amount you owe at any time without notice,
bonus, penalty or charge. If we credit an amount to your MogoMini Line of Credit account by
mistake, we can correct the mistake at any time. Any partial pre-payment you remit must be in
increments of $25.00. All amounts owing under this Agreement are payable in Canadian dollars.
7. How to pay: You must complete a Pre-Authorized Debit Agreement (Schedule A). You can make
your payments using pre-authorized debits according to the terms of your Pre-Authorized Debit
Agreement. You may also pay us in any convenient manner that is acceptable to us, which currently
includes email money transfer, online bill pay through your financial institution, Western Union or by
accessing other credit. We may charge service fees and other charges to your MogoMini Line of
Credit account if for any reason these amounts are returned unpaid but we will only charge an
amount up to your Credit Limit.
8. Other amounts you must pay: You will pay the following service fees and other charges if you
incur them:
a. Dishonoured Payment Fees: we will charge you a fee of $50.00 each time a payment is returned
unpaid for any reason;
b. Document Fee: if you request additional copies of a document or statement you must pay a fee of
$10.00 per copy;
c. Invalid Banking Information Fee: we will charge you a fee of $2.50 if you have provided us with
incorrect bank account information;
d. Email Money Transfer Fee: if you choose the option to have funds advanced using our 1-hour
money transfer service, we will charge you a $19.99 fee; and
e. Other Transfer Fee: if you choose to have funds advanced using any other optional delivery
method, we will charge you a $2.50 fee.
9. Default: It is a default under this Agreement if you:
a. fail to make a payment when due under this Agreement;
b. breach any other obligation under this Agreement or any other present or future agreement you
have entered into with us;
c. become bankrupt or insolvent, or you die; or
d. become a non-resident of Canada.
In the event of default under this Agreement, upon demand by us, all amounts owing under this
Agreement will be immediately due and payable and, to the extent permitted by law, we have the
right to sue you for the amount you owe us and exercise any other rights we have. You must also
pay any reasonable legal costs that we incur to collect or attempt to collect the payment from you on
a full indemnity and solicitor and own client basis.
10. Statements and Communications: We'll send statements and other communications to you by
electronic mail (email) to the most recent email address that we have for you in our records. We will
send you a statement at least monthly, subject to applicable laws. If you notice any mistakes in your
statement or do not receive a statement, you must let us know within 10 days of the statement date
or the date on which you would ordinarily receive it. If you fail to report any statement issues, our
statements and records showing the amounts we have lent you and the amounts you have repaid or
which are unpaid will be considered accurate. You must pay all amounts owing to us, even if you do
not receive your statement or if it has been delayed. If we credit an amount to your MogoMini Line of
Credit account by mistake, we can correct the mistake at any time. You must give us your current
email address and are responsible to let us know if it changes.
11. Accessing funds: You can access available funds on your MogoMini Line of Credit account by any
method that we agree to, including by contacting us by telephone or by email to apply@mogo.ca.
There is no charge to you if we advance funds to you into your bank account that we have on file for
you by regular electronic funds transfer, which could take two to five business days after the day that
you contact us to access funds. If you ask us to advance funds using any one of the following
optional delivery methods: 1-Hour Money Transfer, or any other optional method, funds will be
advanced to you on the date on which you contact us to access funds or the following business day.
Additional fees may be payable depending on the delivery method of the funds – please see section
8 for details.
12. Hold on Funds: We have the right to hold any payment on your MogoMini Line of Credit account,
and to defer any transactions you wish to make, until we receive confirmation that the payment has
cleared our account.
13. Your Information: You represent and warrant that all information you give to us, including
information about your financial position, is true and complete at the time you give it to us. You agree
to give us up to date financial information about yourself at our request. You also agree to tell us at
once about any unfavourable changes in your financial position that seriously weakens your ability
to meet your payment obligations to us under this Agreement.
14. Entire Agreement: This Agreement is the entire agreement between you and us for your MogoMini
Line of Credit. This Agreement replaces any prior MogoMini Line of Credit Agreement and
Disclosure Statement between you and us.
15. Changing the Agreement: We may make changes to this Agreement at any time, including
changes to your interest rate, credit limit or the service fees or other charges. If we do, we will give
you written notice of the change in accordance with applicable laws. This notice may be given along
with your statement or by any method of electronic communication. If your MogoMini Line of Credit
account is used or any amounts remain unpaid after the effective date of a change, it will mean that
you have agreed to the change.
16. Ending the Agreement: You or we may end this Agreement by notifying the other party in writing. If
we or you end this Agreement, you must pay all amounts owing under this Agreement immediately. If
this Agreement ends, your obligations under this Agreement will remain in effect until you pay us the
total amount you owe on your MogoMini Line of Credit account.

18. Applicable law: This Agreement will be interpreted in accordance with the laws of the province
where you reside and all laws of Canada applicable therein. The place of this Agreement is your
address.
19. Privacy: Personal information we collect from you and others with your consent includes: name and
contact information; bank account information; credit history and financial and identity information
from consumer and credit reporting agencies, financial institutions or businesses that you currently
have, or have had, financial dealings with, and personal references; income information; information
relating to your ongoing interactions with us; Social Insurance Number, date of birth, and other
personal identifiers (if you choose to provide them to us); information in order to locate you if a debt
is owed to us; and other information with your consent or as permitted or required by law. We use
personal information to provide credit to you and otherwise administer our business, including to:
open, administer, enforce and collect on the loan; verify your identity and current and ongoing credit
worthiness; protect you and us from theft and fraud; assess your ongoing needs for products or
services; inform you of special promotions or products; and for other purposes with your consent or
as permitted or required by law. We may exchange personal information on an ongoing basis with
consumer and credit reporting agencies so that they can verify your personal information, ensure the
completeness of the information they and we have on file about you, maintain the integrity of the
credit granting system, and cooperate with local, provincial and national authorities in order to
protect you and us from fraudulent transactions. We may also collect, use and disclose your
personal information as described in our privacy policy at www.mogo.ca. If you have any questions,

20. Other: A waiver of default by us will not operate as a waiver of future defaults. We can assign this
Agreement, in whole or in part, without notice to you or your consent, and such assignee will have all
our rights under this Agreement. You cannot assign this Agreement. This Agreement shall apply to
and bind you, your heirs, executors and administrators and shall ensure to the benefit of and be
enforced by us and our successors and assigns. If any provision of this Agreement is prohibited by
law, or deemed invalid or void, in whole or in part, by any court, such provision or part of such
provision shall be ineffective to the extent of such prohibition or court order without invalidating the
remaining provisions of this Agreement. To the extent that any payment due to us under this
Agreement would exceed the maximum rate permitted by law, the payment obligation shall be
amended and replaced with the maximum lawful amount.
21. Your signature: By signing below, you acknowledge that: you have read this Agreement in its
entirety and agree to be bound by its terms and conditions; and you have received a completed copy
of this Agreement.
22. CONSENT TO CREDIT CHECK: You agree and consent to the collection, use and disclosure
of your personal information as contemplated in the Privacy section above and, in particular,
you consent to us obtaining credit, financial and related personal or business information
about you (including a consumer or credit report) from any credit bureau or credit reporting
agency from time to time. These consents will be valid so long as required to fulfill the
purposes described in this Agreement. We currently use Equifax Canada Co., located at Box
190 Jean Talon Station, Montreal, Quebec H1S 2Z2.

In this PAD Agreement: "you" and "your", collectively refer to the holder(s) of the PAD Account; "we",
"us" and "our" collectively refer to Mogo Financial Inc. dba Mogo, or its authorized agent; and "your
Agreement" means your MogoMini Line of Credit Agreement. Other capitalized terms used in this
PAD Agreement but not defined have the meanings given to them in your Agreement.

You authorize us and the Financial Institution designated (or any other Financial Institution you may
authorize at any time) to debit your PAD Account for each Minimum Payment due on or after its
Payment Date according to the terms of your Agreement. If any other amounts are owing under the
terms of your Agreement, you authorize us to debit your PAD Account for the amount owing on or
about your next scheduled Payment Date.

If any debit is denied for any reason including due to non-sufficient funds, payment
stopped/recalled, payment refused by payor, or your bank account being frozen, you authorize us to
debit your PAD Account for the same amount plus the applicable Dishonoured Payment Fee of
$50.00 on your next Payment Date, not as a re-presentment of the denied debit but as a separate
authorized debit.

You expressly waive your right to receive any pre-notification of the date and amount of all
debits to be made under this PAD Agreement.
This authority shall remain in effect until we receive written (or oral if we are able to verify your
identity) notification from you of its change or termination. Such notification must be received at least
ten (10) business days before the next debit is scheduled at our address listed above. However, if
you cancel this PAD Agreement, you remain obligated to pay to us all amounts due or owing under
your Agreement. You may obtain a sample cancellation form or more information on your right to
cancel a PAD Agreement at your Financial Institution or by visiting www.payments.ca.

You have certain recourse rights if any debit does not comply with this Agreement. For example,
you have the right to receive reimbursement for any PAD that is not authorized or is not consistent
with this PAD Agreement. To obtain more information on your recourse rights, you may contact your
Financial Institution or visit www.payments.ca.

You represent and warrant to us on a continuing basis that all persons whose signatures are
required to deal with the PAD Account have signed this PAD Agreement and that the information set
out in this PAD Agreement with regard to the PAD Account is accurate and complete. You will notify
us in writing of any change in such information at least ten (10) business days prior to the next due
date of a PAD.
