The Sellers and the Buyers have agreed to close the following transaction(s) according to the terms and
conditions as stipulated below:

1 . 包装 Packing:
100PCS/BOX, 20BOXES/CARTON
2. 付款 Payment:
If T/T 50% Deposit on order, 50% balance paid against copy of B/L, FOB price can be fixed at a
mutually agreed price, along with a signed long-term contract.
If T/T 30% Deposit on order, 70% balance paid against copy of B/L. FOB price per order will be
adjusted based on the current market price and foreign exchange rate, with the best FOB price offered for
each lot of shipment.

3.装运期限 Shipment:
Within 25 days after receiving the deposit

4. 单据 Documents Required:
Commercial Invoice/Packing List/BL.

5. 不可抗力 Force Majeure:

 If the shipment of the contracted goods is prevented or delayed in whole or in part by reason of war,
earthquake, flood, fire, storm, heavy snow or other causes of Force Majeure, the Sellers shall not be
liable for such non-shipment or late shipment. However, the Sellers shall notify the Buyers by telex,
fax or email in time and furnish the Buyers in a reasonable time by registered airmail with a certificate
issued by China Council for the Promotion of International Trade (the China Chamber of
International Commerce) or its sub-council or by a competent Authority attesting such event(s).

6. 异议索赔 Discrepancy and Claim:

In case any discrepancy on quality, quantity/weight of the goods is found by the Buyers after arrival of
the goods at the port of destination, claim which should be supported by an Inspection Certificate issued
by a public surveyor recognized by the Sellers may be lodged with the Sellers within 30 days after
arrival of the goods at the port of destination. However, the Sellers shall not be held responsible either
for compensation of loss(es) due to natural cause(s) or for that(those) with in the responsibility of the
shipowners or Underwriters. In the event either the Sellers fail to affect the shipment, or the Buyers fail
to establish the relevant L/C within the respective time limit as set forth in the above, or the L/C does
not correspond with the Contract terms and the Buyers fail to amend it in time, the Complaining party
shall have the right to cancel this contract and to claim on the Party at fault for compensation of loss(es),
if any, sustained therefrom, unless in cases where Force Majeure is applicable.

7. 仲裁 Arbitration:
All disputes in connection with this contract or its execution shall be settled by negotiation. In case
no settlement can be reached, the case under dispute shall then be submitted to China International
Economic and Trade Arbitration Commission in Beijing for arbitration in accordance with its
Arbitration Rules. The decision shall be final and binding upon both parties. The arbitration fees shall
be borne by the losing party, unless otherwise decided by the said Commission.

8. 法律适用 Application of Laws:

The laws of the People’s Republic of China are applicable while United Nations Convention on
Contracts for the International Sale of Goods is not excluded wherever applicable.

9. 价格条款 Price Terms:

This contract is governed by INCOTERMS 2020
