- Commodity supplied under this contract must be produced no more than 90 days before shipping date. In other
cases, the Seller must inform the Buyer via email/phone and receive acceptance of the Buyer
- Goods are loaded on pallets
- No Carbuterol, Cimaterol, Clenbuterol, Chloramphenicol, Diethylstilbestrol (DES), Dimetridazole, Fenoterol,
Furazolidon , Nitrofuran, Isoxuprin, Methyl-testosterone, Metronidazole, 19 Nor-testosterone, Ractoparnine,
Salbutamol, Terbutaline, Stilbenes, Trenbolone, Zeranol, Melamine
- The specification of product supplied under this contract shall conform to the specification set out in Certificate of
Analysis issued by the Manufacturer and standards registered with Vietnam authority before.
- Provide valid documents and CFS at buyer's request, flowchart and statement that the products provided under this
contract contain only one substance. There are some impurites remain after chemical production process and can not
removed completely but they are under the control
Article 2. Shipment terms:
- Loading on board from any port in China Destination: Cat Lai port, Vietnam.
- Partial shipment : Not allowed Transshipment: Allowed
- Vessel age : Not over 20 years old
- Shipment in FCL at discharge port, 14 free days DEM
- ETD: PROMPT
Article 3. Terms of payment:

Article 4. Documents required:
- Copy of Clean on Board Non- negotiable Bill of lading marked “Freight prepaid” with a stamp “Surrendered” and
notify the applicant
- 3 originals Signed Commercial Invoice based on net weight issued by the SELLER
- Detailed Packing list showing net/gross weight in total in triplicate
- 3 Original Certificate of Analysis issued by the manufacturer
- Full set of Insurance Certificate or Insurance Policy endorse in blank
- 1 Original and 3 Copies Certificate of Origin Form E issued by the China customs
Within 10 working days after the vessel departed, the Seller will send all scan copies of these above documents to
The BUYER via fax or email.
Note: Documents must be issued in English. Third party documents are accepted.
All banking charges outside Vietnam are for the Seller’s account and inside Vietnam are for the BUYER’s account.
Article 5. Insurance
Insurance shall be effected by the Seller. The Seller will buy insurance covering “All risks” for 110% of Invoice value.
Insurance certificate showing claim payable agent or survet agent or settlement agent at Ha Noi, VietNam by the
Vietnam insurance Company, Ha Noi branch.
Article 6. Inspection of goods.
If the Goods fail to conform with the contract in either quality and quantity, then the BUYER shall notify the SELLER
of any discrepancy without delay. The BUYER can invite any Independent Inspections Company to inspect the
specification of cargo within 30 days of the cargo arrival. If any claim for specification, Independent Inspection
Company’ survey report on type should be final.
Article 7. Buyer’s Rights in the Event of Discrepancy in Quality
If the goods supplied under this contract have quality that is different with Article 1, it shall give the Buyer the rights
to refuse DELIVERY of Goods in whole or in part and to recover from the Sell all payment made for the unaccepted
portion of the Goods as well as all costs, expenses and customs duties incurred by the Buyer in association with the
shipment, movement through customs, insurance or storage of the unaccepted portion of the Goods.
Article 8. Force Majeure.
In the event that the performance of this contract is prevented or delayed, in whole or in part by war, revolution, riot,
strike or other labor dispute, fire, flood, typhoon or any other cause beyond the control of the parties hereto, then the
parties shall not be liable for any default in the performance of all or any part of this contract, provided that immediate
notice of said delay shall perform such obligations with all obligations with all due speed unless the contract is
previously terminated.
Article 9. Arbitration
All disputes arising from the execution of, or in connection this contract, shall be settled amicably through friendly
negotiation. In case no settlement can be reached through negotiation, the case shall then be submitted to International
Arbitration Center of Chamber of Commerce and Industry of Vietnam under rules of Conciliation and Arbitration of
International Chamber of Commerce. The award rendered by the said Arbitration shall be final and binding upon both
parties. All fees and expenses incurred in the Arbitration shall be borne by losing party.

Article 10. Obligation

Both the signers of the contract that are the SELLERs and the BUYER as referred to above, shall assume full
responsibilities in fulfilling their obligations as per the terms and conditions herein stipulated. Any dispute arising
from the execution of or in connection with the contract shall be settled in accordance with terms stipulated above
between the Signers of this Contract only, without involving the third party

Article 11 .Other conditions
This contract is not changed, modified or amended by the parties of this contract provided that such change,
modification or amendment is in written and signed by both parties.
This contract is to made of 02 copies, each parties keep one, fax or email copies have same value
