Service Agreement & Statement of Work

The following agreement between Foura L.L.C (hereinafter known as “agency”) and (client
company name) (hereinafter known as “the Client”) is effective for (date) immediately upon
signing, or payment for services, whichever occurs first.

This Statement of Work includes the following services and deliverables:

*Please note that all payments are non-refundable once processed. Additionally, it's important
to understand that all ad spend is directly linked to the Facebook platform, so that will be directly
connected to their platform.

Terms of Service

Foura Consulting is committed to providing all participants in the agreement with a positive
experience. Thus, Tripathi Consulting may, at its sole discretion, limit, suspend, or terminate this
agreement if the Client becomes disruptive and/ or demonstrates inappropriate or abusive
behavior towards Agency name and/ or its representatives, fails to follow program guidelines, or
impairs Tripathi Consulting ability to perform services.
Liability

Foura Consulting is not liable if the Client’s ad account, profile, or business page is disabled,
deactivated, or banned by primary platform and/ or other web-based platforms, if that platform
does not approve our ads, forces us into the special ads category, or otherwise prevents us
from providing service.

The Client understands that as the account holder, they are responsible for filing appeals with
the platform under such circumstances as named in the paragraph above, under Agency
name’s guidance and advice.

In no event shall either party be liable to the other party, or be deemed to have breached this
agreement, for any failure or delay in performing its obligations under this agreement (except for
any obligations to make payments for services already rendered), if and to the extent such
failure or delay is caused by any circumstances beyond either party's reasonable control,
including but not limited to acts of God, flood, fire, earthquake, explosion, war, terrorism,
invasion, riot or other civil unrest, strikes, labor stoppages or slowdowns or other industrial
disturbances, or passage of law or any action taken by a governmental or public authority,
including imposing an embargo.

No Guarantee

Foura Consulting does not provide any explicit warranty or guarantee of achieving specific
levels of performance or results. Any examples of results achieved for other clients, when
shared with the Client, are for illustrative purposes only. The Client acknowledges that these
examples are not indicative of promised results or specific performance levels.

Ad Spend & Software Fee

The Client hereby agrees to invest a minimum amount of (amount) in monthly ad spend. Foura
Consulting reserves the right to spend less than the entirety of the Client’s approved monthly
ad budget, if we determine it to be in the Client’s best interest according to proven strategies
and best practice.

Furthermore, the Client acknowledges and agrees to an additional $97 USD fee for the lead
capturing software. All payments are non-refundable once processed.

Termination.

After the conclusion of the free trial period, the Client will have the following options:

Continuation: If the Client wishes to continue utilizing the services provided by Foura
Consulting beyond the free trial, both Parties will engage in discussions to establish the terms,
pricing, and conditions of a prospective extended engagement.
Termination: If the Client decides not to continue with our services after the free trial period, they
may choose to terminate this Agreement. In the event of termination, the Client is not liable for
any ongoing management fees beyond the free trial. However, the Client shall be responsible
for any agreed setup fees and ad spend incurred during the trial period.

Privacy & Confidentiality

No part of the Client’s confidential and proprietary information, ideas, business plans, and trade
secrets (collectively "Confidential Information") shall be shared outside of Foura Consulting
without the Client’s express knowledge and approval. Tripathi Consulting has no right and
license to use any of the Client’s data, assets, or materials outside the term of the agreement,
and only to the extent necessary to provide the services to the Client. The reproduction,
distribution, and sale of Foura Consulting’s strategies, assets, and materials by anyone but
Foura Consulting is strictly prohibited. The Client shall not infringe any of Foura Consulting
copyright, patent, trademark, trade secrets, or other intellectual property rights. All provided
materials, assets, strategies, and Confidential Information shared by Foura Consulting and/ or
its representatives belong solely and exclusively to Foura Consulting, and may only be used
by the Client as authorized by Foura Consulting. Video and phone calls will be recorded for
quality and training purposes. The Client may request access and view recorded calls at any
time during the term of service. Foura Consulting reserves the right to distribute excerpts of
recorded calls and proof of campaign results in our internal marketing campaigns for testimonial
purposes.

Entire Agreement.

This Agreement represents the comprehensive, final, and exclusive understanding between the
Parties. No alterations or modifications to this Agreement are valid unless made in writing and
signed by both Parties.

Interpretation and Enforcement

Both Parties acknowledge that the construction and interpretation of this Agreement shall be
governed by the laws of Canada. In the event that legal action is initiated by either Party to
enforce this Agreement, the Parties concur that the appropriate venue for such action shall be
the courts of Canada.

Acceptance of Terms
