WHEREAS, the SELLER under the Joint Venture Agreement with the registered owner of the
aforementioned properties has designed a residential subdivision called PALM MANSIONS with a
corresponding layout plan mapping out subdivided parcels of land into several blocks and further
subdivided into several lots;
WHEREAS, from the above-mentioned subdivided parcels of land, the SELLER has offered to
sell to the BUYER Block 7 Lot 54, TWO HUNDRED AND FORTY-TWO (242) Square meters,
covered by TCT No. 327188, as indicated in the subdivision scheme and map;
NOW THEREFORE, for and in consideration of the premises, and more specifically of the sum
of ONE MILLION FOUR HUNDRED SEVENTY-SIX THOUSAND TWO HUNDRED
(P1,476,200.00), Philippine Currency, the said SELLER does hereby sell, transfer and convey in a
manner absolute and irrevocable, in favour of the BUYER, his heirs, and assigns, the portion of land
above-described, payable in the following manner and covered by the conditions, to wit;
1. That the price of the said property is ONE MILLION FOUR HUNDRED SEVENTY-SIX
THOUSAND TWO HUNDRED (P1,476,200.00) in Philippine Currency which is payable
in the following manner:

1.A. The Down Payment amounting to SEVEN HUNDRED THIRTY-EIGHT
THOUSAND ONE HUNDRED (P738,100.00) in Philippine Currency is payable upon
signing of this contract;
As soon as the SELLER signs this contract, the BUYER shall immediately prepare the
corresponding payments and pay directly to the office of the SELLER.
2. The SELLER and the BUYER agrees that the notarial fees and capital gains tax ("CGT")
due on the sale shall be for the account of the SELLER.
3. The BUYER agreed that the documentary stamps tax (DST) and cost of transfer of the TCT
from the SELLER to the BUYER including all fees that will be imposed by the Registry of
Deeds for the Province of Rizal shall be for the account of the BUYER.
4. That the BUYER understood that the development of the project will be completed in thirty-
six (36) months from the signing of this agreement.
5. That the SELLER shall allow the BUYER to construct a residential establishment on their
purchased lot as soon as the lot was surveyed (within the period of 3 years), and the BUYER
has already paid FIFTY PERCENT (50%) of the total contract price.
6. In case the BUYERS fail to comply with the terms of payment, the SELLER hereby grants
five (5) days grace period and 1/4 of ONE PERCENT (1%) penalty per day based on the
amount of monthly payment.
7. The BUYER agrees that incase of refund, he/she that the total commissions released to the
marketing agency plus five percent (5%) administrative fees will be deducted from the
refundable amount.
8. Failure to pay of the herein BUYERS for three (3) consecutive monthly payment as
scheduled will be ground for the cancellation of this Contract and the total payments made to
the SELLER will be forfeited.
9. That the SELLER shall execute a Deed of Absolute Sale in favor of the BUYER upon full
payment.
10. After full payment of the contract price, the SELLER should transfer the title and other
documents relative to the transfer to the BUYER, within the period of Three (3) years.
11. The SELLER hereby expressly warrants unto the BUYER, the latter’s heir(s), assign(s)
and/or successor(s)-in-interest, the validity of the former’s title to the subject property and
that such property is free from any lien or encumbrance whatsoever, and that the SELLER
will defend said title against any claim by any third party;
