CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL is made and entered into by:

BGP AGRI-BUSINESS CO. as represented by owners Marivic L. Gutierrez, and


Delfin V. Dela Paz, married, of legal age, and residing in Town and Country
Executive Village, Antipolo City, herein referred to as the SELLER;

-AND-

JEMA DELA CRUZ ZHOU, married to Zhou Qing, of legal age, and residing in
Daang Hari St. Maybamcal, Morong, Rizal, herein referred to as the BUYER;

WITNESSETH;

WHEREAS, SELLER is the registered owner of a parcel of land with


improvements located at Sitio Mambog and Patak Dalaga, Mun. of Baras, Prov.
Of Rizal, Is. Of Luzon and covered by Transfer Certificate of Title No. M-31753
containing a total area of ONE THOUSAND SEVEN HUNDRED SEVENTY
SQUARE METERS (1770 SQM), issued by the Registry of Deeds of Morong;

WHEREAS, the BUYER has offered to buy and the SELLER has agreed to
the abovementioned property under the terms and conditions herein below set
forth;

1. The agreed upon price is THREE THOUSAND THREE HUNDRED PESOS


PER SQUAR METER (Php 3,300.00/SQM ) amounting to FIVE MILLION
EIGHT HUNDRED FORTY ONE THOUSAND PESOS ONLY (Php
5,841,000.00);

2. The down payment of THREE MILLION PESOS (Php 3,000,000.00) shall


be delivered in cash upon execution of this Contract to Sell and shall be
considered part of the total Contract Price;
3. The remaining balance amounting to TWO MILLION EIGHT HUNDRED
FORTY ONE THOUSAND PESOS (Php 2,841,000.00) shall be payable in
the following dates with the corresponding checks;
a) OCTOBER 15, 2023 – NINE HUNDRED FORTY SEVEN THOUSAND
PESOS (Php 947,000.00)
b) NOVEMBER 15, 2023 - NINE HUNDRED FORTY SEVEN THOUSAND
PESOS (Php 947,000.00)
c) DECEMBER 15, 2023 - NINE HUNDRED FORTY SEVEN THOUSAND
PESOS (Php 947,000.00)

4. The SELLER shall cover the REAL ESTATE TAX up to the time of sale, and
the Capital Gains Tax;

5. The BUYER shall cover the Documentary Stamp Tax and the Transfer Fees
and all miscellaneous fees and expenses to transfer the certificate of title
in the name of the new owner.

6. The Notarization fees of the DEED OF ABSOLUTE SALE shall be


shouldered by both the SELLER and the BUYER equally;

7. Upon full payment of the total price, the SELLER shall sign and executed
a DEED OF ABSOLUTE SALE in favour of the BUYER. The SELLER shall
likewise execute and delivery any and all documents, including but not
limited to the original copy of the Transfer Certificate of Title, Tax
Declaration and all other documents necessary for the transfer of
ownership from the SELLER to the BUYER. Should SELLER fail to do so
for any reason, the SELLER hereby undertakes to return / refund to the
BUYERS all payments made by them to serve as a guarantee that the
SELLER shall faithfully comply with the obligations imposed under this
CONTRACT;

8. In case of delay of payment in the monthly installments by the BUYER,


the SELLER is entitled to 5% interest of the amount due per month;

9. In case the BUYER renege on their obligation to pay, the BUYER shall
forfeit Php 100,000.00 in addition to shouldering the necessary expenses
undertaken by the SELLER to accommodate the sale which shall be and
not limited to: AGENT FEES, REAL PROPERTY TAX.
