PROPOSAL AND RELEASE

Dear Sir/s,

We wish to submit for consideration by MX Media & Entertainment Pte. Ltd. (“MX”), an idea
for a program/series, all the main points of which (including the title and all materials submitted)
are annexed herewith as Annexure-A (“Proposal”).

We acknowledge and agree that MX engages extensively in activities in creating, acquiring and
developing literary, artistic, musical, dramatic and other work/material, including stories, ideas,
themes, plots, titles, formats, screenplays, and concepts for motion pictures, cinematograph
films, shows etc.(hereinafter referred to as “Materials”). We further agree that the Proposal may
have resemblance or similarity to any elements of the Materials which MX may have already
originated, authored or acquired by/from its own employees or other persons or which may be
originated, authored or acquired by/from any employee or other persons in the future and such
resemblance or similarity shall in no manner give us any rights to make any claims against MX
and/or its affiliates for any resemblance and/or similarity. We appreciate MX’s concern that any
examination of the Proposal, without a full release of liability, might expose MX to a claim of
plagiarism, or some other claim or threat of litigation.

Therefore, we agree that our submission and MX’s receipt and consideration of the Proposal
shall be subject to the following representations and terms:

1. Our submission of the Proposal to MX is voluntary, not solicited by MX, and not under
any express or implied terms of confidence. There are no materials being submitted to
MX other than those described in Annexure-A

2. Presently, there is no agreement between us and MX, which is express or implied relating
to MX’s use or failure to use the Proposal and this Proposal shall in no manner create any
contractual obligations on MX.

3. We warrant that (a) the Proposal does not infringe any existing work which is published
or unpublished and/or has been disclosed to us in confidence, (b) that We have full power
and authority to submit the Proposal to MX.

4. We agree that MX shall not be liable for any destruction of such copy of the Proposal
while it is in MX’s possession or in transit.

5. We recognize that no examination of the Proposal has been carried out by MX or on its
behalf at the time of submission of this Proposal.

6. MX reserves the right to accept or reject the Proposal in its sole discretion. If the
negotiations to produce any program based on this Proposal does not materialize, then
We shall not hold MX liable for any of its future programs/series bearing any
resemblance and/or similarity with the Proposal or any elements thereof and to this extent
shall keep MX indemnified from any and all claims.

7. We acknowledge and agree that any commitment from MX to produce any

program/series based on the Proposal or otherwise shall only be considered to be binding
on MX on approval by its management and execution of a written agreement signed by
the authorized signatories.

8. We agree that in consideration of MX considering the Proposal, We undertake and agree

that We shall not discuss or present this Proposal with/to any other person for a period of
2 (two) months from the date of submission of this Proposal or until further notification
by MX on acceptance or rejection of the Proposal, whichever is earlier and this term shall
be binding on me and shall be enforceable against me.

9. If any provision of this letter is deemed to be wholly or partly invalid, this shall not
invalidate the remainder of the letter. Instead, the partly or wholly invalid provision shall
be replaced by another provision which comes as close as possible to the purpose of said
wholly or partly invalid provision. We hereby fully release MX and its affiliates from any
claims from my/our side arising from this Proposal.

10. This Proposal shall be governed by and construed in accordance with the laws of India
and any disputes, differences or claims arising between the parties out of or pertaining to
this Proposal shall be subject to the exclusive jurisdiction of courts in Mumbai.
