RE: Letter of Intent
Dear Mr. Nagar,
I am writing to formally express our interest in investing in TempraMed Israel Ltd. ("Company"). This
Letter of Intent ("LOI") is a preliminary indication of our intention to invest $500,000 USD (the
"Investment") in the Company, following our encouraging observations of the Company's progress
since our initial discussions in 2023, the anticipated product launch in 2024, and the recent approval
of the Israel Innovation Authority grant.
1. Subject to the terms and conditions outlined herein, the satisfactory completion of due diligence,
and the successful negotiation of a definitive agreement, we propose to invest $500,000 USD in the
Company. It is our intention, should both parties reach an agreement, to formalize this investment
through a Simple Agreement for Future Equity ("SAFE") or another mutually agreeable definitive
investment agreement.
2. Our investment consideration will involve a customary due diligence process, which is expected to
include, but not be limited to, a thorough review of the Company's financial statements, legal
documentation, and business plans.
3. This LOI does not confer any exclusivity rights regarding the Investment. The Company retains the
right to engage in discussions with other potential investors.
4. This LOI is not intended to be, nor should it be construed as, a legally binding commitment by
either party. The Investment is subject to the negotiation and execution of a definitive SAFE
agreement or another mutually agreeable definitive investment agreement, along with other conditions
to be outlined therein. This LOI merely signifies the current intentions of both TempraMed Israel and
[Investor] regarding the terms of the potential SAFE agreement. As such, no legally binding
obligations shall arise from this LOI.

5. This LOI shall be governed by and construed in accordance with the laws of [State/Country].

possibility of formalizing our agreement.
