TERMS AND CONDITIONS

The Participant acknowledges that he/she is taking part in a pre-release phase of the set top box decoder
project; during which information will be made available which is not available to the general public and
which Multichoice wishes to keep confidential.

1. CONFIDENTIALITY AND NON-DISCLOSURE

1.1 For purposes of this agreement, “Confidential Information” means information that is made
available to you by MultiChoice of every kind and from, in electronic or tangible form, relating to the set top
box decoder. Confidential information includes, but is not limited to, all information related to the set top
box, your participation in the project, designs, graphics, characters, emails, screenshots, marketing
communications, promotional details, plans, written or printed documents and testing protocols.

1.2 The Participant will under no circumstances use the Confidential Information for his/her own benefit
or for the benefit of any third party; or disclose any such Confidential Information, either directly or indirectly,
to any third party in any way. Furthermore, the participant shall ensure that all reasonable steps are taken
to ensure that there is no inadvertent disclosure of information to third parties through negligence.

1.3 The provisions of this clause will survive the conclusion and/or termination of the pre-release phase
of the project.
2. SPECIFIC PROVISIONS
2.1 The participant shall not disclose any information related to the “look and feel”, front panel design,
user interface design or remote control design by any means, to any third parties. This includes photographs
of any of the aforementioned items.
2.2 The participant shall not disclose any information related to the results of the trial to any third
parties.
2.3 Any hardware assigned to the participant is non-transferrable and is for the sole use of the
participant. Any attempt to lend, rent, sell or otherwise transfer the hardware provided by Multichoice,
either temporarily or permanently, shall be construed as a material breach of this agreement.
