SERVICE PROVIDER AGREEMENT(SPA)

Between
Selim Reza Peeraullee (ID: xxxx). with Business Registration Number (BRN) CXXXXXX
and registered official address at 7A, Quinze Cantons Lane 1 Vacoas, Republic of
Mauritius hereinafter referred to as the ‘Service Provider’ bearer of Mauritian National
Identity Card no. P 070367300410F;
And
‘Le Défi Plus Ltée’ within ‘Le Défi Media Group (LDMG)’ having its registered office
address at C/r Antonio and Labourdonnais Streets, Port Louis, Republic of Mauritius
and Business Registration Number (BRN) C07018762, duly represented for the purposes
of this agreement by Mr. JADDOO Fouad, acting in his capacity as ‘Group Coordination
Manager’/ ‘LDMG Procurement Committee Member’ and Mr. BAHADOOR Imran
acting in his capacity as ‘Group Human Resources Manager’, hereinafter referred to as
the ‘Client’;
The present Agreement is entered into pursuant to the letter dated xx March 2023
submitted by Selim Peeraullee to the ‘Client’ stating that he wishes to offer his services to
‘Le Défi Plus Ltée’ and its allied entities within ‘Le Défi Media Group’ as from the 03/03/2023 on
a ‘Service Provider’ basis as follows:
● Develop, conceptualize, market and organise events of such type as may be appropriate to the
Group’s strategy;
● Assist and act as Marketing strategist & consultant in the Group’s various media platforms
as may be required by Management;
Therefore, it has been agreed and covenanted as follows:

1) The ‘Service Provider’ shall offer the following services to the Client: -
(a) Business development for ‘Le Défi Plus Ltée’ within ‘Le Défi Media Group
(LDMG)’. Such service to consist of the following:
(i) Develop, conceptualize, market , organise and manage events of such type as
may be appropriate to the Group’s strategy;
(ii) Assist and act as Marketing strategist & consultant in the marketing of the
Group’s various platforms as may be required by ManagementAssist in the
development and revamping of the Defi Deal Platform;
(b) The Service Provider shall get the approval of the ‘Client’ before engaging in any
project.
(c) A full revenue/cost report must be submitted for approval to the Procurement
Committee of the ‘Client’ prior to start of any project. The Procurement Committee
reserves the right to include such costs in the project as it deems fit to reflect the
various hidden costs and overheads associated to projects. The procurement
committee will submit a clear establish set LDMG available services and guideline of
such hidden cost. i.e rate cards, multimedia, digital, social media, admin & transport
cost …..Any such costs shall be included when the cost/revenue budget for the
particular event is submitted by the Service Provider.
(d) The Service Provider shall exercise caution with the use of the Client’s logo and its
other office stationeries.

2) Terms and conditions


(a) The ‘Service Provider’ shall make necessary arrangements to operate from his
principal place of business or at other locations agreed with the ‘Client’ as per
projects and/or operational requirements;
(b) The Service Provider shall submit an invoice to Finance Department at least 5
working days prior to end of the month to claim the agreed monthly fee of Rs
420000.00/- (Forty-Two thousand Mauritian rupees only) and any commission on
net income generated by events organised by him.

It is clearly emphasised and agreed that all sponsorships for Digital / Multimedia
programmes should come from NEW customers and NOT from existing portfolios
of the Group’s Marketing Departments.Not possible unrealistic as Novel
Marketing – Community based marketing . Open for the the new cluster for the
specific projects. DMG more beneficial as main objective – organic brand leverage
of the group. (Hidden non-financial gain)It is understood that the Service Provider
may approach existing customers to propose event related packages and such
services which are not being already provided by allocated marketing staff. As far
as possible, the Service Provider shall also approach new clients to expand the
Group’s portfolio.
Note that the minimum threshold and commission basis may be amended by the
‘Client’ from time to time after discussion with the ‘Service Provider’; After second
agreed contract periodat renewal of this contract. Attached commission basisThe
commission rate after deducting expenses shall be xx%.
(c) It is understood that a Tax Deduction at Source (TDS) of 3% applicable will be
remitted to the Mauritius Revenue Authority (MRA); Any other tax applicable as per
legislation in the Republic of Mauritius shall have to be remitted by the ‘Service
Provider’ to the MRA or other related financial institutions concern;
(d)This agreement shall be valid for the period starting from the date of signature (i.e.
from March to November 2023) and there shall be no tacit renewal at its end date;
(e) The ‘Client’ reserves the right to temporary suspend this agreement in case of any
‘force majeure’ affecting the smooth operation of its activities or government’s decision
for a national lockdown;
(f) The ‘Clients’ will reserve the rights to monitor and assess the performance of the
‘Service provider’ on a monthly basis.
(g)The ‘Service Provider’ shall not solicit or otherwise contact any clients or entities
which has been serviced under this agreement for a period of no less than 12 months
after the termination of this present agreement. For similar activitiesThis restriction is
for such services which are similar in nature to that provided by the Service Provider
to the client.
(h)The ‘Service Provider’ shall provide such information and updates on all
events/projects in progress as and when requested by Management.
(i) The ‘Service Provider’ is entirely responsible for the collection of all monies from
clients on a timely basis under events or any projects organised. Payment addressed to
Defi Plus Ltee – Which Terms such as 50 % at start and monthly??????before end of
campaign ,event .Time line based payment .Invoices from Defi. More appropriate as
projects under Dmg. Once invoices are issued to the ultimate client upon instruction
received from the Service Provider, the latter shall be responsible to follow up for
timely payment from ultimate client.
(j) It is agreed that all the intellectual properties, trademarks, licenses and concepts
derived from this present agreement shall remain the property of the Client and all its
related entities.
(k)Both parties reserve the right to terminate this present agreement by giving two
weeks’ prior notice.
(l) In case both parties express their interest to renew the ‘Service Provider’ agreement
after its expiry date, it will only be valid if done in writing.
(m) It is agreed between both parties that this Agreement does not constitute an
employment agreement and it is hereby understood that the representative of the
‘Service Provider’, as a self-employed contractor, is not an officer, employee or agent
of the ‘Client’.
3) ACKNOWLEDGEMENTS AND AGREEMENT
By signing this document, the ‘Service Provider’ represents and warrants that he has
READ, UNDERSTOOD AND AGREED to all the above conditions.
No trade, custom or usage shall affect this Agreement or the terms and conditions
thereof.

Upon termination as per above, all obligations of both Parties shall end. Any provision
of this Agreement that, by its nature is intended to survive termination of this
Agreement, shall survive termination of this Agreement.
Made in two (2) original copies – Each party to this agreement shall keep one ‘original’
copy for any future reference.
