Dear Sir/Madam:

Pursuant to the above referenced Invitation to Bid, we [BIDDER’s Name] (hereinafter referred to as
the “Bidder” or the “Contractor”), having our main or registered office at [BIDDER’s Address], which
expression shall include the Contractor group and its affiliates, sub-contractors (any tiers) and their
affiliates, the respective agents, directors, officers, employees, consultants and agency personnel of
the persons included,

hereby acknowledge to KPower Berhad (hereinafter referred to as the “Company”) as follows:

1. We are in receipt of the subject Invitation to Bid (“ITB”) and intend to submit a bid for
consideration by Company.
2. We note and agree that this Letter of Integrity Pact shall form part of our bid.
In consideration of the foregoing and in acknowledgement of the sole right, prerogative and control of
Company over this tendering exercise, we agreed that this Letter of Integrity Pact shall be executed
based on the terms and condition thereto:

a. Commitment of the Company

The Company commits itself to take necessary steps to prevent corruption & unethical
practices and bring transparency in all the processes.

b. Commitment of the Bidder or Contractor

The Bidder or Contractor commits to take all necessary measures not to involve in any type of
Corrupt practice during the Tender Process as well as the Execution of the Contract.

i. The Bidder or Contractor will not offer or promise to offer to any of the Company’s
employee the gratification or benefit for which is not legally entitled to get undue
favour or advantage or information related to tender process and during the execution
of the Contract; or
ii. The Bidder or Contractor will not enter into Agreement with other Contenders or
Contractors to derail fair Tender Process and other unethical understanding related to
this tender process; or
iii. The Bidder or Contractor will not pass on to others the Confidential Information
provided by the Company as part of Tender Documents; and
iv. Others as deemed applicable to any type of Corrupt practice and unethical
understanding.

c. Violation, Penalties and Bankruptcy

The Bidder or Contractor if found violate or bankruptcy will be liable to the following penalties:

i. Will be entitled to be disqualified from this tendering exercise; or

 ii. If after award of Contract, the Bidder or Contractor is found guilty of breach of the
integrity pact, the Company will be entitled to terminate the Contract with the
Contractor; or
iii. The Company will have full rights to disqualify the default Bidder or Contractor for
participation in the forthcoming tender exercise for a certain period OR black list it
permanently OR to forfeit the security deposit depending upon seriousness of
offence.

We will sign and submit to the Company this Letter of Integrity Pact to be entitled to participate in this
tendering process or continue with the Contract process.

This Letter of Integrity Pact shall be valid from the date hereof and shall continue to survive beyond
the bid closing date and the subsequent contract award date.
