THIS DEED OF ASSIGNMENT is made and entered into at BOISAR
on this day of December 2016 BETWEEN

at …………………………………………………… hereinafter referred to as the
ASSIGNOR/TRANSFEROR, (which expression shall unless repugnant to
the context or meaning thereof be deemed to mean and include their
heirs executors, administrators and assigns) OF THE ONE PART.
AND
……………………………………………, age years, having its register office at
………………………………………………………………………. herein under referred
to as the ASSIGNEES/TRANSFEREES, (which expression shall unless it
be repugnant to the context or meaning thereof be deemed to mean and
include their heirs, executors, administrators and assigns) of THE
OTHER PART.

WHEREAS the Assignor/Transferor is a member and Lessee of
the Maharashtra Industrial Development Corporation, hereinafter
referred to as the said MIDC, and member of the said MIDC, The
Assignor/Transferer is also the owner of a Industrial Shed standing on
Plot being Plot NO. ………… admeasuring about ………….. Sq.Mtrs. with
………………. Sq.Mtrs. Industrial constructions thereon in the said MIDC
property at Tarapur MIDC area, Taluka Palghar, Dist. Thane, hereinafter
referred to as the said Plot and Premises.
AND WHEREAS the Assignor/Transferer have agreed to sell
transfer and assigns all he’s right, title and interest in respect of the said
shares plot and premises which are standing in the name of the
Assignors / Transferers ……………………………………… and
Assignees/Transferees have agreed to acquire the same on certain
terms and conditions as agreed upon by and between the parties hereby
and as recorded hereinafter:
IT IS HEREBY AGREED NY AND BETWEEN THE PARTIES HERETO AS
FOLLOWS :
1. The Assignor/Transferor hereby declares and confirm that he is a
Lessee of the Maharashtra Industrial Development Corporation,
hereinafter referred to as the said MIDC, the Assignor /
Transferor is also holding a Plot. As Lessee being Plot No.
………….. admeasuring about ……….. Sq.Mtrs. with Industrial
Constructions admeasuring ………….. Sq.Mtrs. on situate at village
…………….. in the property of the said MIDC at Tarapur MIDC.
Taluka Palghar, Dist. Thane hereinafter referred to as the said plot
and premises.

2. The Assignor / Transferor hereby further declares and confirms
that the said Industrial shed are free from all encumbrances and
no liability or charge of whatsoever nature has been created by
the Transferor in respect thereof and that the
Assignor/Transferor is fully entitled to deal with, transferee and
dispose of their right, title and interest in respect of thereof.
3. The Transferor have sold, assigned and transferred all their right
title and interest in respect of the said Industrial Shed and
Industrial plot in favour of the Transferees/Assignees at and for a
lumsum consideration of Rs……………………/- (Rupees
………………………………………………………. Only).
4. The Transferee has paid to the Transferor the entire
consideration of Rs. ……………………/- (Rupees
…………………………………… Only) for transferring, selling and
assigning the right, title and interest of the Transferor in respect
of the said Industrial Shed and Plot in favour of the Transferee’s
on or before the execution of these presents and the Transferor
hereby acknowledges the receipt of the said payment and fully
discharges to the Transferee from the payment thereof. And
therefore the transferor have hand over and delivered the
peaceful possession of the said plot and premises to transferees.
5. The Transferors has to obtain the requisite no objection
certificate from the said MIDC along with copy of Labor
Commissioner note and any other document, for the purpose
getting the said Plot transferred in the name of the Transferees
.All expense in procuring about documents into be borne by the
transferor. The transferor also hereby agrees to indemnify the
transferee for any damages incurred for non compliance of the

submission of NOC or any other requisite document for
transferring the plot in the name of transferee.
6. The Transferor have also signed, executed and delivered to the
Transferees the transfer form and other papers duly signed for
the purpose of getting the said plot transferred in the name of the
Transferee in the records of the said M.I.D.C. In case any other
documents of papers are required in that behalf the Transferor
hereby agrees and undertakes to sign, executer and deliver the
same to the Transferee immediately on a demand being made by
the Transferee to the Transferor in that behalf.
7. The Transferors have paid to the said MIDC the MIDC charges and
other outgoing in respect of the said Industrial Shed and plot upto
………………….. In case any amount is found to be due and payable
by the Transferor to the said MIDC towards MIDC charges and
other outgoing or any other amount in any manner whatsoever
for the period upto …………………….. and the Transferor is asked to
make payment thereof, the Transferor hereby agrees and
undertake to pay the said amount to the MIDC on demand being
made by the MIDC to the Transferor.
8. The Transferees shall be responsible to make payment of the
maintenance and all other outgoing in respect of the said
Industrial Shed and plot to the MIDC on and after from
……………………..
9. The Transferee hereby agrees and undertakes to become a
member of the said MIDC and also abide by the rules, regulations,
resolutions and bye-laws of the said MIDC which are in force and
which may be framed, from time to time.

10. The Transferor have handed over the vacant and peaceful
possession of the said Industrial Shed and Plot with Industrial
Construction to the transferee and the Transferor hereby
acknowledgement/confirm having received the possession
thereof.
11. The transferors has to obtain the requisite No objection certificate
from the shed MIDC along with copy of Labor Commissioner note
and any other document, for the purpose getting the said Plot
transferred in the name of the Transferee immediately.

All that Piece and Parcel of Land together with hereditament and
premises and building now standing thereon and situated, lying and
