DISCLAIMER
The information contained in this Expression of Interest (Eol) document provided to the
Intending Technology Partner (ITP)\s), by or on behalf of Electronics Corporation of India
Limited, (ECIL) or any of its employees or advisors, is provided to the ITP on the terms and
conditions set out in this Eol document and all other terms and conditions subject to which
such information is provided.
1. The purpose of this Eol document is to provide the ITP with information to assist the
formulation of their proposal. Thi
information each ITP may require. This Eol document may not be appropriate for all
persons, and it is not possible for ECIL, its employees or advisors to consider the
business/investment objectives, financial situation and particular needs of each ITP who
reads or uses this Eol document. Each ITP should conduct his own investigations and
analysis and should check the accuracy, reliability and completeness of the information in
this Eol document and where necessary obtain independent advice from appropriate
sources,

discussion/presentation and submission of response against this Eol, ECIL shall in no case
be responsible or liable for these costs regardless of the conduct or outcome of the Eol
process
6. Canvassing in any form by the ITP or by any other agency on their behalf shall lead to
disqualification of their Eol.
7. Notwithstanding anything contained in this Eol, ECIL reserves the right to accept or reject
any application and to annul the Eol process and reject all applications, at any time
without any liability or any obligation for such acceptance, rejection or annulment and
without assigning any reasons, thereof. In the event that ECIL rejects or annuls all the
applications, it may at its discretion, invite all eligible ITP(s) to submit fresh applications.
8. ECIL reserves the right to disqualify any applicant during or after completion of Eol
process, if itis found there was a material misrepresentation by any such applicant or the
applicant fails to provide within the specified time, supplemental information sought by
ECIL.
9. ECIL reserves the right to verify all statements, information and documents submitted by
the applicant in response to the Eol. Any such verification or lack of such verification by
ECIL shall not relieve the applicant of his obligations or liabilities hereunder nor will it
affect any rights of ECIL.

. INSTRUCTIONS
‘The interested ITPs shall ensure that their complete duly filled up response along
with annexure are received by ECIL on or before due date.
‘The response to Eol shall also be accompanied with details on company background,
technical features/ product catalogue, reference list of customers, details of
infrastructure facilities and relevant certificates, annual audited financial reports for
last three (3) years,
Language: All correspondences and documents related to the Eol response shall be
in English language, provided that any printed literature furnished by the ITP may be
written in another language, as long as such literature is accompanied by a
translation of its pertinent passages in English language in which case, for purposes
of interpretation of the bid, the English translation shall govern.
‘The ITP(s) shall abide by the terms & conditions, as applicable, of the Eol.
All pages of the response against this Eol shall be duly signed by the authorised
signatory.
Multiple proposals from the same ITP should not be submitted.
ECIL at its discretion shall inspect the ITP’s works/office/reference site premises for
the purpose of evaluation, as deemed necessary before selection of Partner. ECIL’s

decision in this regard shall be final
‘Any ITP which has been debarred/ blacklisted by indian Central/State Governments
or by any entity controlled by Indian Central/State Governments from participating
in any of their project, as on date of submission of Eol, shall not be eligible to submit
the Eol.
ECIL shall receive proposals pursuant to this Eol in accordance with the terms set
forth herein, as modified, altered, amended and clarified from time to time by ECIL,
and all applications shall be submitted in accordance with such terms on or before
the date specified in this Eo! for submission of applications.

1. DUE DILIGENCE
The ITP is expected to examine all instructions, forms, terms and conditions, and
specifications that are provided in the “EOI document”. The £01 should be precise,
complete and in the prescribed format as per the requirement(s) of the
"EO! document”. Failure to furnish all information required by the EO!
document or submission of an EOI not responsive to the ‘EO! document’ in every
respect will be at the ITP’s risk and may result in rejection of the proposal. The ITP shall
bear all costs associated with the preparation and submission of its EOI and ECIL will not
be in any case held responsible or be liable for these costs, regardless of the outcome of
the EOI Process.
NON-DISCLOSURE:
EOI documents and associated correspondence are subject to copy right laws and
always remain the property of the ECIL and must not be shared with third parties are
reproduced , whether in whole or part , without the ECIL’s prior written consent.
ITP should keep all technical specifications, scope, details of equipment at
corresponding locations, Drawings, Site Plans as confidential information and shall
not disclose without prior written consent of ECIL.
ITP should not advertise or publish, claim, canvas, solicit, reveal, disclose, advertise or
publicize in any manner, including through electronic or print media on the scope and
execution of the purchase order, if awarded
ITP should not publish/advertise/canvas partnership with ECIL, without ECIL’s written
permission
IP rights will remain with ECIL unless explicitly identified on case to case basis.
The teaming does not imply that two organizations represent each other as separate
legal entities (SLEs).

8) ITP should not publish the award and execution of purchase order, in their (or their
associate's) in-house newsletters, bulletins, magazines or any other publications —
limited or for public circulation, without prior written permission from ECIL
F. CONFIDENTIALITY:
Information relating to the examination, clarification, evaluation and comparison of Eo!
and recommendations shall not be disclosed to ITP. Any effort by ITP to influence ECIL in
processing of Eol or selection decisions may result in the rejection of the response
against Eol.
G, DISPUTE RESOLUTION:
In case of any dispute, in relation to this EOI, the ITP shall address the same for mutual
resolution, failing which the issue will be referred to the sole arbitrator to be appointed
by the Director (Personnel) of ECIL. The proceedings shall be held in accordance with the
provisions of the Arbitration and Conciliation Act, 1996 as amended. The venue of such
arbitration proceedings shall be at Hyderabad. The language of arbitration shall be
English. All disputes arising out of this EOI are subject to the exclusive jurisdiction of
courts in GHMC (Kapra circle), Hyderabad.

DETAILS OF EXPRESSION OF INTEREST (Eo!)
A. INTRODUCTION
To address the latest market trends and strengthen its manufacturing capabilities as
‘a market leader, proposal is invited under e-tender mode from the Intending
Technology Partners (ITPs) having proven technological capabilities including
necessary certifications for “Smart Energy Meters (Single Phase, Three Phase & LT-CT
Operated three phase) meeting IS 16444 Standard or latest” and ready for Transfer of
Technology (ToT) to ECIL as per terms & conditions enumerated below, may submit
their proposal.
B, ABOUT ECIL:
Electronics Corporation of India Limited, (ECIL), a leading Central Public Sector

Offices situated at New Delhi, Kolkata, Chennai, Mumbai and Bangalore is engaged in
design, development, manufacture, supply and installation of state-of-the-art
technology based solutions to core industrial, government and strategic sectors.

. PURPOSE
ECIL intends to manufacture “Smart Energy Meters (Single Phase, Three Phase & LT-CT
Operated three phase) meeting IS 16444 Standard or latest” and meeting existing
requirements as well as upcoming & future Tenders/EOI/RFP requirements of
DISCOMS or other Organization. In pursuance of the said objective, ECIL intends to
empanel the Original Equipment Manufacturers (OEMs) of Smart Energy Meters as its
Technology Partners based on this Eol. Upon receipt of responses against this Eol, ECIL
will review the responses to ascertain suitability of the offer and shortlist Intending
Technology Partners (ITPs) for empanelment and further discussions.

SECTION-4
SPECIAL TERMS AND CONDITION
‘The empanelment of Technology Partners or ITPs shall remain valid for a period of
5 (Five) years from the date of empanelment unless otherwise extended on the
same terms and conditions at the discretion of ECIL.
‘The empanelled ITPs only will be eligible to participate in subsequent RFPs/
tenders floated by ECIL as per the scope of this Eol. The selection of Technology
Partner will be based on competitive bidding amongst the empanelled ITPs.
. The selected ITP should be willing to enter into Technology Partnership
Agreement (TPA) with ECIL for registering the IP/copyright of the unique designs,
on ECIL name, of Smart Energy Meters (SEMs) ~ Single Phase, Three Phase and LT-
CT operated three phase compatible with 3G/4G/latest/NBIOT/RF technology or
any other technology as per customer requirement. Detailed discussions on terms
and conditions to finalize the Technology Partnership Agreement (TPA) shall be
held with selected ITP for each RFP/ tender floated by ECIL under the scope of this
Eol on case to case basis. The detailed terms and conditions for such Technology
Partnership Agreement (TPA) shall be mutually agreed upon.
ECIL reserves the right at its discretion to delist Empanelled ITPs on grounds of non
participation in two consequent RFP floated by ECIL under the scope of this Eol,
Empanelment with ECIL does not confer any default right to the ITPs to be invited
for participating in any bids, tender etc. to be floated by ECIL, in future. ECIL
reserves the right to call bids/assign work/associate the ITP(s) in any area as may
be deemed fit by ECIL depending upon the profile provided by the ITPs and
requirement of assignment, on a case to case basis.

SECTION=5
INDICATIVE SCOPE OF TECHNOLOGY PARTNER
5.1 The strategic alliance between ECIL and the ITP shall be for a period of minimum
five years or as per agreed time period from the date of the TPA. The ITP shall
provide designs of different variants of Smart Meters as per TPA to ECIL in order to
establish meter manufacturing facilities at ECIL. This shall also include obtaining the
plastic mould for the meter casing, meter box etc. required for manufacturing of
‘SEMs in ECIL.
5.2 The TPA of Smart Energy Meters includes transfer know how on hardware
design/software, plastic casing and meter box design, meter firmware, Inspection,
testing, quality assurance methods, troubleshooting, training, documentation,
design upgrades, system integration with AMI solution provider, field support etc. as
per various tendered customer requirements.
5.3 Under TPA the ITP should share all hardware design documents, Schematics, layout
design files, Gerber files including all required drawings, complete BOM with make
& model details of all Meter related PCBs, modem PCBs and respective
Gateway/DCU PCBs. ITP should also provide PCBs test zigs designs with all required
documents and diagnostic software with section wise Go/Nogo indication.
5.4 The ITP should share all applicable computer programs/ application software
including documentation, logics and libraries such as Proprietary DLMS stack for
DLMS Server and Client along with DLMS parameter details for all variants of Smart
Meters with different types of Communication modules and respective
Gateway/DCU etc.
5.SITP shall support ECIL in injection moulding of Plastic parts as per customer
requirement for the meter casing and meter box by sharing the design with the
moulding partner of ECIL in AutoCAD/ Solid works compatible file format.
5.6 The ITP shall ensure compliance, in totality, of his product to applicable Indian
Standard specifications or any other standard, as referred in the customer
requirement.
5.7 The ITP should be responsible to provide free software/firmware/patches/ upgrades
and hardware design upgrades to ECIL for the product as per customer order
conditions during the pre-sales and post sales phases of the product to ascertain the
compliance of the product with the standards and specifications during the contract
period.
5.8 The ITP shall support ECIL for field trial/Proof of Concept (PoC) as per customer
requirement towards the pre-supply qualification for the customer orders. The ITP
has to undertake the responsibility of successfully integrating the meter with the
back-end system of HES/MDMS etc. in coordination with the AMI solution provider

of the customer during the PoC.
5.9 The ITP shall ensure the design compliance of the smart meter on cellular 4G fall
back to 2G/NB-loT/RF Mesh/other future communications technologies for various
frequency bands as prescribed by Central Electricity Authority (CEA) or any other
regulatory authority.
5.10 The ITP should meet the pre-qualification requirements as per Section-6 of Eol. ITP
shall provide clause-by-clause compliance for eligibility conditions as per Section-7
and conform to the requirements, by providing undertaking as per Annexure-Il.
5.11 The ITP shall be responsible on behalf of ECIL to obtain all necessary development
testing, certifications and approvals as required such as Type Approval from
NABL/International accredited agencies & BIS Certification for ECIL make products in
the name of ECIL within 3 months from the date of signing of TPA. The ITP has to co-
ordinate with the certifying agencies for ascertaining all the technical requirements,
for getting the certification/approval. However, all Certification & all Testing charges
will be paid/ reimbursed by ECIL.
5.12 The ITP shall be responsible for ECIL to obtain prequalification and technical
empanelment certificate, as an AMI solution provider (AMISP), from REC and
approved by the committee constituted thereby the Ministry of Power within 3
months from the date of signing of TPA.
5.13 After/during successful TOT process, the ITP shall also support ECIL for the Tenders
/ Purchase orders of Government, PSUs, Defence and Private customers for the SEM
and related services on technical aspects.
5.14 ECIL shall be solely responsible for procuring the materials as per BOM
requirement for manufacturing, while the selected ITP shall support sourcing of the
materials from their vendors at a competitive rate including plastic parts. ITP has to
provide the detailed technical specifications, drawings etc. for all the components
being sourced from their approved vendor or from open market. ITP shall also
extend the technical support for using the equivalent items compatible to the BOM
items. Any proprietary items that are being used in the meter design to be spelt out
clearly during the TOT process. Procurement of 8OM directly from ITP also can be
resorted to, if economically beneficial to ECIL
5.15 The TPA will be valid for an initial period of 05 Years with the scope to extend the
arrangement further on mutual consent. The commercial and other terms and
conditions for such Technology Partnership Agreement (TPA) shall be mutually
agreed upon,

PRE-QUALIFICATION REQUIREMENTS (PQR)
ITP should meet all Pre-Qualification Requirements as mentioned below:
6.1 ITP should be an Original Designer/ Original Equipment Manufacturer (OEM) of “Smart
Energy Meters (Single Phase / Three Phase / LT- CT operated three phase) meeting IS
16444 Standard”
6.2 ITP should have designed, integrated and manufactured “Smart Energy Meters (Single
Phase/Three Phase/LT-CT) meeting 1S16444 Standard” and obtained the required type
Approval Certificate from any NABL/international accredited agencies for Single Phase,
Three Phase and LT-CT for itself or its Technology Partners. ITP must confirm that there are
no Patent / legal issues that might become hindrance as per scope of Eol at any stage.
6.3 ITP shall be willing to transfer the technology of “Smart Energy Meters (Single Phase, Three
Phase & LT-CT) meeting IS 16444 Standard”, through TPA, to enable ECIL to design,
engineer, integrate, manufacture, assemble, test, quality inspect, Market, install, Sale &
Service, provide maintenance of the product. The ITP would take responsibility on behalf
of ECIL to obtain the required Type Approval Certificates as well as all required BIS
Certificates.
6.4 The offered product of the ITP must meet the Technical specifications given at Annexure-

6.5 ITP must provide Smart Energy Meters Software libraries, DLMS stack for Server and Client
& its upgraded versions progressively as and when available to enable ECIL to upgrade,
operate and maintain the Smart Energy Meter.
6.6 ITP shall provide training to ECIL personnel for the smooth and efficient Production of
Smart meters based on ITPs design. ITP shall share the sources of procurement for all the
necessary Infra required for Manufacturing & Testing of Smart Meters. During Contract
period, any changes in the meter specifications and design due to customer requirement
or Standard amendments resulting upgradation of Smart meter production and testing
facility shall be addressed by ITP free of cost. ITP shall provide all the upgrades developed
for the offered products during the contract period, without any commercial implication.
In the event of obsolescence of hardware components/upgraded technical specifications
as per prevailing standard the ITP shall provide the upgraded SEM design free of cost.
6.7 The offered product of the ITP must meet the Technical specifications given at Annexure-
Il. In order to verify the technical compliance of ITP, the ITP should submit 5 samples of
each variant of Smart meter as per scope of this Eol for testing and verification purpose to
ECIL. The sample meters along with testing accessories and test procedures shall be
submitted along with the Eol and must reach ECIL at below address before date of opening
of bids.

6.8 ITP shall agree to provide Smart meters (all 3 variants) to ECIL on mutually agreed cost for
ECIL’s requirements.

6.9 ECIL shall be free to procure components as per BOM following its own procurement
procedure. However, ITP may provide the list of their approved vendors. Any proprietary
items that are being used in the meter design to be spelt out clearly. ITP should also be
willing to supply BOM to ECIL directly.
6.10 ITP shall depute experienced technical personnel at ECIL on need basis to resolve the
design related technical issues during bulk production, Certification, Pre-Delivery
Inspection etc. till the completion of contract period.
6.11 ITP shall take care of the lapses in technology free of cost.
6.12 ITP shall share to ECIL a detailed technical presentation for their action plan for
implementation of ToT, as per scope of this EOI, along with their proposal in order to
ascertain the suitability of the technical qualification of the ITP. Bids received without such
presentation is liable to be disqualified during evaluation process.

iv___| ITP shall have secured IS 16444 Part | and IS 16444 Part il | Complied
Type approval/ BIS certificates for their Smart Energy
meter designs. Valid BIS certificate copies (obtained
within last 5 years from the date of floating of this Eol)
shall be furnished by ITP.
In case Technology Partner’s supporting documents are
utilized by ITP, a certification from the concerned
Technology partner on its letter head declaring that the
BIS certificates are obtained based on ITP’s Smart Meter
design is to be furnished by ITP to ECIL for this purpose.
Proposal received without such valid BIS certificates are
liable to be rejected.
Note:
1. ITP should be in compliance of all above evaluation criteria in order to qualify for
‘empanelment,
2. Compliance for above evaluation criteria will be recorded only for those bids where relevant
documentary evidences are submitted along with the bids. Mere declaration of compliance
by ITP in absence of documentary evidences will be treated as non-compliance and bid will
be evaluated accordingly.

. Meter Design: Meter design may be incorporated in a single/ Two PCB
(Main board, Power supply and Display) and NIC Card separately.
Communication Module: Module should support IPV4 and IPV6
communication, according to the availability of the network it should
work in 4G fall back to 2G/NB-loT/RF/other Future Networks.
Communication Module Type: Pluggable and universally compatible one,
and easily switchable between communication technology within a single
module (Ex: GPRS / NB-loT/RFMesh).
Communication Technology: GPRS, RF variants and NB-loT, the
communication module should be able to set to NB-IoT / RF in the areas
wherever the other technology is not suitable.
Antenna Gain: The antenna used in the communication module should
be with minimum 5-dbgain.
