Invitation to Quote (ITQ) for Provision of Services to Print and Install Outdoor Floor Vinyl
Stickers at TP Plaza

1. In this Invitation to Quote (“ITQ”) Temasek Polytechnic, a body corporate


incorporated under the Temasek Polytechnic Act (Cap 323A) and having its
registered address at 21 Tampines Avenue 1, Singapore 529757 hereby invites
suppliers to submit a formal offer (Quote) for Provision of Services to Print and
Install Outdoor Floor Vinyl Sticker at TP Plaza in accordance with all the terms and
conditions as set out in this ITQ which includes all its Sections as annexed.

2. The objective of this ITQ is to procure the provision of the goods and/or services
specified in paragraph 1 as more particularly described in the Requirement of
Specifications & Compliance Table in Section C as annexed.

3. Each Quote/Offer must be submitted in accordance with this ITQ, including the
Schedule of Prices of Suppliers Offer in Section E. Any Quote/Offer not made in
accordance with the instructions will not be considered.

4. All required items must be submitted not later than the closing date, place and time
specified in GeBIZ.

5. The issuance by the Polytechnic of a Letter of Acceptance accepting the Quote/Offer


or part thereof shall constitute a binding Contract between the Polytechnic and the
Contractor concerned on the terms and conditions as set out in this ITQ (including all
the Sections as Annexed). Such issuance of the Letter of Acceptance to the address
or email of the Contractor as specified in the Quote/Offer shall be deemed effective
communication of acceptance.

6. All ITQ submissions shall be done electronically through the GeBIZ system not later
than the closing date and time stated in GeBIZ. Manual submission of prices is not
acceptable.

SECTION A

QUOTATION CONDITIONS OF CONTRACT

Suppliers to note the following:

 Agreement to the terms and conditions of this ITQ is compulsory. The Polytechnic
has the sole discretion to reject/to disqualify your offer if your submission to this ITQ
contradicts this condition.

 Should your offer be accepted, the terms and conditions as set out in this ITQ and as
well as those set out in the GeBIZ terms and conditions shall govern the contract
between the Polytechnic and your Company.

1. DEFINITIONS

In these Conditions, unless the context otherwise requires:

a) "Polytechnic" means Temasek Polytechnic, a body corporate incorporated


under the Temasek Polytechnic Act (Cap. 323A) and having its address at 21
Tampines Avenue 1, Singapore 529757 and includes any officer authorised by
the Polytechnic to act on its behalf.

b) "Contract" includes the Polytechnic’s ITQ Message, the Contractor’s Quote


Message or offer (submitted through GeBIZ), these Conditions of Contract, the
specifications and samples, Letter of Acceptance, Order Message or any Orders
issued by the Polytechnic to the Contractor for the supply of the Goods and/or
performance of Services.

c) "Contract Price" means the price exclusive of the Singapore Goods and Services
Tax payable to the Contractor for the full and proper performance by the
Contractor of his part of the Contract as determined under the provisions of the
Contract (see Section C below) and in law.

d) "Contractor" means the successful supplier who has been awarded the Contract
by the Polytechnic.

e) "Goods" means all goods, including parts or units thereof, which the Contractor
is required to supply under the Contract.

f) “Letter of Acceptance” means the letter issued by the Polytechnic accepting the
Contractor’s ITQ Offer.

g) "Services" means the work which the Contractor is required to perform under
the Contract.

2. SCOPE OF CONTRACT

2.1 The Contractor shall carry out and complete the supply of all items of Goods and
perform Services in accordance with the Contract. Unless otherwise stated in the
Contract, all Goods shall be new and unused.

3. ACCEPTANCE OF OFFER

3.1 The Polytechnic does not bind itself to accept the lowest, the whole or any ITQ. It
also reserves the right to award the ITQ by item or part thereof, groups of items or
part thereof, or all items of the ITQ; to make awards to one or more Suppliers; to
reject any and all ITQ in whole or in part.

3.2 The Polytechnic is under no obligation to award any Contract under the ITQ.

3.3 The price quoted for the items shall be deemed valid irrespective of whether this ITQ
is accepted in part or in whole. The Supplier shall allow for this in his ITQ price. The
successful Supplier will have to hold his price firm for the duration of the contract.

3.4 The Polytechnic has the right to call for another ITQ for the same items within the
contract period in cases of unreliable service or poor support.

4. DELIVERY

4.1 The Contractor shall deliver the Goods and perform the Services by the
Delivery/Performance Date and in the manner specified in the Contract. The
Contractor shall obtain a receipt therefore from the Polytechnic. The issue of such
receipt shall in no way relieve the Contractor from his responsibility for replacing
defective or damaged Goods or for rectifying deficient Services under Clause 5
hereof.

5. REMOVAL AND REPLACEMENT

5.1 The Contractor shall at his own cost and when notified in writing by the Polytechnic,
remove and replace the Goods that are found on delivery to be damaged, defective
or in any way inferior to approved samples, or not in accordance with the Contract,
failing which the Polytechnic shall have the right to purchase replacements
elsewhere or to make good any damage in any manner it deems necessary and all
costs thereby incurred shall be recoverable from the Contractor by deduction from
any money due to the Contractor under the Contract.

6. WARRANTY

6.1 The Warranty Period shall commence on the date of receipt of the Goods in good
order and on the date of successful acceptance of the Services in Singapore. The

length of the Warranty Period shall be twelve (12) months or such period as agreed in
writing.

6.2 Where during the Warranty Period, any Good(s) is found to be:

a) Defective in design, materials or workmanship; or

b) Not in accordance with the Contract or any specifications incorporated in the


Contract by written agreement; or

c) Having been installed, operated, stored and maintained in accordance with the
written instructions of the Contractor, fails to function properly or fails to meet
any performance guarantees or specifications published by the Contractor as
applicable to the Good(s);

Then unless it is shown that the foregoing is caused solely by improper use or
mishandling by the Polytechnic, the Contractor shall, at its own expense (including
transportation costs), at the written notification of the Polytechnic, replace, rectify or
completely repair the damaged or defective Good(s). The Contractor may, in lieu
thereof, elect to replace the damaged or defective Good(s).

6.3 If any Service performed is found during the Warranty Period to be deficient, the
Contractor shall at the written notification of the Polytechnic, rectify the same, at the
expense of the Contractor within thirty (30) days of receipt of the Polytechnic’s
written notification or within such time as mutually agreed in writing between
parties.

7. PAYMENT

7.1 The Contractor is required to submit electronic invoice (e-invoice) via Vendors@Gov
(http://www.vendors.gov.sg).

7.2 Within thirty (30) days from the date of e-invoice or date of receipt of e-invoice of any
Goods delivered and Services performed in accordance with Clause 4.1 of the Contract
and upon presentation by the Contractor of his bills in accordance with such means
and in such format as may be specified by the Polytechnic and the Polytechnic's
receipt as referred to in Clause 4.1 of the Contract, the Polytechnic will make payment
to the Contractor of the full value of all Goods so delivered and Services so performed
provided that no payment shall be considered as evidence of the quality of any Goods
and Services to which such payments relates nor shall it relieve the Contractor from his
responsibilities under Clause 5 hereof.

7.3 Where delivery is by consignments, payment will be made within 30 days after
delivery of each consignment and the receipt of the documents referred to in Clause
4.1.

7.4 Where payment to the Contractor is denoted in foreign currencies or cannot be


transferred via interbank GIRO, payment will be effected via telegraphic transfer. The
Contractor shall bear all bank fees and charges imposed by the Contractor’s

beneficiary bank and / or intermediary bank and such bank fees and charges incurred
by the Polytechnic shall be recovered from the Contractor.

7.5 Contractor is required to make payment to TP by electronic payment mode (i.e.


Electronic Fund Transfer to TP’s bank account). TP’s bank account detail will be
provided to the awarded Contractor.

8. RIGHTS OF THIRD PARTIES

8.1 A person who is not a party to this Contract shall have no right under the Contracts
(Rights of Third Parties) Act to enforce any of its terms.

9. SUB-CONTRACTING AND ASSIGNING

9.1 The Contractor shall not sub-contract or assign the Contract. If submission is made by
a consortium, all members of the consortium will be subject to the same requirements
and accountabilities as if the submission is made by a single supplier.

10. FORCE MAJEURE

10.1 Neither the Supplier nor the Polytechnic shall be liable for any failure to perform
obligations under this Contract if the failure results from events which are beyond their
reasonable control provided always that whenever possible the affected party will
resume that obligation as soon as the factor or event occasioning the failure ceases or
abates. For purposes of this Contract, such acts shall include acts of God, civil or military
authority, civil disturbance, wars, strikes, fires, epidemics or pandemics, or other
catastrophes.

10.2 If the effect of any of the said events shall continue for a period exceeding two months,
the Polytechnic may at any time thereafter give notice to the Supplier to terminate the
Contract.

11. GIFTS, INDUCEMENTS AND REWARDS

11.1 The Polytechnic may terminate the Contract and recover from the Contractor the
amount of any loss resulting from such termination, if the Contractor shall have
offered or given or agreed to give to any person any gift or consideration of any kind
as an inducement or reward for doing or forbearing to do or for having done or
forborne to do any action in relation to the obtaining or execution of the Contract
with the Polytechnic or for showing or forbearing to show favour to any person in
relation to any Contract with the Polytechnic, or if the like acts shall have been done
by any person employed by the Contractor or acting on his behalf (whether with or
without the knowledge of the Contractor) or if in relation to any Contract with the
Polytechnic the Contractor or any person employed by him or acting on his behalf
shall have committed any offence under Chapter IX of the Penal Code or Prevention

of Corruption Act or shall have abetted or attempted to commit such an offence or
shall have given any fee or reward the receipt of which is an offence under Chapter
IX of the Penal Code or the Prevention of Corruption Act.

12. VARIATION

12.1 No variation whether oral or otherwise in the terms of this Contract shall apply thereto
unless such variation shall have first been expressly accepted in writing by the
Contractor and the authorised contract signatory of the Polytechnic.

13. APPLICABLE LAW

13.1 The Contract shall be subject to, governed by and interpreted in accordance with the
Laws of the Republic of Singapore for every purpose. Parties agree to submit to the
non-exclusive jurisdiction of the Singapore Courts.

13.2 For the avoidance of doubt, until the Polytechnic issues a Letter of Acceptance, an
Order message, or Purchase Order, this document (i) is not a contract and shall in no
way be construed as creating any legally binding obligation to purchase any Goods
and/or Service from any Supplier; and (ii) shall not be construed as providing or
implying that a contract will be entered into with any supplier.

14. TERMINATION

14.1 If the Contractor is in breach of any of its obligations under the Contract and:

a) the Contractor fails to remedy the breach within fourteen (14) days from a
written notice from the Polytechnic to do so; or

b) the breach is not capable of being remedied within a reasonable time,

the Polytechnic shall have the right (in addition to and without prejudice to all other
rights or remedies available, including the right to claim damages) to terminate the
Contract with immediate effect by written notice.

14.2 If any of the following events occur, the Polytechnic shall be entitled to terminate
the Contract with immediate effect by written notice to the Contractor, and the
Contractor shall have no claim for any damages or compensation:

a) the Contractor becomes insolvent;

b) where the Contractor is a company, a receiver or liquidator is appointed over


any undertaking or property of the Contractor or an order is made or a
resolution is passed for winding-up or dissolution without winding-up (other
than for the purpose of amalgamation or reconstruction) of the Contractor;

c) where the Contractor is a partnership, the Contractor is dissolved or has a
bankruptcy order made against it;

d) where the Contractor is an individual, the Contractor becomes bankrupt or


dies;

e) legal proceedings alleging insolvency are brought against the Contractor;

f) the Contractor enters into any composition or arrangements with creditors;


or

g) any action is contemplated or any legal proceedings are commenced against


the Contractor alleging infringement of IP rights

14.3 If the Contract is terminated, the following shall apply:

a) termination shall be without prejudice to any rights and obligations of either


Party which has accrued prior to such termination and any obligation which
expressly or by implication is intended to come into or continue in force on or
after such termination;

b) the Contractor shall forthwith refund to the Polytechnic all amounts paid to
the Contractor under the Contract, less the price of the Goods and Services
which have been accepted by the Polytechnic as at the date of termination;

c) the Contractor shall immediately deliver property belonging to or provided


by the Polytechnic pursuant to the Contract and all deliverables prepared by
the Contractor for the Contract (including works-in-progress if so requested
by the Polytechnic). Works-in-progress shall be paid on a pro-rated basis at
the Polytechnic’s sole discretion;

d) in the event of a termination pursuant to Clause 14.1 or , the Polytechnic


shall, at its sole discretion, have the right to engage another person to
provide the remaining Goods and Services to be provided under the Contract,
and any additional costs and expenses incurred shall be paid by the
Contractor, and the Contractor shall give reasonable assistance to the
incoming contractors; and

e) in the event of a termination pursuant to Clause 14.2 (g), the Polytechnic


shall, at its sole discretion, have the right to return any Goods which have
been provided to the Polytechnic as at the date of termination, and the
Contractor shall forthwith refund to the Polytechnic all amounts paid to the
Contractor under the Contract in respect of such Goods.

14.4 Nothing in this Clause 14 shall be deemed to prejudice any other rights or remedies
available to the Polytechnic against the Contractor for any breach of the Contractor’s
obligations whether under the Contract or at law or in equity.

15. DATA SECURITY AND PROTECTION

15.1 The Contractor shall take all reasonable measures to ensure that personal data held
in connection with the Contract is protected against loss, and against unauthorised
access, use, modification, disclosure or other misuse.

15.2 The Contractor shall in respect of any personal data held in connection with the
Contract cooperate with any reasonable requests, directions or guidelines of the
Government arising in connection with the handling of personal data.

16. TERMINATION FOR CONVENIENCE

16.1 The Polytechnic shall have the right to terminate the Contract for convenience by
giving one month’s written notice to the Contractor without having to assign any
reason, and the Contractor shall have no claim for any damages or compensation

The vinyl stickers must be non-slip and suitable for outdoor
environment, capable of withstanding varying weather
conditions including rain, sunlight and temperature variation.
The stickers must be durable and resistant to wear and tear
from foot traffic
2 Installation of Floor Vinyl Stickers

Floor plan of the installation area with dimension is provided


in Annex A.

Grass Patch 1: The vinyl sticker for this area shall be cut to fit
the dimensions of 14.7 meters, 26.58 meters, 15.9 meters,
and 20.4 meters. The sticker must be tailored to
accommodate the irregular shape of the area.

Grass Patch 2: The sticker for this area must align with the
dimensions of 6.9 meters, 15.1 meters, 16.2 meters, and 13.1
meters. As with Grass Patch 1, the sticker must be custom
fitted to the unique shape of the space.

The supplier shall be responsible for the precise installation of
the vinyl stickers.
The stickers must be laid out smoothly, with no air bubbles or
creases, to ensure both aesthetic appeal and safety.
The supplier must conduct a thorough inspection post-
installation to ensure adherence to all specifications and
quality standards.
Any defects found must be rectified promptly at the
supplier’s expense.
Installation must be completed on or before 03 January 2024.
Supplier must ensure on-time delivery and installation of vinyl
stickers. The quality of vinyl stickers to minimally last for 12-
3 month period. Any discolouration or damage due to poor
workmanship must be rectified by the Supplier by providing
replacement stickers or doing the necessary repair work.
Supplier must conduct their own onsite assessment at the

Supplier must observe all safety measures and precautions

ANNEX A - Printing Dimensions for Outdoor Polygonal Floor Sticker at TP Plaza

Overview:

The objective of this project is to create an Instagram-worthy outdoor polygonal floor


sticker on TP Campus that will serve as a hub for photography or as a chillout spot for our
students. The existing grass patches will be removed and covered with cement by TP.
Finalised sticker design artwork file will be provided by TP when project is awarded.
