1. SPECIFICATIONS:
(i) All goods ordered unless otherwise changed by subsequent
instructions shall confirm to the specifications, standards and
quality agreed upon.
(ii) Buyer reserves the right to change / amend the order at any
time and for any number of occasions.
2. PRICE:
(i) The price agreed upon is fixed exclusive of all levies by the
Central or State Government now applicable to the goods and the
buyer shall not be liable for any fresh cesses, duties taxes or any
other levies which only the seller should meet.
(ii) The seller not modify, revise and/or vary the price of the goods
unless notice is given to the buyer and accepted by him in writing
fifteen days of the receipt of purchase order.
3. DELIVERY:
(i) The goods shall be deemed to the delivered only when the
goods are taken delivery and the seller shall be liable or
responsible for any damage, destruction, deterioration and/or loss
to of or in the goods till then and compensate the buyer
accordingly.
(ii) Time is the essence of the contract and therefore unless the
delay in or non-performance of the whole or a part of the contract
is directly or indigently caused by or due to acts of god or any force
beyond the control of the seller, the seller shall be liable to the
buyer by reason of such delayed delivery or non performance of
the contract.
(iii) Description quality, weight, and mode of transport of the goods,
must be quoted in the invoice and advice notes and a duplicate
copy must accompany the goods. Each case must be separately
identified and contents of each case must be indicated separately
in the Delivery Note.
(iv) Goods delivered in excess of the quantities ordered and
scheduled by the Company will not be accepted and all charges in
respect of the same will be at the risk and responsibility of the
supplier.
4. DEFECTIVE SUPPLIES:
(i) The buyer shall within 30 days from the date of receipt of the
goods give notice to the seller of any defects in the goods, or
where the defects cannot be noticed by the buyer immediately but
only on utilizing the goods in the manufacturing processes, the
buyer shall have the right or claim the compensations from the
seller for replacement of the defective goods free of cost and the
replacement shall be made by the seller within 10 days on receipt
of the notice from the buyer to the seller within 10 days on receipt
of the notice from the buyer to the seller to that effect. The
defective goods shall be returned by the buyer to the seller within
30 days of such notice.
(ii) If the replacement is not so made within the time as started in
the previous paragraph the buyer shall have the liberty to get such
goods substituted from other seller in the market and the seller
shall pay to the buyer the cost there of.
5. REJECTION:
(i) Where goods are rejected by the buyer as not confirming to
specifications or standards as per order and the goods are
returned to the seller the proportionate cost of freight , loading
unloading and other charges incidental there to should be borne by
the seller.
PURCHASE CONDITIONS
(ii) When a part of the supplies are rejected as not confirming to
specifications and standards as agreed to the buyer has the right to
pass the bills of the seller after deducting freight and other charges
etc.
(iii) If the goods are not delivered as specified in the order as may
be agreed to otherwise the buyer will have option to accept the
goods.
(iv) Where supplies made against documents retired through banks
are rejected in whole or in part by the buyer, the seller should effect
payment of the value thereof within 15 days of notice of such
rejection by the buyer.
(v) All material and goods shall in every respect be equal to
description, specification and to previous approved suppliers (if
any) or samples submitted (if any) and shall be subject to the
company's inspection and approval within a reasonable time after
delivery and if rejected shall be held at the supplier's risk and
returnable at the expense of the suppliers and shall not count as
having been delivery.
6. DISPATCH:
(i) The seller shall dispatch all goods through the authorized
carriers of buyer's choice in other cases, if excessive rates are
fixed by the seller such excess freight charges shall be to seller's
account.
(ii) Where instructions are given to the carriers for door delivery
and the carriers do not affect door delivery proportionate freight,
loading, unloading and any other incidental charges that may be
paid by the buyer shall be to the seller's account.
(iii) If the seller not follow the sales tax regulations and
consequently buyer has to pay any penalty or other expenses for
loading, unloading and any other incidental charges that may be
paid by the buyer 's shall be to the seller's account.
7. BANK INSTRUCTIONS:
Where document sent through bank are not received in time and
the buyer is called upon to any interest, demurrage, wharfage and
any other expenses incidental thereto such expenses shall be to
the seller's account.
8. INSURANCE:
The buyer has the right to insure the goods himself in which case
seller should include the particulars for the cover to under writers
immediately after dispatch under advice to the buyer, if the buyer
does not insure, he may ask the seller to effect the insurance.
9. LIEN:
The buyer shall be entitled to a general lien on the goods in his
possession under this contract for any monies for the time being
due to the buyer from the seller.
(i) In the event of any contradictions between the above conditions
and the general conditions of the seller, the buyer's conditions will
prevail.
(ii) This contract shall be deemed to have made at Coimbatore and
all suits and proceedings relating to this contract shall be instituted
in any court of competent jurisdiction in Coimbatore.
10. NON-DISCLOSURE:
The suppliers on no account should disclose any manufacturing
information or part with blue prints of drawing may be furnished to
them to any third party without the written consent of the Company.
11. WARRANTY / GUARANTEE:
Warranty for the supplies made shall be as per the
"Warranty administrative agreement" signed by the supplier.
Guarantee: Guarantee for defects / Quantity discrepancy
which might not have been noted at the time of supply and
where detected later, free replacement / supply must be
effected by the concerned Vendor.
12. GENERAL:
For subcontract items produced out of our materials, no
scrap allowance is permissible unless specified in the order.
If the amount of material scrap exceeds the limit indicated in
the order, the Company will charge the supplier for the
materials and labor costs for the excess rejections.
(i) In the event of production or any of the company's work
being interfered with or stopped by any strike, lock-out, fire,
failure in delivery of supplies (whether by supplier or third
party) force majeure or as a consequence of war or
outbreak of civil commotion or other circumstances beyond
the control of the company, the Company may suspend the
order of amend the delivery dates to such extent as it
considers necessary without incurring any liability.
(ii) The suppliers here by covenants that he shall not sell the
products which are patented by the company to any third
party expect of the Company and that any enquiry made to
the supplier will be referred to the Company either for the
products or the parts or replacements. The suppliers further
undertake not to manufacture quantities supplementary to
our order for the purpose of sales.
(iii) The supplier guarantees that the sales or use of his
product will not infringe any Indian or foreign trade mark,
trade name or registered design and undertakes to
indemnify and keep the purchase indemnified against all
acts, judgments, decrees, costs, claims, demands, and
expenses resulting from an actual or alleged infringement or
undertakes at his own expenses to defeat or assist in the
defense of any suit or action that may be brought in this
connection.
(iv) Duty accredited representatives of the purchase order
shall be allowed to inspect materials ordered at any stage of
manufacture.
(v)Where this order constitutes a subcontract for a
Government Department, it is made subject to Government
contract condition in force from time to time and all other
Government rules, regulations of infractions applying to
subcontracts and in particular to a right determination to the
purchaser corresponding to the Government Departments
right of determination.
(vi) The invoice should contain particulars of order no.,
Delivery Note no., Number of Packages / Boxed, Weight,
Dispatch details etc.
