THIS DEED OF ABSOLUTE SALE IS MADE AND EXECUTED ON THIS 1 st DAY OF

(Hereinafter referred to as VENDOR which expression shall mean and include their
heirs, successors, assignees, nominees, agents etc.,)

(Hereinafter referred to as PURCHASER which expression shall mean and include his

(Hereinafter referred to as CONFIRMING PARTY which expression shall mean and


include his heirs, successors, assignees, nominees, agents etc.,)

Whereas the Vendor is in peaceful possession and enjoyment of the Residential House
property bearing Site No.l56A (One Hundred Fifty Six A) Khatha No.890, formed out of
Assessment Number Old 88 New 218 and 219, Situated at LAGGERE Village,
Yeshwanthpur Hobli, Bangalore North Taluk, Measuring East to West: 40-0 (Forty) feet
or 12.19 Meters, North to south: (22.0 +22.06)/2 (Twenty Two Plus Twenty Two Point
Zero Six) feet or (6.70 + 6.12)12 Meters in all measuring 881.2 Square feet or 81.86
Square Meters which is more fully described in the Schedule hereunder and hereinafter
referred to as the “SCHEDULE PROPERTY”.

WHEREAS, the Vendor acquired the Schedule Property through Absolute Sale Deed vide
document No.29695/2003-04 of Book-1, Stored in CD No. 154, Dated: 14-11-2003
registered in the office of the Sub-registrar, Bangalore North Taluk, Bangalore,
purchased from K, Venkatachalam, Smt. Rajamma, Sri.M. Nagaraj, Smt.M. Sundaramma,
Smt. M. Mallika, Sri.M. Nagendra, Sri.M. Mohan, Sri.M. Nataraj and Smt. M. Yashodha @
Rani, M.Shekahar, Sri.M.Ravi, Sri.M.Shreedhara, represented by their GPA Holder Sri.K.
Venkatachalam.
WHEREAS, the ever since from the date of purchase Vendor is in physical possession
and occupation of the Schedule Property and has paid up to date dates, cess, etc. in
respect of the Schedule Property, Khatha of the Schedule Property registered in the
name of Vendor herein.

Whereas the Schedule Property is self acquired property of the Vendor and is in
peaceful possession and enjoyment of the same without any litigations, liens, etc., in any
manner whatsoever,

Whereas Vendor desired to dispose off the Schedule Property bearing Site N°.I56A (One
Hundred Fifty Six A), Old Khatha No.890, New Khatha No.j09, formed out of Assessment
Number Old 88 Now 218 and 219 situated at SWATHANTHARAYODHARA NAGARA of
LAGGERE Village, Yeshwanthpur Hobli. Bangalore North Taluk, now within the limits of
Bmhath Bangalore Mahanagara Palike Ward No.69, Measuring East to West 40-0
(Fort)1 2 3 4 5 6) feet or 12.19 Meters, North to south: (22.0 -t-22.06)/2 (Twenty Two
Plus Twenty Two Point Zero Six) feet or (6.70 + 6.72V2 Meters in all measuring 881.2
Square feet or 81.86 Square Meters along with 600 Square feet or 55.74 Square Meters
A.C. Sheet roofed house thereon to the Purchaser and has listed for sale, the Purchaser
had approached the Vendor desires to purchase the Schedule Property and accepted the
offer of the Vendor.

NOW THIS DEED WITNESSETH AS FOLLOWS:

1) SALE CONSIDERATION:

That in pursuance of the aforesaid agreement and in consideration of the payment


of be Rs. 44,75,000/-(Rupees Forty-Four Lakh Seventy-Five Thousand only)
towards sale consideration and the same has been paid in the following manner.

a) Rs.___________/- (Rupees _______________ only) by way of DD bearing No.761384


dated, 16.05.2023, drawn on HDFC Bank.

On receipt of which the Vendor does hereby accept and acknowledge as full and
final settlement and satisfaction of the entire sale price amount Rs. 44,75,000/-
(Rupees Forty-Four Lakh Seventy-Five Thousand only), the Vendor does hereby
transfer, convey and assign unto and to the use of the Purchaser, the Schedule
Property and all other easements, privileges and other appurtenances thereto and
all rights and interest of the Vendor into and upon the said premises TO HAVE AND
TO HOLD the same unto the Purchaser absolutely and forever.

2) REPRESENTATIONS AND WARRANTIES:

The Vendor hereby represents and warrants as follows:

a) The Vendor has the full power and legal authority to execute, deliver and
perform the terms and conditions of this Agreement/Sale deed;
b) The Schedule Property is the absolute property of the Vendor and at the date
hereof, the Vendor is the absolute legal and beneficial owner of the Schedule
Property and is in vacant physical possession and enjoyment of the Schedule
Property and that his title to Schedule Property is good, marketable and
subsisting and no one else has any right, title, interest or share therein;

c) That there are no subsisting Sale and Purchase Agreement for sale of the
Schedule Property with any third party and that the Vendor has not entered
into any agreement for lease or development or arrangement for transfer of
the SCHEDULE PROPERTY or any part thereof of which is still subsisting and
there is no encumbrance/s, claim/s and/or interest/s by any other person/s
against the Schedule Property or any part thereof;

d) At the date hereof all the quit rents and other outgoings due and payable on
the Schedule Property have been duly paid and that all conditions affecting the
Schedule Property, whether expressed or implied, have been duly complied
with by the Vendor and the Vendor has not done or suffered to be done or
omitted any act, matter or thing in or respect of the Schedule Property which
may render the same liable to forfeiture or which may contravene the
provisions of any legislation now or hereinafter in force affecting the Schedule
Property;

e) The Vendor does not have any pending liabilities with regard to income tax,
sales tax, wealth tax, gift tax or any other tax which would affect his title to the
Schedule Property;

f) There are no suits or proceeding initiated or pending against the Vendor or


the Schedule Property before any Court of Law or Authority.

g) The Schedule Property is not subject to any injunctions, restraints,


attachments or claims including claims for maintenance.

h) The truth and correctness of the matters stated in the representations and
warranties, as set out in the foregoing Clause shall form the basis of the
Purchaser’s commitment to purchase the Property in accordance to the
provisions of this Agreement.

i) That there is no court cases pending before any court in respect of the
Schedule Property and there are no orders of any authority or court
restraining the Vendors from transferring /selling their right, title and
interests in the Schedule Property.
j) That no proceedings of any nature whatsoever including actions for recovery
of any dues/monies, have been initiated by any authority under the provisions
of the Karnataka Land Revenue Act, 1964 and the Karnataka Land Reforms
Act, 1961 or any other Act, against the Vendors or in respect /relation to the
Schedule Property.

k) That there are no statutory charges/encumbrances of any nature existing


upon the Schedule Property.

3) PAYMENT OF TAXES, FINES AND PENALTIES:

The Vendor shall pay all taxes, Cess, fines and penalties, payable with respect to
the Schedule Property to the statutory authorities till the date of execution and
registration of the Sale Deed. The Vendor has remitted the Tax for the year 2023-
24.

4) POSSESSION:

The Vendor shall deliver vacant possession of the Schedule Property to the
Purchaser’s upon execution and registration of the Sale Deed.

5) TITLE DEEDS:

The Vendor shall handover all the original title deeds pertaining to the Schedule
Property to the Purchaser’s on the date of execution and registration of the Sale
Deed.

6) KHATHA TRANSFER:

The Purchasers are entitled to secure Khatha of Schedule Property at their cost
from jurisdictional authorities at the relevant time and Vendor agree to sign
necessary consent letters as required by the Purchaser.

7) STAMP DUTY AND REGISTRATION FEE:

The Purchaser’s covenants that the registration charges, stamp duty etc., on Rs.
________________/- (Rupees ________________ only) being the guideline value of the
Schedule Property under this Sale Deed.

8) MISCELLANEOUS:

Binding effect of the deed. This deed shall be binding upon their legal heirs,
representatives, the permitted assigns and successors in title of the Vendor and
the permitted assigns and successors in title of the Purchaser’s.
Amendments. Neither this deed nor any of the terms hereof may be amended,
changed, waived, discharged or terminated, unless such amendment, change,
waiver, discharge or termination is in writing signed by the parties hereto.

Language. All documents to be furnished or communications to be given or


made under this Deed shall be in the English language.

Jurisdiction. The Courts in Bengaluru alone shall have jurisdiction over this
deed Entire Deed. This Deed constitutes the entire Deed between the parties

Save and except what are herein before provided, the rights and liabilities of the
parties shall be governed by the law in force.

SCHEDULE PROPERTY

A1I that piece and parcel of property bearing Site No.l56A (One Hundred Fifty
Six A), Old Khatha No.890, New Khatha No.309, formed out of Assessment
Number Old 88 Now 218 and 219, situated at SWATHANTHARAYODHARA
NAGARA of LAGGERE Village, Yeshwanthpur Hobli, Bangalore North Taluk, now
within the limits of Bruhath Bangalore Mahanagara Palike Ward No.69,
Measuring East to West: 40-0 (Forty) feet or 12.19 Meters, North to south: (22.0
+22.06)/2 (Twenty Two Plus Twenty Two Point Zero Six) feet or (6.70 + 6.72)/2
Meters in all measuring 881.2 Square feet or 81.86 Square Meters along with 600
Square feet or 55.74 Square Meters A.C. Sheet roofed house thereon having
Cement flooring, jungle wood used for doors and windows including electricity,
water etc. and bounded on:

East by : Site N0.156B;

West by : feet Road;

North by : Private Property; and

South by : Site No. 156.
