AGREEMENT FOR SALE

THIS AGREEMENT FOR SALE IS MADE AT CHENNAI ON THIS


THE ____ DAY OF NOVEMBER 2021,

BETWEEN

Mr.K.MADHAVA RAO, (PAN: AANPM1082B & Aadhaar Card


No.769009252056), aged about 65 years, son of
Mr.Krishnamurthy Rao, residing at Flat No.7, 1 Floor, Iswarya
st

Apartments, Door No.29/9, Sarfuden Street, Choolaimedu,


Chennai 600094, hereinafter referred to as the 'VENDOR' which
term shall wherever the context so permits, or requires mean and
include the 'VENDOR', his heirs, legal representatives,
administrators, executors and assigns, of the ONE PART.

AND

Mrs.S.USHARANI, (PAN: AAZPU9441L & Aadhaar Card No.:


577073770747), aged about 52 years, wife of Mr.Sundaram,
residing at Flat No.8, 1st Floor, Iswarya Apartments, Door
No.29/9, Sarfuden Street, Choolaimedu, Chennai 600094
hereinafter referred to as the 'PURCHASER' which term shall
wherever the context so permits, or requires mean and include
the 'PURCHASER', her heirs, legal representatives,
administrators, executors and assigns, of the OTHER PART.

WHEREAS all that piece and parcel of land measuring 1.5


Grounds and 120 sq.ft. along with old building bearing Old Door
No.20/6, New No.9, in Sharfuddin Sahib Street, (presently
known as Sarfuden Street), in Choolaimedu, comprised in Town
Survey No.58, Block No.20, in Puliyur Vilage, Kodambakkam Sub
Registration District, Chennai Registration District, originally
belonged to M.P.Manickam, son of Periyam Pillai, having
purchased the same vide Sale Deed dated 31.5.1982, registered
as Doc.No.3037/1982, in SRO: Kodambakkm.
WHEREAS by a Power of Attorney dated 15.4.1991, registered as
Doc.No.261/1991, in SRO: Mylapore, said M.P.Manickam had
appointed K.Siva Subramanian as his Power Agent to sell
undivided share out of the said property.

WHEREAS said K.Siva Subramanian had obtained demolition


order dated 7.6.1991, bearing B.A.No.3464/91 for demolition of
existing old building and Planning Permit bearing PPA.3335/91,
dated 7.6.1991from Corporation of Chennai for construction of
new building with apartments on the said land.

WHEREAS, by a Sale Deed dated 3.2.1992, registered as


Doc.No.815/1992, in SRO: Kodambakkam said Power Agent has
sold 1/12 Undivided share of land out of the said vacant land, to
and in favour of K.Madhava Rao, the VENDOR herein.

WHEREAS, by a Construction Agreement dated 24.12.1991,


entered into between S.K.Construction and said K.Madhava Rao,
the building had constructed a flat bearing No.7, on First Floor,
on the said land and handed over the same to the VENDOR
herein and the said undivided share of land and flat are more
fully described in the Schedule hereunder.

WHEREAS, thus the VENDOR has absolute right, title and


interest over the Schedule mentioned property and is in
possession and enjoyment of the same by paying necessary tax to
authorities.

AND WHEREAS, the VENDOR offers to sell the Schedule


mentioned property to the PURCHASER for a total sale
consideration of Rs.20,00,000/- (Rupees Twenty Lakhs only)
only and the PURCHASER agrees to purchase the Schedule
mentioned property free from all encumbrances for the said sale
consideration and therefore parties herein have executed this
Agreement with the following terms and conditions.

NOW THIS AGREEMENT FOR SALE WITNESSETH AS FOLLOWS:

1. The VENDOR shall sell and the PURCHASER shall


purchase the Schedule mentioned property for a total sale
consideration of Rs.20,00,000/- (Rupees Twenty Lakhs only),
free from all encumbrances.

2. The PURCHASER has paid Rs.1,00,000/- (Rupees One Lakh


only), by cash, as advance and the VENDOR hereby admits and
acknowledge the receipt of the said money.

3. The PURCHASER will apply for loan from bank for purchasing
the schedule property and agreed to pay balance sale
consideration within one week from the date of sanction of loan
by bank. However the time for completion of execution sale deed
shall be 3 months from the date of signing this agreement.

4. The PURCHASER shall produce all original documents,


revenue records and tax receipts to the PURCHASER’S banker as
and when required by them.

5. The VENDOR shall pay all the taxes and other outgoings in
respect of the Schedule property up to the date of registration of
sale deed in favour of the PURCHASER.

6. The VENDOR assures the PURCHASER that:

i) There is no is no subsisting agreement of sale in favour of any


person/s or any lispendens or acquisition or requisition
proceedings in respect of the Schedule mentioned property.

ii) Schedule mentioned property is free from all encumbrance


except the mortgages described above.

iii) Schedule mentioned property is not subject matter of any


land ceiling proceedings, or inam, grant or conditional patta.

iv) There is no attachment made by court, tribunal, Income tax


department, GST authority, Customs, ESI and EPF authorities on
the Schedule mentioned property.

v) Schedule mentioned property is not subject matter of any


lien, easetment claims, charge.
vi) There is no due in statutory tax and levies regarding
schedule mentioned property. If any due is found the same
should be paid by PURCHASER prior to execution of sale deed.

7. It is further agreed that all paper work, that may be


required to be furnished by the VENDOR to the PURCHASER to
complete the transaction, shall be promptly furnished by the
VENDOR without any delay.

11. The PURCHASER shall bear all expenses, stamps duty and
registration fee for registration of Sale Deed. The PURCHASER is
entitled to deduct necessary TDS if applicable.

12. The VENDOR shall deliver all original and photo copies of
documents pertaining to the schedule mentioned property to the
VENDOR at the time of execution of sale deed in favour of the
PURCHASER.

13. Any dispute that may arise between the parties with regard
to terms of this agreement shall be subjected to Arbitration at
Chennai.

SCHEDULE OF PROERTIES

IN WITNESS WHERE OF THE VENDOR AND THE PURCHASER


HAVE PUT THEIR RESPECTIVE HANDS IN THIS AGREEMENT
OF SALE ON THE DAY, MONTH AND YEAR FIRST ABOVE
WRITTEN.
