AGREEMENT OF SALE

THIS AGREEMENT OF SALE IS ENTERED INTO AT CHENNAI ON THIS


1STDAY OF MARCH, 2023

BETWEEN:

Mr. P. RAMESH Son of Mr. Parameswaran, aged about 52years, residing at Plot
No.10, Sakthivel Nagar, 16th Street, Kotturpuram, Chennai- 600 062,hereinafter
called the VENDOR which term shall wherever the context admits, mean and
include himself, his heirs, executors, administrators, legal representatives and
assigns of the One Part:

TO AND IN FAVOUR OF

Mr. K. SANTHOSH, Son of Late O.K. Krishnankutty Nair, aged about 57 years,
residing at Door No.5, 8th Street, Kotturpuram, Chennai-600 062 hereinafter
called the PURCHASER, which term shall wherever the context admits, mean
and include himself, his heirs, executors, administrators, legal representatives and
assigns of the Other Part:

WHEREAS the VENDOR is the absolute owner of Half Share over the all that
piece and parcel of Vacant land measuring an extent of 3276 Sq.ft (or 11
Cents)Comprised in the Survey No.56/5, Patta No.166, Situated at MAIYUR
VILLAGE, PoonamalleTaluk, ThiruvallurDistrict, he having been purchased the
same from (i) Mr. Dhayalan, Son of Late Kumarasami& (ii) Mr. Vinayagam, Son
of Late Kumarasami both represented by their Power Agent Mr. K.T.J Prakash,
Son of Mr. K.T. Janarthan, under a Deed of Sale dated 21.10.2009 and registered
as Document No.6420 of 2009 with SRO Avadi.

AND ever since the date of the said purchase the VENDOR has been in peaceful
possession and enjoyment of the said property by obtaining Patta from the Zonal
Deputy Tahsildar, Sholinganallur Taluk, in his name.

WHEREAS the VENDOR hereto have thus absolutely entitled to the said land
more particularly described in the Schedule-B hereto, hereinafter called and
referred to as the “said property” and is in absolute, continuous and undisputed
possession and enjoyment of the said land, paying taxes, other public charges and
outgoings to the Government and local Authorities up to this date, having got
valid and marketable title to the said land with full powers of alienation, without
any let or hindrance ever since the date of purchase;

WHEREAS the VENDOR has offered to sell above said property more fully
described in the Schedule-B hereunder for a total sale consideration
ofRs.2,00,000/- (Rupees Two Lakhs Only) and the PURCHASER has agreed to
purchase the said property free from all encumbrances, mortgages, charges, lien
or lispendens, whatsoever.

WHEREAS the parties hereto are desirous of entering into an Agreement;

AND WHEREAS this Agreement of Sale thus relates to the Schedule-B
mentioned property;

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS: -

It is hereby agreed by and between the VENDOR and the PURCHASER that the
VENDOR have agreed to sell and the PURCHASER has agreed to purchase of
the Schedule-B mentioned Property for a consideration ofRs.2,00,000/- (Rupees
Two Lakhs Only)and free from all encumbrances and subject to the following
Terms and Conditions: -

ThesaleconsiderationofRs.2,00,000/-
(Rupees Two Lakhs Only) will be paid by the PURCHASER to the VENDORon
or before registration of sale deed by way of bankers Cheque / D.D.

The VENDOR agrees to execute a sale deed for the Schedule-B mentioned
property to and in favour of the PURCHASER or their nominees in respect of the
Schedule-Bmentioned Property after settling the remaining consideration amount
to the VENDOR by the PURCHASER.

Both the Parties hereby agree to complete the sale transaction within THREE
MONTHfrom the date of this Sale Agreement.
The PURCHASER shall bear all the expenses for stamp and Registration charges
in respect of the sale of the Schedule-B mentioned property.

The VENDOR hereby undertakes to pay all the taxes and charges for and in
respect of the Schedule-B mentioned property upto the date of Registration of the
Deed of Sale, irrespective of the date of Demand.

The VENDOR has represent that he is the absolute owner of the Schedule-B
mentioned property and he is competent to sell the same and the same is not
encumbered and no one, other than the VENDOR hereto, has any right over the
Schedule-B mentioned property.

The VENDOR assures the PURCHASER that there is no other subsisting


Agreement of Sale in favour of any person/persons in respect of the “Schedule-B
mentioned property” agreed to be sold in favour of the PURCHASER hereto and
also undertakes not to enter into any Agreement with any person for and in
respect of the Schedule-B mentioned property hereafter as long as this Agreement
is in force.

The VENDOR shall fully indemnify the PURCHASER against all damages and
loss arising on account of any defect in title, mortgage charge, lispendence,
maintenance, prior agreement of sale attachment and proceedings for acquisitions
under the land acquisition act in respect of the Schedule-B mentioned property.

The VENDOR has this day handed over all the Xerox Copy of the Original sale
deed and other title deeds in respect of the Schedule-B mentioned property to the
PURCHASER.

The VENDOR shall hand over all the original Documents and other title deeds in
respect of the Schedule-B mentioned property to the PURCHASER at the time of
registration of Sale Deed.

All that piece and parcel of Vacant land measuring an extent of 3276 Sq.ft

MAIYUR VILLAGE, PoonamalleTaluk, ThiruvallurDistrict, and said land is
being
bounded on the.
NORTH BY - 30 Feet Wide Road,
SOUTH BY - Land belongs to Mr. Dhevarayan
EAST BY - Land belongs to Mr. E. Sankar,
WEST BY - Land belongs to Mr. Dhananchezhiyan.
In all total measuring an extent of 3276 Sq.ft, and situated within the
Registration District of Chennai South and Sub-Registration District of Avadi.

SCHEDULE-B
Property hereby agreed to be conveyed)
Half Share (½ Share) over the “Schedule-A” Mentioned Property.

about 47 years, presently residing at 7332 Padleymor St, Las Vegas, NV 89139,
represented by her motherMrs. Noor Basheer, [AADHAAR No.:688380791738] Wife
of Mr. Basheer, aged about 78 years, is residing at No.442, 7 th Cross Street,
Kapaleeswarar Nagar, Neelangarai, Chennai 600 115,hereinafter called the
“PRINCIPAL”which term shall wherever the context so admits and permits means and
include, herself, her respective heirs, legal representatives, executors and administrators
assigns witnesseth as follows:
DO HEREBY APPOINT AND CONSTITUE
Mr. MOHAMMED RAZULK, [PAN: APZPM9015K, AADHAAR No.:9891 8254
7347] Son of Mr. MOHAMMED AHMED ,No.EWS 849, New No.4, 49 th Crtoss Street,
Thiruvalluvar Nagar, Thiruvanmiyur, Chennai District, hereinafter called the POWER
AGENT, which term shall wherever the context so admits and permits means and
include, himself, his heirs, legal representatives, executors and administrators assigns.
WHEREASthat I have becomethe absolute owner with possession and enjoyment
of the Schedule Mentioned Propertyi.e., all that piece and parcel of Vacant land Situated
at No.35, Kanathur Reddy Kuppam Village, Thirupporur Taluk, Chengalpattu District
comprised in S. No. 98/1A,measuring an extent of 16.5 Cents or 7200 Sq.ft.,together
with building.I have purchased the said land by virtue of Sale Deed dated 14.12.1992and
registered as Document No.2347of 1992 and Sale Deed dated 16.12.1992 and registered
as Document No.2374of 1992 in the Sub Registrar Office, Thirupporurand we have
been in peaceful possession and enjoyment of the said property free from all
encumbrances.
WHEREAS I have been in absolute, continuous and undisputed possession and
enjoyment of the said property, paying taxes, other public charges and outgoings to the
Government and local Authorities upto this date, having got valid and marketable title to
the said property with full powers of alienation, without any let or hindrance ever since
the date of purchase;
I the PRINCIPAL herein are desirous to sell the Schedule mentioned property to
the intending purchaser/s with a view to invest the sale proceeds in the better yielding
security.

It is not possible for me to attend all the matters necessary to maintain the
schedule mentioned property due to my other preoccupations and personally unable to
attend the affairs relating to the Schedule mentioned Property and to manage the said
property, it is found expedient to appointaforesaid Mr. MOHAMMED RAZULK as our
Lawful General Power of Attorney Agent to attend all matters relating to the Schedule
mentioned property and to do all such other acts and things necessary and incidental
thereto and for the above purpose this Power of Attorney is being executed on terms and
conditions set out hereunder.
NOW THIS DEED OF GENERAL POWER OF ATTORNEY WITNESSETH AS
FOLLOWS:
1. To manage and maintain the Schedule mentioned property.

2. To execute agreements to sell, to receive advances, sale consideration and


other amounts payable in respect thereon in respect of Schedule mentioned
property and to appropriate such proceeds in part or as whole or in
installments, as the AGENT may deem fit and to give valid receipts or
vouchers therefor.

3. To sell & execute the sale deed or deed of conveyance and other assurances
conveying the schedule mentioned property to the intending purchaser/s and to
present such deeds before the concerned registering officer, admit execution
thereof and procure due registration of such deeds and also sign all forms,
declarations and other undertakings under any stature necessary and incidental
thereto.

4. To deliver possession of Schedule mentioned property to the intending


purchaser/s sold to the PURCHASER or PURCHASERS as the case may be.

5. To Mortgage the said property with private finance or any one of the
nationalized banks on our behalves and to sign relevant forms, Deeds, MODT
and to register the same with concerned SRO.

6. To establish control over, evict illegal occupants, remove encroachments clear


unauthorized materials if any or assert title to, engage in or hold vacant
possession of the schedule mentioned Property.

7. To permit construction of buildings or undertake such development on the
Schedule mentioned Property in the name and at the expense of the Attorney
or his nominee.

8. To initiate legal action against any trespassers or obstructers.

9. To receive all communication and to reply thereof.

10. To sign applications. affidavits, forms, vakalats, declarations indemnity bonds


and such other papers on our behalves for building permits/sanctions from the
local body and clearances from any other authority of the Government in
relation to the sale or dealings otherwise with the Schedule Property on our
behalves,

11. To represent us before and deal with all the Authorities of the Government
including Town Planning Authorities, Local Body, RBI, TNEB, Land
Acquisition Authorities Income Tax Department bodies in relation to the
schedule property.

12. To appoint sole arbitrator to deal with any issue legal or otherwise, engage
Lawyers, Arbitrators, Chartered Accountants or Other professionals for the
purposes of solving legal issues, accounting & other issues in relation to the
Schedule mentioned property.

13. To sign all relevant forms, applications, letters, appeals, writ Appeals,
Affidavits, Indemnity Bonds, Vakkalath, Letter of Authorization, return,
complaints, petitions etc., relating to all matters mentioned above.

14. To execute any deeds, modifying, rectifying or canceling any deeds of


conveyance or other documents or instruments already executed if the AGENT
deems fit if necessary.

15. To receive such deeds after due registration and deliver the same to the
concerned transferees.

16. To do all other acts, deeds incidental to and or necessary for the proper
execution of the acts, deeds and powers mentioned herein in relation to the
said property.

17. The POWR AGENT shall maintain proper accounts.

No consideration has been received or passed for this Deed of Power of Attorney.
AND I hereby agree and undertake to ratify and confirm all and whatsoever our said
ATTORNEY, under this power in that behalf hereinbefore contained, shall lawfully do,
execute or perform in exercise of the power, authorities and liberties hereby conferred
upon, under and by virtue of this deed.
