Incorporation of a Private Limited Company 1.

Application for Director Identification Number (DIN) and Digital Signature Certificate (DSC): Every director of a Company is required to have a Director Identification Number (DIN). All authorized signatories of the company are required to obtain Class 2 Signature Certificate. The Digital Signature Certificates (DSC) is typically issued with one year validity and two year validity and can be renewed on expiry. We will send the DIN and DSC checklist, if required. 2. Name Approval: The first step to incorporation of a company is to apply for approval of name of the company. We have to provide six names in the order of preference to the Ministry of Corporate Affairs. The final name approved will be at the discretion of the Ministry of Corporate Affairs. 3. Authorized and Paid-up Capital- Typically, a Private limited company is required to have a minimum authorized and paid-up capital of Rs. 1,00,000/- (Rupees One Lakh Only). However, the minimum required authorized capital of a Company may increase based on the name of the Company. Set out below are the guidelines issued by the Ministry of Corporate Affairs in India with regard to use of certain key words in the name of a company: Key words Required authorized capital (Rs.) (1) Corporation 5 crores (2) International, Globe, Universal, Continental, InterContinental, Asiatic, Asia, being the first word of the name. (3) If any of the words at (2) above is used within the name (with or without brackets). (4) Hindustan, India, Bharat, being the first word of the name. (5) If any of the words at (4) above is used within the name (with or without brackets). (6) Industries/Udyog, (7) Enterprises, Products, Business, Manufacturing. 1 crore 50 lakhs 50 lakhs. 5 lakhs. 1 crore 10 lakhs.

4. Promoters and Directors- The company has to be incorporated by minimum two promoters and subscribers to the Memorandum and Articles of Association of the Company and requires minimum two directors. 5. Registered Office of the Company The Company will be registered at the regional office of the Registrar of Companies where the registered office of the Company is situated.

6. Procedure for incorporation- Once the Ministry approves a name for the company, the Memorandum and Articles of Association along with notice of directors and details of registered office of the company are to be filed with the Registrar of Companies. Please find attached a checklist for incorporation of the company. 7. Post-Incorporation procedures: Once, the company is incorporated and the incorporation certificate is received, the company will require a PAN, TAN, bank account, etc. for commencing its business activities. Further the company will have to register for profession tax number, service tax number/VAT (depending on the nature of business activities of the Company), shops and establishment registration etc. Also, the first board meeting will have to be held, and share certificates will have to be allotted.
