PURCHASE AGREEMENT

Maverick Flying Car (Roadable Powered Parachute) A Product of Beyond Roads, LLC

This agreement by and between _______________________________ as purchaser (Hereinafter, Purchaser and Beyond Roads, LLC as Seller (Hereinafter Beyond Roads); is made and agreed to by signatures below on this _______ day of ___________________________, 20_____. The Purchaser hereby agrees to purchase and Beyond Roads agrees to sell, _____ (fill in number of units) Maverick Flying Car, more fully described below, according to the following terms and conditions. Both parties to this Agreement hereby acknowledge that time is of the essence and is material to this Agreement. DESCRIPTION OF MAVERICK (check one): __ Maverick - Ultimate Roadable, All-Terrain, Aerial Vehicle (URATAV) Propeller- and wheel-drive has full capability; flight, roadable, and off-road. This is the ultimate Maverick. __ Maverick - High-Performance Aerial Vehicle (HPAV) Propeller-drive only; reduces vehicle weight by approximately 100 pounds (45kg) for greater useful load in flight. The HPAV is fully ground-capable, but limited to propeller drive in ground operations and is intended for operations where flight is of greatest utility and ground use is ancillary. __ Maverick - High-Performance, Roadable, All-Terrain Vehicle (HPRATV) Ground-drive only; this vehicle is designed for high-performance on- and off-road. This model can be retrofitted for flight capability at a later date. __ Maverick - Xtreme Roadable Vehicle (XTRV) The Extreme Performance Roadable Maverick; at under 1000 pounds and more than 300hp has perhaps the lowest weight-to-horsepower ratio of any road-legal car available to the public. Any sales tax, export taxes, crating & shipping (if applicable) is NOT included in this price and is the sole responsibility of the Purchaser. The total cost of the Maverick E-LSA or E-AB kit will be broken down into five payments as follows: 1. $12,000.00 (USD) earnest money due with the execution of this Agreement, the receipt of which is hereby acknowledged. These funds will be held in escrow for the benefit of the Purchaser. 2. 25% of the contract price shall be due within fifteen calendar days (15 days) of notification of purchaser by Beyond Roads upon completion of the chassis/fuselage cage 3. 25% of the contract price shall be due within 15 calendar days (15 days) of notification of purchaser by Beyond Roads upon completion of the wing and wing deployment system, integrated control system and avionics 4. 25% of the contract price shall be due within 15 calendar days (15 days) of notification of purchaser by Beyond Roads upon completion of the drive system including engine, harnessing, cooling system, engine control unit and propeller, as well as the completed suspension system. 5. 25% of the contract price shall be due within 15 calendar days (15 days) of notification of Purchaser by Beyond Roads that the Purchasers three packages are ready for final assembly at a facility designated by Beyond Roads, or in the case of a Experimental Amateur Built kit, available for delivery. (Beyond Roads will attempt to predict an approximate date when the final assembly process will be ready and coordinate that date with Purchaser.) This final payment will be reduced by an amount equal to any written agreed-upon upgrades, options, non-standard modifications or other third-party expenses due, and further reduced by the amount of the escrowed earnest money. The three major assembly packages will include all parts necessary to complete the Maverick described in this Agreement, and all services necessary to fully assemble those parts, with the exception of the final assembly steps described in this Agreement. Upon each payment, Beyond Roads shall supply the Purchaser with an invoice describing the completed sub-assembly package. Assembly packages will be available for inspection and verification by the Purchasers or their representative(s) during regular business hours at the Beyond Roads-designated facility. Assembly packages shall be identifiable by individual aircraft serial number. FINAL ASSEMBLY AND CONSTRUCTION

For Experimental Light-Sport Aircraft (E-LSA) For Mavericks to be certificated as an E-LSA, each Purchaser or Purchasers designated representative shall be required to carry out the final assembly process with assistance from a Beyond Roads-designated Builder Assistant. It is anticipated that the final assembly steps will include: 1. 2. 3. 4. 5. Installation of wheels Connection of steering mechanism to wheel hubs Connection of the wing to the fuselage Installation of the propeller, and A thorough review of Purchasers Maverick E-LSA according to Beyond Roads Designated Inspection Checklist. (This will assure conformity to the FAA/ASTM-standard Maverick.)

Upon completing construction, the Purchaser or Purchasers representative is responsible for presenting their Maverick to an FAA Inspector or an FAA Designated Aircraft Representative (DAR). The fee for a DAR inspection shall be the Purchasers responsibility and is typically $450 - $1,000. For Experimental Amateur-Built (E-AB) For Mavericks to be certificated as an E-AB, each Purchaser or Purchasers designated representative shall be required, to work with a Beyond Roads-designated Builder Assistant. Upon completing construction, the Purchaser or Purchasers representative is responsible for presenting their Maverick to an FAA Inspector or an FAA Designated Aircraft Representative (DAR). The fee for a DAR inspection shall be the Purchasers responsibility and is typically $450 - $1,000. DELIVERY SCHEDULE Beyond Roads agrees to build all of Purchasers Assembly Kits and notify Purchaser of assembly packages availability for final assembly within one calendar year of the execution of this Agreement, unless other arrangements are made between Purchaser and Beyond Roads in writing and are made part of this Agreement. RIGHT TO ASSIGN The Purchaser shall have the right to sell or assign its interests in this Agreement, but shall first give Beyond Roads the first right of refusal to purchase the Purchasers rights in this Agreement at the same bona-fide terms and conditions offered to any third party and committed to by that third party in writing. The cost at which Beyond Roads is offered the Purchasers rights under this Agreement shall not, however, exceed Purchasers actual cost. This first right of refusal shall be in effect for fifteen (15) days following the notification and documentation to Beyond Roads of a verifiable offer to purchase the Purchasers rights under this Agreement by a third party. LICENCING AND CERTIFICATION The Purchaser understands and agrees that they hold the final and exclusive responsibility for the appropriate licensing and certification of the Maverick, as related to its use on public roads and as related to flight operations in the United States or any non-US jurisdiction. understood and acknowledged by the Purchaser, that Beyond Roads is NOT manufacturing and/or selling a completed roadworthy automobile or airworthy aircraft. FAILURE TO PERFORM Should either party to this Agreement, not perform or be unable to perform, for any reason whatsoever, it is agreed by both parties that the following remedies shall apply unless both parties agree in writing to some other remedy. Both parties agree to use their best efforts to perform and to amicably resolve any failure or inability to perform as outlined herein. Remedy to Beyond Roads for Purchaser failure to perform: Should the Purchaser be unable or unwilling to make payments as agreed upon in this Agreement or to carry out the required final assembly process described in this Agreement, Beyond Roads shall choose, at his/her sole discretion, from the following remedies: 1. Beyond Roads may agree to extend the due date of any payment and or final assembly date, and shall be entitled to charge one percent (1%) per month on the outstanding balance of payments due beginning on the date of the written extension. This extension remedy becomes automatic, unless Beyond Roads chooses an alternative remedy and notifies the Purchaser of that choice of remedy, in writing. 2. Beyond Roads may unilaterally accept the Purchasers earnest money as liquidated damages, returning the total of any additional payments to the Purchaser and relieving Purchaser of any further obligation specified in this Agreement. This option must be executed in writing. Following this written notification and following the return to the Purchaser of any additional payments; Beyond Roads shall be free to make any disposition of the parts and assemblies previously reserved for the Purchaser designated in this Agreement, without further obligation to the Purchaser. 3. Beyond Roads shall have the unilateral right, to sell the Purchasers assigned parts and assembly packages to another Purchaser when any payment becomes more than sixty (60) days overdue. Under this option, Beyond Roads shall retain the Purchasers deposit as liquidated damages. Remedy to Purchaser for Beyond Roads failure to perform: Should Beyond Roads be unable or unwilling to perform its obligations detailed in this Agreement and/or to do so in the time specified herein, the Purchaser shall choose, at his/her sole discretion, from the following remedies: 1. The Purchaser may agree to extend the due date for completion of all assembly packages and other preparations necessary for final assembly and/or delivery. This extension remedy becomes automatic unless Purchaser chooses an alternative remedy and notifies Purchaser of that choice of remedy, in writing. 2. The Purchaser shall have the unilateral right to take possession of the assembly packages paid for and shall be entitled to a return of the Purchasers deposit fund, thereby relieving Beyond Roads of further liability to the Purchaser under this Agreement. The Purchasers exercise of this option shall be made to Beyond Roads in writing. 3. The Purchaser shall unilaterally have the right to a refund of all funds paid to Beyond Roads including his/her deposit. Purchasers exercise of this option shall be made in writing to Beyond Roads. The Purchaser shall also be entitled to a penalty interest accruing at one

percent (1%) per month beginning fifteen (15) days after written notice to Beyond Roads is received. ARBITRATION Both Beyond Roads and the Purchaser agree not to take legal action against the other party as long as one of the remedies described herein, for non-performance by the other party is carried out. In the event of any dispute, claim, question, or disagreement arising from or relating to this Agreement or the breach thereof, the parties hereto shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties. If they do not reach such solution within a period of 60 days, then, upon notice by either party to the other, all disputes, claims, questions, or differences shall be finally settled by arbitration administered by the American Arbitration Association in accordance with the provisions of its Commercial Arbitration Rules. The expenses for such arbitration shall be determined by the arbitration proceedings. VENUE OF LAW It is understood and agreed, that any legal proceedings related to this Agreement will be subject to the laws of the State of Florida. DELIVERY OF NOTICES All written notices to Beyond Roads LLC described herein shall be made to the following address: Beyond Roads LLC, 10575 SW 147th Circle - Building 2, Dunnellon, FL 34432 via US Postal Service or other mail courier with return receipt requested. All written notices to the Purchaser described herein shall be made to the following address: ___________________________ ___________________________ ___________________________ via US Postal Service or other mail courier with return receipt requested. ENTIRETY This is the entirety of this Purchase Agreement; no other agreements are in effect between the parties related to this transaction.
