I. WHEREAS the Vendors are the legal heirs of deceased Gangaiah son of
Hanumaiah, who are absolute owners of all that portion of that agricultural
land bearing Sy.No. 143/1 (Old Sy No. 143) measuring 4 Acres 04
Guntassituated at Hulikunte Village, Doddabelavangla Hobli, Doddaballpur
Taluk, Bengaluru Rural Dt. which is more fully described in the Schedule
hereto and hereinafter referred to as the “SCHEDULE PROPERTY”.
II. WHEREAS the Schedule property being portion of Sy.No.
143/1measuring 8 Acres 08 Guntasand PhutKharab0-14 Guntas
situated at Hulikunte Village, Doddabelavangla Hobli, Doddaballpur Taluk
was initially owned and
possessed by one Hanumaiah son of Hanumaiah who having acquired the
same through his ancestors and he was in peaceful possession of said extent
of land during his life time the same recorded in index of land, Record of
Rights and Survey records .

III. WHEREAS, Hanumaiah,died living behind his only son to succeed his
intestate estate. The Revenue authorities after fulfilling all norms the Katha
got transferred by way of inheritance in respect of Sy. No.
143/1measuring
8 Acres 08 Guntas,and PhutKharab0-14 Guntas situated at Hulikunte
Village,
DoddabelavanglaHobli, DoddaballpurTalukin the name ofGangaiah son of
Hanumaiah. SaidGangaiahname was mutated in the revenue records as
owner and khatedar of the said larger extent of land. And whereas after
demise of Gangaiah his children for the purpose of their individual family
legal necessities in order to obtainmonetary benefits by way sale /mortgage
of the joint family properties effected family partition by way of
PanchyathParikathon date: 10.05.2000 including Sy No 143/1, measuring 4
Acres 04 Guntas out of 8 Acres 08 Guntas as “A”, “B”, “C” and “D” Schedule
same was allocated “A” Schedule to1stson Hanumantharayappa, @
Chikkahanumantharayappa, “B” Schedule to 2ndson Chikkahanumiah as he

was deceased his wife Bylammason Gangappa, 2nd wife Thopamma and, “C”
schedule to 3rd son Hanumiahand “D” Schedule to 4th son Narasimhaiah and
1 Acre 01 Gunta in Sy No 143/1was allocate to each same been recorded in
the mutation register in vide MR No.57/2000-01. Further, remaining portion
of 4 Acres 04 Guntas in Sy No 143/1 retained in the name of their late father
Gangaiah for future prospectus of the Joint family.
IV. WHEREAS, the survey authorities upon representation by the children of
deceased Gangaiah the larger extent of agricultural land bearing Sy. No.
143/1 measuring 8 Acres 08 Guntas situated at Hulikunte Village,
DoddabelavanglaHobli, DoddaballpurTalukwas subdivided and assigned
New Survey No’s as Sy No. 143/1 measuring 4 Acres 04 Guntas, Sy No
143/4 measuring 1 Acre 01 Gunta, Sy No 143/5 measuring 1 Acre 01 Gunta,
Sy No 143/6 measuring 1 Acre 01 Gunta, Sy No 143/7 measuring 1 Acre 01

Guntas as per orders of ADLR in vide application No. 21021023611584
dated: 06.11.2023.
V. AND WHEREAS in pursuant said subdivision of the larger extent of land
in Sy No 143/1 measuring 8 Acre 08 Guntas thereby identifying and
demarcate/ delineate their respective allocated shares as, Sy No 143/1
measuring 4 Acre 04 Guntas, Sy No 143/4 measuring 1 Acre 01 Gunta, Sy No
143/5 measuring 1 Acre 01 Gunta, Sy No 143/6 measuring 1 Acre 01 Gunta, Sy No
143/7 measuring 1 Acre 01 Guntasin the said joint family property in pursuant to
earlier family partition entered in between children of Gangiah the same been recorded
in the mutation register M. R. No.T53/2023-24 dated: 03.01.2024.
VI. AND WHEREAS, the Vendor’s as stated supra legal heirs of Gangaiah son of
Hanumaiah are absolute owners of the aforesaid land bearing Sy No. 143/1
measuring 4 Acres 04 Guntasand PhutKharab 0-13 Guntas, situated at

Hulikunte Village, DoddabelavanglaHobli, DoddaballpurTaluk, Bengaluru
Rural District which is more particularly mentioned and described in the
schedule hereunder written, which for the sake of brevity shall hereinafter
be referred to as “SCHEDULE PROPERTY”.
VII. WHEREAS irrespective of the fact that the schedule property currently in the
name of deceased Gangaiah son of Hanumaiah and the above Vendors have
individually and collectively joined in execution of this Deed of
Agreement of sale as abundant caution and to pass on a perfect right, title and
interest in and over the schedule property in favour of Purchaser herein.
VIII. AND WHEREAS, the Vendors Smt.Prameela, Smt.Hemalatha,
Smt.Nagarathna children ofChikkahanumanthrayappaherein has entered
into an Agreement of Sale Date: 13.04.2024, with Sri R.Mohan Son
of
H.Ramachandrappa,in respect of agricultural land measuring 1 Acre 01

Gunta of Sy No 143/1 of Hulikunte Village out of 4 Acre 04 Guntasdue to
unavoidable circumstances couldn’t complete obligations as per the agreed
terms under the above mentioned Agreement of Sale dated: 13.04.2024. And
in view of the same today Vendors through Confirming party is hereby agree
to sell the Schedule property in favour of the Purchaser herein. The
Vendorsand Confirming party hereto do hereby mutually agree and declare
that the said sale agreement been cancelled. AND THAT all rights, interest of
the Confirming party /Purchaser therein to the Agreement schedule property
(agricultural land measuring 1 Acre 01 Gunta of Sy No 143/1 of Hulikunte
Village) and by virtue of the purported AGREEMENT OF SALE dt. 13.04.2024
thereby CANCELLED.
IX. The Confirming Party hereby confirms he has acquitted Vendors from any
liability or obligation towards him which he had attained by virtue of the
Agreement of Sale dated: 13.04.2024 with regard to agricultural land

measuring 1 Acre 01 Guntaout of 4 Acres 04 Guntas in Sy No 143/1 of
Hulikunte Village. The Confirming Party also confirms that based on the
Agreement of Sale he has not acted in any manner which is detrimental to
the rights of the Vendors and that all rights and interest he had attained by
virtue of Agreement of Sale 13.04.2024 stands cancelled and if any subsisting
shall be transferred to the Purchaser herein. The Vendors and Confirming
Party hereby agree that, this Agreement of Sale supersede all their previous
Agreements /GPA/ Memorandum of understanding if any with regard to
Schedule Property.
X. WHEREAS the Vendors are in need of funds meet their family and legal
necessities, also for minor children educational expenses decided to dispose
off the Schedule Property and have offered to sell the same to the
Purchaser herein, making the following representations:-

(a) that the Vendors are the absolute owners of the Schedule Property and that
their title is good, marketable and subsisting and none else has any right,
title, interest or share therein;
(b) that the Schedule Property is not subject to any encumbrances,
attachments, Court or acquisition proceedings or charges of any kind;
(c) that there are no tenancy claims in regard to the Schedule Property under the
Karnataka Land Reforms Act;
(d) that they have not entered into any agreement or arrangement for sale or
transfer of the Schedule Property with anyone else;
(e) that they are in possession and enjoyment and personal occupation of the
Schedule Property;
(f) that the vendors undertake to get the schedule property resurveyed from the
survey department and obtain survey records and fix the boundaries;

based on the said representations, the Purchaser has agreed to purchase the
Schedule Property; and the Parties are desirous of reducing the terms agreed
into writing;
III. NOW THIS AGREEMENT OF SALE WITNESSES AS FOLLOWS:
That in pursuance of the foregoing and in consideration of the price hereby agreed and
on payment of the entire sale price, the Vendors hereby agree to sell and the Purchaser
hereby agrees to purchase, all that portion of agricultural land bearing Sy No.
143/1
measuring 4 Acres 04 Guntas,and PhutKharab 0-13 Guntas situated at
Hulikunte
Village, Doddabelavangla Hobli, Doddaballpur Taluk, Bengaluru Rural District which
is more fully described in the Schedule hereto and hereinafter referred to as the
“SCHEDULE PROPERTY”, subject to the following terms and conditions:-
1) SALE PRICE:

1.1) The price payable by the Purchaser to the Vendors for the Schedule Property shall
be Rs.1,43,50,000/- (Rupees One Crore Forty-Three Lakhs Fifty
Thousand Only);
1.2) That in pursuance of the above common intention and in consideration of the
Purchaser paying the entire sale consideration of Rs. Rs.1,43,50,000 /- (Rupees
One Crore Forty-Three Lakhs Fifty Thousand Only) to the Vendors in
the following manner:
a) a sum of Rs.10,95,834/- (RupeesTen Lakhs Ninety-Five Thousand
Eight Hundred Thirty-Four Only) paid vide cheque bearing No.

the Vendors hereby accept and acknowledge the said sum as full and final settlement
of the sale price;
2) TIME FOR COMPLETION:
That in view of the payment of the entire sale price, the time for completion is
not the essence of the contract as far as the Purchaser is concerned and the Vendors
shall furnish the requirement documents to make out good and marketable title as per
the list already issued by the Purchaser’s counsel to the Vendors and the Vendors shall
convey the Schedule Property in favour of the Purchaser or its nominees as and when
the Purchaser is required;

3) TITLE/VENDOR' S OBLIGATIONS:
3.1) The Vendors shall make out and convey a good, marketable and subsisting title
in regard to the Schedule Property to the Purchaser;
3.2) The sale of the Schedule Property shall be free from encumbrances,
attachments, Court or acquisition proceedings or charges of any kind;
3.3) The Vendors shall pay all rates, taxes and cesses in regard to the Schedule
Property upto date of sale;
3.4) That the Vendors shall get the Schedule Property surveyed from the Survey
Department and obtain survey records and the Purchaser shall pay the sale price for the
actual available area;
4) TITLE DEEDS:

The Vendors shall deliver the original title deeds relating to the Schedule Property
to the Purchaser at the time of execution of the Deed of Sale;
5) POSSESSION:
The Vendors shall deliver vacant possession of the Schedule Property to the
Purchasers on the date of execution of Deed of Sale;
6) EXPENSES:
The expenses relating to Stamp Duty and registration charges in regard to the Deed
of Conveyance shall be borne by the Purchaser;
7) NOMINATION:

The Vendor shall execute a Deed of Sale in regard to the Schedule Property either in
favour of the Purchaser and/or her nominee/s as required by the Purchaser on the
same terms;
8) CONSEQUENCES OF BREACH:
8.1) In the event of the Vendors to this Agreement committing breach, the Purchaser
shall be entitled to enforce specific performance of this contract and also recover all
costs, expenses and losses incurred by the Purchaser, as a consequence of such breach
from the Vendors committing breach;
8.2) In view of the payment of the entire sale consideration, the question of
committing breach on the part of the Purchaser does not arise, and that the Vendors
shall convey the Schedule Property by furnishing the documents as stated in Clause 3
above;
