POWER OF ATTORNEY

THIS POWER OF ATTORNEY is given this __________ day of ___________ by GAMAG NIGERIA LTD of , Port Harcourt. (hereinafter referred as the Donor), to ICB of (Donee) WHEREAS: 1. By virtue of a Deed of Conveyance dated the day of ,the Donor became seised of all that property measuring approximately and situate at Port Harcourt, hereafter called the property 2. The property vested in the Donor is particularly described and delineated on Survey plan No. prepared and signed by Licensed Surveyor and bound by Survey pillars marked 3. The Donor has applied for and obtained an overdraft facility from the Donee, tendering the property as security for same. 4. The Donor is desirous of appointing INTERCONTINENTAL BANK LIMITED as its Attorneys to deal with the property in the way and manner hereunder stated 5. The exercise of such powers shall arise and be invoked only upon the inability of the Donor to pay back in part or full the overdraft facility granted it by the Donee when any part thereof shall become due, subject to the terms of the said facility. NOW THIS DEED WITNESSES THAT: The DONOR hereby appoints the DONEE as its true and lawful Attorneys, to do any or all of the following things in the name and stead of the Donor, namely: 1. To take possession of the property and to manage, superintend the management of the property and buildings thereon, including but not limited to collecting all outstanding and due rents from existing or future tenants on behalf of the Donor. 2. To develop the property or otherwise, and to mortgage, charge, sell, lease, let or otherwise dispose of the property to any bona fide third party. 3. To execute, sign, deal with or deliver and perfect any instruments, deeds or documentation necessary to achieve any of these acts or any other act, which the Donee may deem expedient.

5. To deal with the proceeds from any disposal in any manner the Donee deems fit and proper. 6. To exercise all proprietary rights over the said property. 7. To do all such lawful acts and things as deemed expedient and in all respects as the Donor would and if necessary grant a Power of Attorney to any person for the purposes herein contained. 8. The Donor hereby undertakes to ratify all that the Donee shall lawfully do or cause to be done. 9. Upon the full payment of the overdraft sum including all interests thereon, the Donee shall cause to be delivered to the Donor this Power of attorney for cancellation.
