Some Facts:
 The merged operations of both Mobilink & Warid are going to be known as Jazz.
 Before the amalgamation Warid was 1/3 of Mobilink.
 Warid was doing good business but it needed more funds to compete.
 The merger not just aimed to provide potential customers with
entertainment and access to internet but was aiming to provide customers with
knowledge and education.
 After the merger it is said that they have 50million subscribers across Pakistan being
the largest in the country.

The Merging Process:
Phase 1:
 Mobilink is Going to Acquire 100% shares of Warid in return Dhabi
Group will get 15% shares of Mobilink.
 No Cash is exchanged.
 Companies operate separately till this phase is completed.

Phase 2:
 Warid and Mobilink will merge into one company.
 After completing the regulatory approvals this single company will
have single support operations, single sales and distribution network,
one single PR agency and so on.

Phase 3:
 After the completion of Lock-in Period Dhabi Group will be allowed to
sell its 15% stakes at fair market value First Right to VimpelCom.
 The BOD will include 7 directors, 6 of them will be nominated by
VimpelCom,1 by Dhabi Group.

Value Created:
 USD 115 million annual run-rate cost synergies.
 Leverage: Mobilink 1.8x Net debt/EBITDA at signing.
 Pro forma revenue and EBITDA margin of USD 1.4 billion and above
40% respectively.

The benefits to the subscribers:

 Over 50 million customers in Pakistan will benefit from high-speed mobile


telecommunications and digital mobile network.
 Entertainment is going to be the primary focus but other salient features of the
deal include high definition audio and video sharing.
 Higher quality national voice and data coverage, faster downloads, and a wider
portfolio of products and services.
 Bring in new hardware and technology Vimplecom has signed a contract of
1Billion dollars with Ericsson.
 Revamping their packages produce executive packages for customers.

Mobilink plan to revolutionize communication and form a digitalized generation.
 Designs to make Sms Delivery faster and quicker.
 Revamping Online banking It plans on offering easy-to-operate and user-friendly
online banking services on mobile.
A telecom official Said We want to ensure that customers have no interruptions
even during the transition phase.”

One company Is going to cover the other!
 Mobilink does not have 4G coverage, while Warid does Both companies
benefit with the integrated 4G service operating under the new entity.
 Mobilink serves a wider coverage reach while Warid’s signal coverage is smaller in
comparison  Both companies benefit Again.
 If you can’t find a Mobilink Customer Care Centre you can go to Warid’s
Integrated range of products and services available to either of the telecom
service.
 With the merger, Mobilink customers will also be able to recharge their sims using
a Warid card, and vice versa.
