Our Founder, Lou Richard (1943-2021)

The Newport Capital Group was founded by Lou Richard in 1989. He remained Chairman
and Non-Executive Director until his sudden passing in 2021. Under Lou’s leadership,
Newport Capital has been a leader in investment and advisory services for the
Telecommunications, Media, and Technology (TMT) sector in Australia and the Asia Pacific
region for more than three decades.

I founded Newport Capital back in August 1989 and have been fully involved since then. Newport Capital is my love, my occupation and my

proudest possession – apart of course from my family. Newport Capital has built and refined a variety of offerings, not restricted to just executing

M&A transactions, as detailed in this document. The key differentiator of our firm, is that our senior team members have spent extensive careers at

senior levels in TMT sector companies. As we say - “If you are in the business of advising clients on which car to buy, how to finance a car, how

to service your car and how to drive a car, it’s an advantage to have successfully driven cars.” Elaborate foyers in high rise buildings are of

questionable value.

The keys to our success have been – deep knowledge of TMT sector technologies and companies, wide senior level relationships in the TMT

markets, here and offshore, highly refined transaction execution methodologies for M&A transactions and IPO’s, and innovative thinking. Our

team members have exceptional knowledge, skills and qualifications. Our culture is completely “collaborative” and transparent. Our advice is

always very carefully considered and completely honest. I am proud of the many, many M&A transactions we have completed for clients and look

Jules' entrepreneurial ride began in 1998. He has developed a strong brand name in the technology, media and telecommunications
sectors while enjoying an active interest in real estate investment. Jules' strategic approach and hands on management style has
delivered notable results.

Passionate, confident and a highly motivated business leader. Consistently exceeding expectations in fast-paced international
companies. Ultimately, accomplished in identifying and delivering sustainable high-growth deal flow of stable investment returns,
leveraging an extensive global network, industry knowledge and skillset second to none.

Jules has injected continuous growth, via both complex GTM structures and M&A, throughout enterprise, commercial, channel and
alliances across the Americas and Asia Pacific since 2008.

MICHAEL SHANDLER – Director of Mergers & Acquisitions

Michael Shandler qualified as a Chartered Accountant in 1981 with expertise in commerce, law, finance, property, and technology. He
has been assisting companies grow their operations with everything from brand acquisition and global distribution, to budgeting and
debt or equity raising.

Michael’s interest in technology and deal-making led him to Newport Capital in 1995 where until 2000 he was actively involved in
mergers and acquisitions, buy-side and sell-side engagements, and capital raisings for both private and public companies.

He successfully completed 15 transactions in his five-year tenure at Newport Capital with values between $3 mil - $40 mil. Examples
vary from executing a distribution agreement and sale of an Australian medical educational TV Satellite Network to an Israeli
company to his largest transaction, the sale of an Australian ERP system business to a South African listed company.

PAULINE FERRARI – Chief Operating Officer

Pauline’s career has maintained a primary focus on growth initiatives, global systems implementation, integration projects, accounting
functions, and day-to-day business operations. Before joining Newport Capital Group in 2019, Pauline worked extensively in the
technology, advertising and marketing sectors in finance and operations.

As Newport’s COO, Pauline is responsible for all day-to-day operations, regulatory compliance, legal liaison, and corporate finances.
She is also formally, the Company Secretary.
