ORDER AUTHORIZING EMPLOYMENT AND RETENTION OF ALLEN & OVERY LLP, AS SPECIAL LITIGATION COUNSEL TO THE CHAPTER 7 TRUSTEE NUNC PRO TUNC TO SEPTEMBER 18, 2009 Upon the application, dated May 11, 2010 (the Application), of Yann Geron (the Trustee), the chapter 7 trustee of the estate of Thelen LLP (the Debtor), the abovecaptioned debtor, for an order, pursuant to 11 U.S.C. 327(a), authorizing the retention of Allen & Overy LLP (A&O), as the Trustees special litigation counsel herein; and upon the affidavit of Michael S. Feldberg in support thereof (the Feldberg Affidavit); and it appearing that A&O represents no interest adverse to the Trustee, the Debtor, its estate or creditors with respect to the matters for which A&O is to be engaged, that A&O is a disinterested person as that term is defined in 11 U.S.C. 101(14), and that its employment is necessary and in the best interests of the estate; and for good and sufficient cause, it is hereby ORDERED, that pursuant to 11 U.S.C. 327(a), and Rule 2014(a) of the Federal Rules of Bankruptcy Procedure, the Trustee be and he hereby is authorized and empowered to employ and retain A&O as his special litigation counsel herein on the terms and conditions set forth in the Application and the Feldberg Affidavit; and it is further ORDERED, that all compensation and reimbursement of expenses to be paid to A&O shall be paid directly from the proceeds of the Debtors insurance policy and at no further

expense to the Debtors estate or its creditors, and payment of such fees by MPC Insurance shall not require any fee application or further order of this Court.
