Constitution and By-laws of the South

Carolina IB Schools
ARTICLE I - NAME AND AUTHORITY
Section 1. The name of this organization shall be the South Carolina
IB Schools (SCIBS).
Section 2. This organization shall be governed by the broad dictates
set forth in the SCIBS Constitution and By-laws.
ARTICLE II - PURPOSE AND OBJECTIVES
Section 1. The purpose of the South Carolina IB Schools shall be the
general improvement of education for students enrolled in the International
Baccalaureate Diploma Programs, Career-Related Certifcate Programs,
Middle Years Programs, and Primary Years Programs in the state of South
Carolina.
Section 2. The following objectives of SCIBS are designed to achieve
the purpose given in Section 1 of this article:
a. to facilitate continuing program development, curriculum
improvement, and curriculum implementation;
b. to facilitate and sponsor International Baccalaureate Diploma
Program (DP), Career-Related Certifcate Program (IBCC),
Middle Years Program (MYP), and Primary Years Program
(PYP) symposiums for teachers, counselors, coordinators, media
specialists, and administrators;
c. to serve as a clearing house for ideas and materials relating to
the DP, IBCC, MYP, and PYP;
d. to facilitate publicity for students, schools, and school systems
participating in the DP, IBCC, MYP, and PYP;
e. to facilitate professional, student, and public discussions of IB
and IB- related programs;
f. to foster recognition and understanding of the International
Baccalaureate program by North American universities and
colleges especially in the state of South Carolina.

ARTICLE III - MEMBERSHIP
Section 1. Membership in the SCIBS is open to public, parochial,
private and independent schools with programs authorized by the
International Baccalaureate Organization (IBO), district ofces of school
districts that have one or more authorized public schools, and the South
Carolina State Department of Education.
Section 2. Each member program shall be entitled to two voting
delegates (one teacher or counselor and one coordinator or administrator).
Each member district ofce and the SC Department of Education shall be
entitled to one voting delegate.
Section 3. Auxiliary membership may be conferred upon individuals
and institutions friendly to the organization.
ARTICLE IV - DUES
Section 1. Annual dues for institution membership shall be
determined by the SCIBS members upon recommendation of the Board of
Directors.
Section 2. Annual dues shall be paid per authorized program.

Section 3. The dues shall be collected and remitted in a manner
which is approved by the Board of Directors.
Section 4. There shall be no dues for the South Carolina Department
of Education, school districts, or auxiliary members.
ARTICLE V - OFFICERS
Section 1. The elected ofcers of the SCIBS shall be a President,
Vice-President (immediate past President), President-elect, Secretary, and
Treasurer. Ofcers shall be elected for a two-year term of ofce.
Section 2. A vacancy among any of the elected ofcers shall be flled
by the Board of Directors until the next regular election. At this time, the
position will be flled by the membership.
Section 3. Elected ofcers must be from diferent member programs.
ARTICLE VI - DUTIES OF OFFICERS
Section 1. The President shall preside over the meetings of the
SCIBS membership and Board of Directors. The President shall be
responsible for such other duties as may be usual and customary to this
position to include authorization to pay bills and which may be assigned from
time to time by the membership and Board of Directors.
Section 2. In the absence of the President, the Vice-President shall
exercise all the duties and functions of the President. The Vice-President
shall serve as a member of the Board of Directors.
Section 3. It shall be the duty of the President-elect to serve as a
member of the Board of Directors and assume such responsibilities as may be
assigned by the President or Board of Directors.

Section 4. It shall be the duty of the Secretary to keep all records, to
attend to the correspondence, serve as a member of the Board of Directors,
and to perform such other duties as pertain to that ofce.
Section 5. It shall be the duty of the Treasurer to collect dues, pay
all bills approved by the members of the Board of Directors, and keep all
funds belonging to the SCIBS.
ARTICLE VII - NOMINATION OF OFFICERS
Section 1. The SCIBS President shall appoint a nomination
committee of at least three people to nominate members for ofces specifed in
Article V of the Constitution. Nominations of the committee shall be
communicated to members of the Board of Directors and the designated
contact person of each member program at least thirty (30) days prior to the
actual vote.
Section 2. Nominations for the various SCIBS ofces may be made
from the foor at an announced meeting.
ARTICLE VIII - BOARD OF DIRECTORS
Section 1. The Board of Directors shall include the elected ofcers, a
representative from the SC Department of Education and a DP, IBCC, MYP,
and PYP representative appointed by the President.
Section 2. All members of the Board of Directors must be from
diferent member programs.
Section 3. Policy implementation shall be invested in the Board of
Directors.
Section 4. Tenure on the Board of Directors shall be for two years for
elected ofcers and one year for appointed ofcers. However, there shall be no
limit to the number of consecutive terms board members may serve.

ARTICLE IX - MEETINGS
Section 1. There shall be at least one annual meeting of the SCIBS
to be held at a time and place determined by the Board of Directors.
Section 2. Special meetings of the SCIBS delegates may be called by
the President upon approval of the Board of Directors.
Section 3. The Board of Directors shall hold at least one meeting
annually.
Section 4. Written notice of the time, place, and tentative agenda for
all SCIBS meetings must be communicated to the designated contact persons
of the member programs.
ARTICLE X - QUORUM
Section 1. A quorum for annual or special meetings shall be those
members present, provided proper announcement circulation has been
complied with as indicated in Article IX.
Section 2. A quorum of the Board of Directors shall be those

ARTICLE XI - AMENDMENTS
Section 1. Amendments to this constitution may be proposed by
fling a copy of the proposed amendment with the President at least thirty
(30) days prior to the meeting at which the amendment will be considered.
Section 2. The President shall cause the proposed amendment to be
circulated among the membership at least ffteen (15) days prior to the
meeting at which the proposal will be considered.

Section 3. A two-thirds vote of the member representatives present
and voting shall be required to efectuate an amendment to this constitution.
ARTICLE XII - BY-LAWS
Section 1. The Board of Directors may enact such by-laws for the
conduct of its business as it may deem necessary.
Section 2. Upon proper notice, the by-laws may be amended by a
majority vote of the members of the Board of Directors at any regular or
special meeting called for that purpose.
Section 3. By-laws or changes in the by-laws may be proposed in
writing by any member designee of the SCIBS in the regular meeting of the
SCIBS or Board of Directors.
Section 4. By-law proposals or amendments will be mailed to all
members of the Board of Directors and will be considered at the next meeting
of the Board of Directors.

ARTICLE XIII - RULES OF ORDER
Section 1. On all questions of parliamentary law not specifcally
covered in the Constitution and by-laws, Roberts Rules of Order, Revised, shall
be the governing authority.
ARTICLE XIV - ACTIVITIES
Section 1. All activities of the SCIBS shall be in support of the
Purpose and Objectives indicated in Article II.
Section 2. No activities of the SCIBS shall be in confict with the
purposes and policies of International Baccalaureate Organization.

Section 3. No activities of the SCIBS shall be in confict with any
policies of member schools, school districts, or the South Carolina State Board
of Education.
ARTICLE XV- ASSETS ON LIQUIDATION
Section 1. No part of the net income, revenue, or grants of the SCIBS
shall accrue to the beneft of any member, ofcer, or private individual except
in payment for requested services rendered in connection with the SCIBS
objectives and activities. In the event of dissolution or liquidation, the assets
of the SCIBS, after payment of debts and obligations, shall be transferred to
an organization with federal tax exemption status for charitable and
educational purposes similar to those of the SCIBS. The exempt organization
shall be designated by the Board of Directors of the SCIBS.

ARTICLE I - DUES
Section 1. Annual dues for each member program shall be one
hundred dollars ($100.00) to be postmarked by October 1 of the related school
year.
ARTICLE II - FISCAL YEAR
Section 1. The membership year of the SCIBS shall be from July 1
through June 30.
ARTICLE III - ELECTIONS
Section 1. Ofcers shall be elected by a simple majority vote of the
current membership.
ARTICLE IV Electronic Voting
Section 1. All dues paying members will have ffteen (15) days from
the date sent , to respond to an electronic vote. A two-thirds (2/3) majority of
those submitting electronic votes shall be required to efectuate an
amendment to the constitution, a simple majority of those submitting
electronic votes shall be required to determine ofcers elect.
Section 2. The SCIBS board shall have the authority to examine the
eligibility of any voter.
ARTICLE V Ex-ofcio Ofcers
Section 1. The board has the authority to appoint ex-ofcio ofcers.
