Legal Terms
Contract Modification and Cancellation
The deliverables, timelines, processes and dependencies provided in this agreement are based
on information provided by the client and on certain assumptions made by (Company Name).
Aspects pertaining to the scope of work contracted may change as a result of clients change of
financial, competitive, strategic, or other unforeseeable business needs. Any such scope
modifications will be promptly communicated to the freelance agent and may result in changes to
this agreement that may render it null. (Company Name) will request that you invoice for the time
and deliverables completed up to the date of notification. (Company Name) will bill the client for
the time and deliverables completed up to the date of notification, and will pay you immediately
upon receiving payment from the client.
If during the course of the project the freelance agent does not meet the deliverables, timeline,
and/or expectations, (Company Name) reserves the right to cancel the contract. In the event of
this the freelance agent will risk forfeiture of part or all of payment due. If (Company Name) has
to hire a replacement freelance agent to complete the work, you agree to forfeit all payment for
any work completed. Excluded from this clause are time delays caused by (Company Name) or
by (Company Name) client.
Scope
Scope definitions originally included in this agreement, but dropped during the course of project
development, will be subject to cost renegotiation. (Company Name) and the freelance agent to
this agreement will agree to the terms of the cost adjustment in a separate Addendum to this
agreement. Scope definitions cannot be added to this agreement. Scope additions must be made
on a separate Addendum to this agreement and must be agreed to by (Company Name) and
the freelance agent to this agreement.
It is the sole responsibility of the freelance agent to this contract to alert (Company Name) when
project requests and deliverables being completed fall outside the scope of original agreement.
(Company Name) will not be responsible for compensating time and deliverables falling outside
the scope of this agreement for which the freelance agent failed get prior approval from
(Company Name).

Confidentiality
The information contained in this proposal is confidential information developed by (Company
Name) and its client. It has been provided to you expressly for the purpose of rendering services
covered under this agreement. This confidential information is governed by the Non-Disclosure
Agreement made a hereto a part of this agreement. Specific details of this project, its scope, its
mission, strategy or competitive ramifications, and any other client trade knowledge that you may
come in contact with may not be shared with any other individual, agent, or organization outside
of (Company Name) and its client for any reason without prior written consent from (Company
Name) and its client.
Billing
Invoices will be accepted only upon completion of work. All invoices received will be paid net 30
days from receipt of invoice. In the event that a project is put on hold, for longer than 3 weeks,
(Company Name) will request that you invoice for the time and deliverables completed up to the
date the project was placed on hold. (Company Name) will bill the client for all the time and
deliverables completed up to the date the project was placed on hold and will pay you
immediately upon receiving payment from the client.
Expenses
Out-of-pocket expenses such as materials, color copies, travel, couriers and freight, phone
charges, printing and others are considered not included in this agreement unless expressly
stated and itemized in the Costs section of this agreement. (Company Name) will not accept or
reimburse any expenses incurred by the vendor that are not listed in the Costs sections of this
agreement.
Taxes
Applicable state and federal taxes are not included in the costs itemized in the Costs and
Timelines section of this agreement and are the sole responsibility of the individual parties to this
contract.
Cancellation
Should the client cancel the project, (Company Name) will request you provide an invoice for
work completed up to the point you were notified of clients project cancellation. (Company Name)
will bill the client and pay the freelance agent to this contract, upon receipt of payment from client.
Standard Ownership Practices
Unless otherwise agreed to in writing and signed by all the parties to this agreement, ownership
of in-progress work through final deliverables will be:
Conceptual sketches and prototypes

Rough copy drafts, preliminary copy explorations, etc.

Separations, proofs and final film

Research, studies, analysis, strategy, reports, etc.

Buyout
Work completed by freelance agent to this contract is considered a buyout. Unless expressly
stated and itemized, (Company Name) becomes the sole owner of the copyright to all source
files, materials, copy, illustrations, photography, research, studies, analysis, reports and digital
components and all other work completed by freelance agent under this agreement.
Ownership Transferal
(Company Name) reserves the right to transfer its Copyright ownership onto its clients.
