DESCRIPTION OF THE SADLER'S WELLS GLOBAL DANCE CONTEST 1.1 The Sadler's Wells Global Dance Contest 2011 (the "Contest") is a skills-based video submission contest. 1.2 Sadler's Wells invites entrants to choreograph, perform and film any original piece of dance and to submit their filmed performance to Sadler's Wells (each video submitted being a "Submission"). 1.3 The Contest will occur in two stages. At Stage 1 of the Contest, each eligible Submission will be available for viewing at the contest website at www.globaldancecontest.com (the "Contest

Website") and will be judged as part of the Contest in accordance with paragraph 6.1 below. At
Stage 2 of the Contest, each Finalist Submission will be available for viewing on the Contest

Website and will be judged by such members of the public who wish to register their vote in accordance with paragraph 6.2 below. 1.4 As well as offering a cash prize to the winning entrant(s), Sadler's Wells will invite the winner of the Contest (whether an individual or a group) for an expenses paid trip to London to perform their winning Finalist Submission (the "Winning Submission") live on or about January 2011 or at such time as Sadler's Wells shall at its sole and absolute discretion decide, at Sadler's Wells Sampled, a showcase of the best in dance from around the world held at Sadler's Wells, Rosebury Avenue EC1R, Islington ("Sadler's Wells Theatre"). Further details on the prize for the Contest are set out in paragraph 7 below. 1.5 The Contest begins on 31 January 2011 at 9 a.m. Greenwich Mean Time , when Submissions will first be accepted, and ends on 2 November 2011 at 6 p.m. Greenwich Mean Time when public voting closes. 1.6 Sadler's Wells (as defined in paragraph 2.1 below) is the sponsor of this Contest. 1.7 Any queries relating to the Contest should be sent by email to info@globaldancecontest.com.

2. THE RULES AND THE TERMS AND CONDITIONS 2.1 In these Rules, "Sadler's Wells" means Sadler's Wells Trust Limited (UK charity no. 279884) acting on its own behalf and, as relevant, for and on behalf of its parents, subsidiaries, affiliates, officers, employees, assignees, licensees and agents. 2.2 These Official Sadler's Wells Dance Contest 2011 Rules (the "Rules") are the official rules governing the Contest. 2.3 Use of the Contest Website is governed by the terms and conditions and the outline privacy policy of Sadler's Wells posted on the Contest Website at www.globaldancecontest.com (the "Terms and Conditions"). 2.4 By entering the Contest and making a Submission, each entrant acting on his/her own behalf and each Group Representative (defined in paragraph 3.3 below) acting on his/her own behalf and for and on behalf of each entrant in his/her Group (defined in paragraph 3.3 below) acknowledges that he/she has read and understands the Rules and the Terms and Conditions.

2.5 By entering the Contest and making a Submission and in consideration for the acceptance of a Submission by Sadler's Wells (the sufficiency of which is hereby acknowledged), each entrant acting on his/her own behalf and each Group Representative acting on his/her own behalf and for and on behalf of each entrant in his/her Group irrevocably and unconditionally agrees to comply with and to abide and be bound by the Rules and the Terms and Conditions. 2.6 The Rules and the Terms and Conditions shall be construed according to and governed exclusively by the law in England and Wales and each entrant acting on his/her own behalf and each Group Representative acting on his/her own behalf and for and on behalf of each entrant in his/her Group agrees to submit to the exclusive jurisdiction of the courts of England and Wales in respect thereof. 2.7 Sadler's Wells reserves the right to amend the Rules and/or the Terms and Conditions at any time without prior notice. Any amendments to the Rules and/or the Terms and Conditions will be posted on the Contest Website at www.globaldancecontest.com, e-mailed to the e-mail address provided on the Registration Form (defined in paragraph 4.3 below) corresponding to each Submission or communicated in such other manner (if any) as Sadler's Wells shall in its sole and absolute discretion consider appropriate.

3. ELIGIBILITY 3.1 Save as set out in paragraphs 3.4 and 3.5 below, entry to the Contest is open to all persons from any geographic location where the Contest is not prohibited or restricted by law PROVIDED THAT such persons have reached the age of 18 years or, if greater, the age of majority (as of 1 February 2011) in such person's applicable jurisdiction. 3.2 It is the responsibility of any person including, but not limited to, any person who is not resident in England and Wales to satisfy themselves as to the full observance of the laws of their applicable jurisdiction in respect of the Contest. 3.3 A Submission may be made either (i) by a single eligible entrant or (ii) for and on behalf of a group of eligible entrants (a "Group"). Every Group entering the Contest shall be represented by a single eligible entrant who shall act for and on behalf of every member of the Group (the "Group

Representative"). All of the members of the Group must consent to entering the Contest prior to
the Submission being made.

3.4 Employees of Sadler's Wells or of any company involved in the Contest and any such person's agents or family or household members are not eligible to enter the Contest, either on their own behalf, as a single entrant or as part of a Group. 3.5 Sadler's Wells reserves the right to verify the eligibility of any entrant to the Contest, including any member of a Group, at any time and by such methods as it sees fit.

4. ENTRY REQUIREMENTS 4.1 The Contest may only be entered during the period from 31 January 2011 at 9am Greenwich Mean Time to 30 June 2011 at 5pm Greenwich Mean Time. 4.2 There is no fee payable to enter the Contest. 4.3 To enter a Submission, upload your video to YouTube and complete the online registration form found on the Contest Website at www.globaldancecontest.com (the "Registration Form"). 4.4 The Registration Form must be properly completed and Sadler's Wells reserves the right to refuse, in its sole and absolute discretion, to accept any Submission accompanied by an improperly completed Registration Form. 4.5 Each Submission will be hosted by YouTube only in accordance with YouTube's terms of use found at uk.youtube.com/t/terms. For a Submission to the valid, the URL of the video on YouTube must be correctly noted on the Registration Form. The URL enables Sadler's Wells to identify a Submission. 4.6 Each Submission must be made in accordance with the Rules, including the Submission Criteria set out in paragraph 5 below. Any Submission that fails to satisfy the entry requirements will not be eligible for the Contest. 4.7 Sadler's Wells reserves the right to determine, in its sole and absolute discretion, whether a Submission satisfies the entry requirements and is eligible for the Contest. 4.8 Entry of a Submission will only be complete once confirmation of acceptance of the Submission is e-mailed by Sadler's Wells to the e-mail address provided on the Registration Form corresponding to the relevant Submission. Receipt of a confirmation e-mail does not constitute acknowledgement by Sadler's Wells as to the eligibility of a Submission.

5. SUBMISSION CRITERIA 5.1 Content criteria 5.1.1 Each Submission must: (a) showcase an eligible entrant or a Group performing an original and previously unpublished piece of dance; and (b) be no less than 30 seconds and no more than five minutes in length. 5.1.2 Submissions must NOT: (a) contain any material which is sexually explicit, obscene, pornographic, violent, discriminatory, illegal or otherwise offensive, threatening, profane or likely to be detrimental to the reputation of the Contest and/or Sadler's Wells; or (b) be the performance of or include any copyrighted material (including any music used for the dance routine) or otherwise include a trademark, logo, insignia, signage or photograph of any third party. 5.2 Technical criteria 5.2.1 A Submission must be in a format accepted by YouTube. 6. THE STAGES OF THE CONTEST The Contest has two stages: 6.1 Stage 1 Each eligible Submission will initially be judged in Stage 1 of the Contest by a panel of judges selected by Sadler's Wells (the "Judges"), at least one of which will be independent of Sadler's Wells. The names of the Judges may be requested by way of e-mail to info@globaldancecontest.com. The Judges, in their sole and absolute discretions, will give a percentage score to each Submission based on the following three criteria:

Creativity and originality (40%) Performing skill (30%) Entertainment value (30%) The Judges will select the 10 Submissions awarded the highest percentage score save that, in the event of an equality of scores amongst some or all of such top-scoring Submissions, the Judges will draw up to 10 Submissions by lot. All decisions of the Judges are final and binding. The Judges shall put forward those Submissions so selected or drawn to Stage 2 of the Contest. The Submissions so put forward to Stage 2 of the Contest, and the identity of the entrant or Group (the "Finalists") will be revealed on the Contest Website and in such other manner (if any) as Sadler's Wells shall in its sole and absolute discretion consider appropriate on or about 12pm Greenwich Mean Time on 15 July 2011 (or as soon as reasonably practicable thereafter). 6.2 Stage 2 (together the "Additional Criteria"). The Finalist Submissions will be judged by such members of the public who register their vote on the Contest Website at www.globaldancecontest.com from 10 a.m. Greenwich Mean Time on 8 August 2011 to 6 p.m. Greenwich Mean Time on 2 November 2011 (the "Deadline"). The Judges will declare the Finalist Submission that receives the largest number of votes by the Deadline or, in the event of an equality of votes, the Finalist Submission drawn by the Judges by lot on 3 November 2011 (or as soon as practicable thereafter) to be the Winning Submission. All decisions of the Judges are final and binding. The winner of the Contest will be the entrant or Group identified on the Registration Form corresponding to the Winning Submission (the "Winning Entrant(s)"). Sadler's Wells will reveal the Winning Entrant(s) on the Contest Website at www.globaldancecontest.com and in such other manner (if any) as Sadler's Wells in its sole and absolute discretion considers appropriate at 12 pm Greenwich Mean Time on 7 November 2011 (or as soon as reasonably practicable thereafter).

7. THE PRIZE FOR THE CONTEST 7.1 The prize for the Contest (the "Prize") will be awarded to the Winning Entrant(s).

7.2 The Prize is: 7.2.1 the opportunity for the Winning Entrant(s) to perform the Winning Submission live at Sadler's Wells Theatre at Sadler's Wells Sampled, a showcase of the best in dance from around the world, (the "Live Performance") on or about 28-29January 2011 or at such time as Sadler's Wells shall at its sole and absolute discretion decide. Sadler's Wells will pay reasonable transport and accommodation costs to the Winning Entrant(s) and, for the avoidance of doubt in the case of a Group, each member of the Group; and 7.2.2 STG 2,000 (the "Cash Element") which shall be presented in the form of a cheque payable to the Winning Entrant(s) on or about the time of the Live Performance. 7.3 In the event that the Winning Submission is made by a Group, the Cash Element will be paid by cheque made out to the Group Representative and Sadler's Wells shall not be responsible for the allocation of the Cash Element amongst the Group. 7.4 The Winning Entrant(s) shall be solely responsible for all expenses relating to the trip to London and the Live Performance other than those set out in clause 7.2.1 above. 7.5 The Winning Entrant(s) shall be responsible for arranging any and all consents and travel documents that may be required for the purpose of coming to London for the Live Performance, including but not limited to any necessary passport, visa and licence for travel. The Winning Entrant(s) shall be responsible for arranging their insurance while travelling. 7.6 The Winning Entrant(s) must be available for travel between 16 January 2011 and 13 February 2011 or at such other time as Sadler's Wells shall at its sole and absolute discretion direct (the "Travel Period"). The Live Performance will take place on or about 28-29 January 2011 or at such time as Sadler's Wells shall at its sole and absolute discretion decide (the "Performance

Date"). Failure to be available to perform at Sadler's Wells Theatre on the Performance Date may
result in forfeiture of the Contest. Sadler's Wells reserves the right to change the Travel Period at its sole and absolute discretion. 7.7 The Winning Entrant(s) are not entitled to request or receive a substitute for the Prize or for any part of the Prize. However, if either the Cash Element or the Live Performance (or both) cannot be awarded as a result of circumstances beyond the reasonable control of Sadler's Wells, Sadler's Wells may, in its sole and absolute discretion, award a substitute prize of equal or greater monetary value.

7.8 The Prize is not transferable and the Winning Entrant(s) may not assign it or otherwise designate someone else to receive all or part of it. 7.9 If the Winning Entrant(s) forfeits the Contest or otherwise fails for any reason to accept the Prize the Judges may, in their sole and absolute discretion, award the Prize to the entrant or Group identified on the Registration Form corresponding to the Finalist Submission receiving the second largest number of votes by the Deadline (the "Alternative Winning Submission") or, in the event of an equality of votes the Finalist Submission drawn by the Judges by lot. Any such entrant or Group would be the "Alternative Winning Entrant(s)" and reference in these Rules to the "Winning Entrant(s)" shall, where relevant, be read and construed as a reference to the Alternative Winning Entrant(s). 7.10 Any person who accepts the Prize (or part thereof) shall be solely responsible for paying or discharging all applicable taxes (if any) associated with the Contest and/or the Prize.

8. THE WINNER OF THE CONTEST 8.1 Subject to this paragraph 8, the Winning Entrant(s) will be eligible for the Prize. 8.2 After the Deadline, the Winning Entrant(s) will be contacted in such manner as Sadler's Wells shall, in its sole and absolute discretion, decide. The Winning Entrant(s) will be required to assign all copyright over the Winning Submission to Sadler's Wells and may be required to sign a declaration of eligibility, use, indemnity and liability/publicity release. If the Winning Entrant(s) cannot be contacted or otherwise fails to provide such properly executed documents as are required by Sadler's Wells within five business days, the Winning Entrant(s) will, unless otherwise agreed by Sadler's Wells, be deemed to have forfeited the Contest. 8.3 Unless already held or obtained by Sadler's Wells, Sadler's Wells will use its reasonable endeavours to obtain rights to the accompanying music used in the Winning Submission. If Sadler's Wells is unable to obtain such rights or if obtaining such rights would at the sole and absolute discretion of Sadler's Wells be too expensive, Sadler's Wells may deem the Winning Submission to have forfeited the Contest. 8.4 At any time, Sadler's Wells may in its sole and absolute discretion, disqualify any Winning Submission which Sadler's Wells considers, at its sole and absolute discretion potentially or actually infringes any third parties' intellectual property rights.

8.5 Sadler's Wells reserves the right to modify or to require the modification of the Winning Submission or, as relevant, the Alternative Winning Submission, to make it suitable for the Live Performance (including for example, but not limited to, lengthening the Winning Submission or, as relevant the Alternative Winning Submission. Sadler's Wells' decisions as to suitability and any necessary modifications shall be final and Sadler's Wells reserves the right to cancel the Live Performance if Sadler's Wells considers, in its sole and absolute discretion, that any such modifications might not be satisfactorily made.

9. USE OF YOUR SUBMISSION, FINALIST SUBMISSION AND/OR WINNING SUBMISSION BY SADLER'S WELLS 9.1 Each entrant acting on his/her own behalf and each Group Representative acting on his/her own behalf and for and on behalf of each member of his/her Group: 9.1.1 grants Sadler's Wells an irrevocable, worldwide licence for the duration of the protection of any copyright (and any renewals, reversions and extensions of such copyrights) to: (i) reproduce, copy, modify or alter their Submission and, as relevant, Finalist Submission and/or the Winning Submission (in whole or in part); (ii) use, review, assess and otherwise analyse their Submission and, as relevant, Finalist Submission and/or the Winning Submission (in whole or in part) in connection with this Contest and any future contests held by or in association with Sadler's Wells; and (iii) exploit their Submission and, as relevant, Finalist Submission and/or the Winning Submission (in whole or in part) for any reason whatsoever including (a) commercial exploitation and (b) exploitation in connection with the promotion of this Contest and any future contests held by or in association with Sadlers Wells, in each case, in all media, whether now known or hereafter invented; 9.1.2 to the fullest extent permitted by applicable law, waives any and all so-called "moral rights" or any similar rights that the entrant or Group may have or hereinafter acquire in the Submission and, as relevant, Finalist Submission and/or the Winning Submission and, to the extent that such rights cannot be waived, consents to Sadler's Wells doing or omitting to do any act that would otherwise infringe such "moral rights" or any such similar rights;

9.1.3 acknowledges that Sadler's Wells and/or other entrants in the Contest may have developed or commissioned materials similar or identical to their own Submission and, as relevant, Finalist Submission and/or the Winning Submission and waives any claims and any right to compensation that may result from any such similarities; 9.1.4 agrees to sign, within five working days of receipt of a request from Sadler's Wells, any documentation that may be required for Sadler's Wells to exploit the rights acquired by Sadler's Wells under these Rules; and 9.1.5 acknowledges that no compensation or credit for the use of any Submission and, as relevant, Finalist Submission and/or the Winning Submission will be received by any entrant or Group other than as described in these Rules. 9.2 During the course of and following the end of the Contest any Submission and, as relevant, Finalist Submission and/or the Winning Submission may be posted (in whole or in part) on one or more websites selected by Sadler's Wells for viewing by visitors to that website. Sadler's Wells shall not be responsible for any unauthorised use of a Submission, Finalist Submission and/or the Winning Submission by visitors to such a website. 9.3 While Sadler's Wells reserves all the rights described in this paragraph 9, Sadler's Wells is not obliged to use any Submission, Finalist Submission and/or the Winning Submission for any purpose.

10. FURTHER CONDITIONS OF ENTRY 10.1 Each entrant acting on his/her own behalf and each Group Representative acting on his/her own behalf and for and on behalf of each entrant in his/her Group acknowledges and agrees that: 10.1.1 to the fullest extent permitted by applicable law, none of Sadler's Wells, its parents, subsidiaries, affiliates, officers, employees, assignees, licensees or agents shall be liable for any injury, loss, damage, right, claim or action of any kind arising from or in connection with the Contest or with the Prize; and 10.1.2 Sadler's Wells may use the name and place of residence of any entrant or Group in any media in connection with this Contest without payment or compensation to such entrant or Group.

10.2 In relation to their Submission and, as relevant, Finalist Submission and/or the Winning Submission, each entrant acting on his/her own behalf and each Group Representative acting on his/her own behalf and for and on behalf of each entrant in his/her Group warrants, represents and undertakes that: 10.2.1 the Submission and, as relevant, Finalist Submission and/or the Winning Submission is the original work of the eligible entrant or of the Group; 10.2.2 the Submission and, as relevant, Finalist Submission and/or the Winning Submission only includes material (including music, video or images) that the entrant owns, that is a Permitted Track or in respect of which the entrant or Group has permission from the copyright, trademark or any other intellectual property owner to use in the manner anticipated by the Contest and these Rules; 10.2.3 all necessary permissions and consents to submit the Submission and, as relevant, Finalist Submission and/or the Winning Submission in the Contest have been obtained including, but not limited to, from any person that appears in the Submission, Finalist Submission and/or the Winning Submission; 10.2.4 the Submission and, as relevant, Finalist Submission and/or the Winning Submission has not been previously published or distributed in any media; and 10.2.5 the Submission and, as relevant, the Finalist Submission and/or the Winning Submission complies with the YouTube terms of use, available at uk.youtube.com/t/terms . 10.3 Each entrant acting on his/her own behalf and each Group Representative acting on his/her own behalf and for and on behalf of each entrant in his/her Group warrants, represents and undertakes that, in entering the Contest, he/she is complying with, and the Contest is not in violation of, the laws of his/her jurisdiction. 10.4 In relation to each Group represented by him/her, each Group Representative acting on his/her own behalf warrants, represents and undertakes that he/she has full authority to make the agreements, acknowledgements, warranties, representations and undertakings on behalf of each entrant in such Group. 10.5 Each entrant acting on his/her own behalf and each Group Representative acting on his/her own behalf and for and on behalf of each entrant in his/her Group (jointly and severally) indemnifies and keeps Sadler's Wells (for itself and on behalf of each of its parents, subsidiaries, affiliates,

officers, employees, assignees, licensees or agents) fully and effectively indemnified on demand from and against any and all claims, costs, proceedings, demands, losses, expenses (including legal expenses), liability or damages whatsoever (including any direct, indirect, punitive or consequential loss or damages, or any anticipated loss of profit, loss of profit, loss of opportunity, loss of data, costs and fines and/or any special or incidental damages of any kind) arising directly or indirectly as a result of (i) any breach or non-performance by the entrant(s) of any of the Rules, of the representations, warranties and undertakings contained in these Rules, or (ii) of the inaccuracy or untruthfulness of any such representations and warranties or of any use of the rights granted and/or materials supplied by the entrant, or on his/her behalf, to Sadler's Wells pursuant to these Rules.

11. MISCELLANEOUS 11.1 The decisions of Sadler's Wells and the Judges (as relevant) are final and binding on all matters related to the Contest, in particular but not limited to the interpretation of these Rules and the Terms and Conditions, the application of the Rules and the Terms and Conditions to any entrant or Group or any prospective entrant or Group and whether the Rules have been breached by any person. 11.2 The provisions of the Contracts (Rights of Third Parties) Act 1999 shall not apply to these Rules. 11.3 These Rules along with the Terms and Conditions constitute the entire agreement between Sadler's Wells and each entrant or Group in relation to the Contest.

12. DISQUALIFICATION 12.1 Sadler's Wells may disqualify any entrant who at any time is considered, in Sadler's Wells' sole and absolute discretion, ineligible for the Contest or who has breached the Rules or the Terms and Conditions. If an entrant is disqualified, their Submission (including any Finalist Submission or the Winning Submission) will be removed from the Contest.

13. CANCELLATION OF THE CONTEST 13.1 Sadler's Wells may, in its sole and absolute discretion, cancel, amend or suspend the Contest (in whole or in part) if for any reason the Contest (or any part thereof) becomes impossible or

impractical to complete or if any malfunction, event or activity occurs that may adversely affect the integrity of the Contest (or any part thereof).
