WELCOME

The 30th Annual CBAA Convention is being held October 11 – 13, 2009 in beautiful South Lake Tahoe at Harrah’s
Casino and Resort. Every year the CBAA convention is designed to provide a forum for education, information
and networking opportunities. You don’t want to miss this convention.
We start off the convention on Sunday with an exciting “NO-LIMIT TEXAS HOLD’EM” Poker Tournament across
the street at Harvey’s Hotel and Casino and then we end with our traditional Welcome Reception.
Monday will be an exciting and informative day. We have an opportunity to hear about the latest threat to the bail
industry by the Credit Card Kiosks sprouting up all over the state. We will hear about what’s happening with
Pre-Trial in Santa Clara County and elsewhere. But the highlight of the day will be talking to many of our elected
officials and candidates for California Department of Insurance Commissioner . In addition, CBAA and GSBAA
have planned a reception for our own Assemblyman Curt Hagman. Curt is the first bail agent to be elected to the
California State Assembly. We are all so very proud to have someone in the Legislature that understands the
bail industry. Then we end the evening with our 30th Anniversary Dinner and the ever so popular Bocce
Tournament.
Tuesday we will hear from representatives of the local Bail Agents Associations as well as what’s new and
happening with the Fugitive Recovery Agents. We will be showcasing our new Website. In case you haven’t
noticed, we have a new look (www.cbaa.com) It is very interactive and friendly. We will also be announcing two
new courses for our online continuing education classes. Just as exciting, CBAA will be honoring a very special
bail agent, Don Armstrong and announcing the new officers and board of directors at our luncheon . Our
sessions will end at 3:00 p.m. This is a later than in the past so be sure to plan your airline reservations.
Elections will be held on Monday for the Officers and on Tuesday for members of the Board of Directors serving
by Appellate District Regions. Nomination forms are included in this brochure. Time to get involved?
Let’s not forget our vendors. This is a good opportunity to see what is new and exciting. Most importantly, don’t
forget to renew your membership. This will include the remainder of 2009 and all of 2010.

SPEAKER HIGHLIGHTS

Hector DeLaTorre, Assemblyman, 50th AD

Hector DeLaTorre has spent his career standing up to powerful special


interests to protect workers, consumers and taxpayers. He has taken on
the tough fights - and won.

With a focus of cracking down on wasteful spending, Assemblyman


DeLaTorre chairs the Assembly Committee on Accountability. This new
committee is digging into the state bureaucracy to make sure our tax dollars
are spent wisely. In just three months, the committee that includes
Assemblyman Curt Hagman has identified millions in savings for taxpayers.
Recently he met with several bail agents expressing concern about the lack of enforcement by the
Department of Insurance as well as pointing out the fact that surety bail provides public safety and
accountability at no costs to the taxpayers.

Elected to office in 2008, Assemblyman Curt Hagman is the owner of Apex


Bail Bonds in Pomona. He serves as the Vice Chair of the Public Safety
Committee and is a member of the Committee on Accountability and Admin-
istrative Review as well as Aging and Long Term Care and the Joint Legisla-
tive Audit Committee. In addition Assemblyman Hagman was appointed to
three additional Committees. They are the Select Committee on Aerospace,
the Select Committee on Ports and the Joint Committee on fisheries and
Aquaculture. To say he is a busy man is an understatement.

The bail industry is fortunate that finally there is a representative in the State
Legislature that knows and understand what we do. We are so very proud of
his accomplishments. Assemblyman Hagman will be available on Monday
evening at a special reception in his honor.

Carmen “Nuch” Trutanich, Los Angeles City Attorney

Supported by the well respected Los Angeles County District Attorney Steve Cooley and
Los Angeles County Sheriff Lee Baca as well as many individuals from the bail bond indus-
try, “Nuch” avoided a run-off election with an impressive victory this year. He ran on a
platform of “crime fighter.”

Both City Attorney Trutanich and his wife Noreen were guests of CBAA at our convention
last year. Bail Agents from Los Angeles and beyond held fundraisers and meetings with
the new City Attorney sharing the concerns of the hardworking, independent agents
throughout the state.

He understands the value of the bail industry and would like to help. Despite his busy schedule, he wants to return and share
his unbelievable journey into public office. In addition, we may hear of the efforts being made to look into illegal solicitation in
the City of Los Angeles.

The CBAA will conduct elections for Area Directors and Officers during its Annual Convention October
11-13, 2009, Harrah’s Resort & Casino, South Lake Tahoe

Nomination eligibility requirements are outlined in the relevant Bylaw sections provided below.

Memberships and Voting Rights

3.1 Membership:

The CBAA shall be composed of those individuals who have qualified for membership under
paragraph 3.2 and have paid their annual dues. Membership shall be effective upon acceptance
and approval of the membership application by the Board of Directors or its designee shall be
contingent on the payment of dues, as established and modified from time to time by the Board of
Directors. By 2/3 majority vote, the Board of Directors may designate additional categories of
membership to those contained herein as well as the qualifications, rights and restrictions
applicable to such members. The categories of membership shall include:

3.2 Membership Classes:

CBAA recognizes six types of memberships:

A. Full members are those individuals who are licensed by the authorized governmental
agencies within the State of California to execute surety bail bonds for the public sector, and
pay 100% of the annual dues. Full members retain full voting privileges on all matters
presented to the general membership of the CBAA.
B. Agency Membership shall consist of 2 Full Members and unlimited Agency Associate
Members. The 2 voting members must meet the same qualifications as Full Members under
section 3.2A.
C. Agency Associate members are employed by an Agency Member and must meet the
qualifications of a Full Member under 3.2A and will have all rights and privileges of Full
Members, except voting rights. An Agency Associate membership is not transferable.
D. Associate Members are those individuals who are not eligible for membership pursuant to
3.2A but desire to contribute money to the Bonding Profession. Associate members do not
have voting privileges, but may attend all meetings.
E. Honorary Member is a person who has performed notable service for the Association or
industry, may become an Honorary member of the Association. Honorary members shall be
entitled to any of the privileges of membership without the payment of dues but shall not be
entitled to vote or hold office. Honorary membership shall be valid until death unless

suspended or revoked for good causes by unanimous vote of the Board of Directors present
and voting at any regularly constituted meeting.

F. Life members are individuals who are licensed by the authorized governmental agencies
within the State of California to execute surety bail bonds for the public sector, and either pay
the dues established for life membership or are awarded one by the Board of Directors. Life
members retain full voting privileges on all matters presented to the general membership of the
CBAA.

3.3 Members Duties:

Each member is obligated to comply with these Bylaws and to meet all financial obligations to
the Association in the time and manner specified. Each member is expected to cooperate fully
with appropriate officials of the Association with respect to Association matters including official
inquiries and requests concerning compliance with the terms of these Bylaws of the Association.

4.1 Number and Term of Board of Directors:

The direction and management of the affairs of the Association and the control and disposition of
its properties and funds shall be vested in a Board of Directors which shall consist of twelve (12)
Area Directors, all elected officers of the Association and the immediate past President of the
Association. The Area Directors of the Board shall consist of two (2) members from each of the
six (6) Appellate Districts of California (with the exception that San Francisco will reside in
District 2), to be elected every two years by the majority vote of the members present and voting
at the Annual General Membership Meeting during the odd-numbered year. The term for which
the Board Members shall serve on the Board shall be two (2) years, beginning on January 1 of the
year following the election.

4.5 Eligibility:

The Members of the Board of Directors must qualify under 3.1, who have consented, prior to
their nomination and election, to serve on the Board. Officers elected at the same annual meeting,
salaried employees of the Association, practicing attorneys and employees of similar Associations
may not be nominated to serve on the Board of Directors. No nomination for the position of
Director of the Association shall be accepted, unless nominated by a current member of the
Association.

5.1 Election:

The officers of the Association shall be the President, Vice President, Secretary, Treasurer,
Parliamentarian, and such other officers as may be determined by the Board. The members shall
elect the officers at the Annual General Meeting during the odd-numbered years. The officers so
elected shall hold office for a period of two years until their successors are elected and qualify. If
a person is elected as an officer, he or she may not be nominated or elected as a director at the
same Annual meeting. In order to qualify for election as an officer, a person must meet the
eligibility requirements of Section 4.5 of these Bylaws and must have held a California bail
license for five (5) or more years, must have attended two (2) of the last four (4) annual general
meetings, and have served at least one full term as a director or officer of the Association unless
written valid excuse is offered and approved by the Board of Directors at least 90 days prior to
the election.
