PROJECT INFORMATION BRIEF


1 INTRODUCTION:
1.1 PROJECT BACKGROUND
Telangana State Road Transport Corporation (TSRTC) is one of the largest Public
Transport Corporation in the World, envisages developing Commercial Zone at
Musheerabad, Hyderabad with Private Sector Participation.
TSRTC owns a prime land in Musheerabad admeasuring 9.14 acres (36,987
Sqm) and envisages commercial development on Build Operate Transfer
(BOT) basis. BOT may be planned in the entire land of 9.14 Acrs or in two
parcels of 4.57 Acrs each with construction of Bus Station / Bay in 0.50
Acres in SE corner of the Land for TSRTC use. EOI for land parcel less than
4.57 Acres will not be considered for EOI evaluation.
The project is structured in such a way that Private Sector Participation is
anticipated for developing the Commercial property. The project will be
developed and established under pre-specified performance standards.
The present project is proposed to be implemented on Public Private Partnership
(PPP) format. Under this format, the private sector shall be responsible for
financing, executing, operating and transferring the facility to TSRTC after
authorization period. TSRTC shall define minimum development Obligations for
the private sector, yet leave adequate flexibility for the developer to build the
project in response to market demand and hence optimize collective returns.

1.2 OBJECTIVES AND STRUCTURE

The objective of the scheme is to provide the project implementation structure


along with the sensitivities based on the market research conducted.
Accordingly, the Project Information is structured in the following sequence:

2 PROJECT LOCATION
2.1 LOCATION
The project site lies in Musheerabad, within the limits of Greater Hyderabad
Municipal Corporation (GHMC), Beside Bus Bhavan near RTC cross Roads. The
total area of the site is 9.14 acres (3.70 Ha). The actual extent of land may vary
based on the width of the abutting roads as per master plan prepared by HMDA
/ GHMC.

2.2 SITE CONNECTIVITY


Proposed site is well connected with all parts of the city. Distance of proposed
site from various destinations is given in the Table-1. Musheerabad is
strategically located on major routes connecting Hyderabad with other districts
of Telangana. The proposed Hyderabad Metro Rail alignment also passes
through RTC Cross Roads, which will give good accessibility to the commercial
development.

2.3 SITE AND ITS SURROUNDINGS

The proposed site is centrally located in the city. Many high-density residential
areas are located in the vicinity of the site. At present Musheerabad is marked
with lots of scope for creation of entertainment facilities like multiplexes,
gaming zones, multibrand stores, furniture malls, electronic zones, Textile parks
etc., Table-2 below gives the details of the surrounding colonies and
institutional areas near the proposed site.

For the purpose of the commercial development the land use of the site has
been converted in to Commercial from Industrial Land use. Table 3 below gives
the details of the immediate surroundings of the site.

3 PROJECT COMPONENTS

A total contiguous land of 9.14 acres (3.70 Ha.) is available for the proposed
project of Commercial Zone at Musheerabad. The actual extent of land may vary
based on the width of the abutting roads as per master plan prepared by HMDA
/ GHMC.

3.2 COMMERCIAL DEVELOPMENT

The Commercial Development Facility shall comprise of various facilities, which


shall be a function of domestic and socio-economic attributes and the real estate
demand potential of the proposed site. The developers will have the flexibility to
carry out their own assessment and planning, confirming to the development
control regulations for arriving at the best commercial use of the site.

4.1 ASSUMPTIONS FOR THE BASE CASE


To assess the viability of the project certain assumptions have been considered.
Table-5 below summarizes assumptions (based on Market feedback, which has to
be ascertained by the intending Agency before bidding for this project).

(*) Tentative location of bus bay is shown in Fig(1) & (2) and also areas to be
constructed bus station/bay which may vary at the time of planning of the same.
Necessary alternate proposals for construction of bus station/bay in 0.50 Acres
of land have to be prepared by the successful bidder and approval of TSRTC has
to be obtained for execution.

4.2 ESTIMATED PROJECT COST


Project Cost has been estimated based on the permissible built up areas, inputs
from similar projects under implementation and the consultant team opinion.
The total estimated landed project cost is around Rs 350 Crs (Rupees Three
Hundred and Fifty Crores) for 9.14 Acrs and Rs.175 Crores for 4.57 Acrs land
parcels. The cost will vary depending upon the value additions in the facilities
proposed.

5. IMPLEMENTATION STRUCTURE
5.1 RECOMMENDED IMPLEMENTATION STRUCTURE

The project is proposed to be implemented through a Public Private Partnership


(PPP) model. The implementation will be through a Special Purpose Company
(SPC) wherein the Developer selected through a competitive bidding process
would enter into an Authorization (Concession) Agreement with TSRTC to
Develop Build Operate and Maintain the Commercial Facilities over the pre-
agreed Authorization period and Transfer the same to the TSRTC at the end of
the Authorization period.

5.2 INSTITUTIONAL STRUCTURE

The project would be implemented through a Special Purpose Company (SPC).


The SPC would be established by the selected private developer/consortium,
wherein developer/consortium would hold minimum of 51% of the equity capital
of the SPC. TSRTC would provide land to the SPC on a lease of 33 years (including
construction period) through a binding Lease Deed. TSRTC will also offer Right
of first Refusal for operating the facility for, another 25 years, on accepted
conditions

5.2.1 Role of Developer

The Developer should achieve financial closure and implement the project. It
would be the responsibility of the Developer to undertake planning, design,
construction, commissioning, marketing, operation and maintenance of the
Project facilities including the Minimum Development Obligations. The Developer
would be encouraged to use innovative technology and design for creation and
expansion of the project facilities as per the market demand and subject to the
design fulfilling the requirements and performance criteria stipulated by TSRTC

5.2.2 TSRTC Responsibility

TSRTC shall be responsible to give land on lease with clear title free of
encumbrance to the Developer for developing the Project components. The land
required for creating the Project Facilities will be leased to the Preferred
Bidder/Developer over the Authorization Period in terms of the Authorisation
Agreement.

5.3 AUTHORISATION PERIOD

Considering the market practice an authorization period of 33 years have been


taken in to consideration, which includes the construction period i.e construction
period of 3 years. TSRTC will also offer Right of First Refusal basis for operating
the facility for, another 25 years, on accepted conditions

5.4 Authorization Agreement

TSRTC shall enter into an Authorization Agreement with the Preferred


Bidder/Developer, giving the requisite rights for construction, operation and
maintenance of the project facilities throughout the authorization period. The
responsibility for regulating as per the Authorization Agreement will rest with
TSRTC. At the end of the Authorization Period, the Project Facilities, which are to
be in a fully operational and satisfactorily maintained condition, would be
transferred to TSRTC.

INSTRUCTIONS FOR EOI SUBMISSION


1 Telangana State Road Transport Corporation (TSRTC) intends to develop the
proposed project on Public-Private-Partnership basis. The model of the tender
can be Joint Venture/BOT/Any other Model which provides highest financial
benefit to TSRTC.

2 INVITATION:
TSRTC invites Expression of Interest (EOI) from Developers / Investors /
Operators of TSRTC to plan, design, finance, construct, operate, maintain and
manage the proposed project.

3 SUBMISSION OF EOI:

The EoI shall include:


Company/ Organization Profile giving details of current activities,
background of promoters and management structure etc.
Details of similar & other projects of similar magnitude successfully
implemented in the past five years including period of implementation, cost
and project features.

A detailed project report consisting of


1) Details of Project type to be taken up in the site.
2) Concept Plan
3) The estimated project cost (Line estimate)
4) The proposed revenue model of the project.
5) Project development Statement ( joint venture / BOT or any other
proposal).
6) The Technical Experience of the Firm / Agency.
7) The turn over for the last 3 years (ending 2015-16) and Net worth of
the Last year (2015-16) duly supported by P&L A/c and Balance Sheet
duly certified by the auditor with name & membership No.
8) Construction or development experience for the last 5 years (with
supporting document as proof as experience) as at Clause.4.

The firms are expected to make a presentation to TSRTC covering all


the above aspects.

shall enclose separate DD for Rs.11,450 (Rupees Eleven Thousand and
Four Hundred Fifty Only), inclusive of Tax, in favour of FA & CAO, TSRTC,
Hyderabad payable at Hyderabad on any Nationalized / Scheduled bank
(Excluding co-operative banks), towards cost of the Bid document along with
submission of EOI document.

The EOI document can also be obtained from EE (L & C), 3rd Floor, B-Block,
Bus Bhavan, RTC X Roads, HYD. from 12.01.2017 to 08.02.2017 between
10:30 Hrs to 17:00Hrs, on all working days on payment of Rs.11,450/-
(Rupees Eleven Thousand and Four Hundred Fifty Only), inclusive of Tax,
in the form of Demand Draft in favour of FA & CAO, TSRTC, Hyderabad
payable at Hyderabad on any Nationalized / Scheduled bank (Excluding co-
operative banks), towards cost of the Bid document.

EOI shall be submitted with Bid processing fee of Rs.57,250/- (Rupees Fifty
Seven thousand two hundred and fifty only) for the bidders who obtained the
EOI document from TSRTC on payment of cost of document and also who
have downloaded from the website.

Sealed Bids accompanying the processing fee of Rs.57,250/- (Rupees Fifty


Seven thousand two hundred and fifty only) inclusive of Tax in the form of
Demand Draft drawn in favour of of FA & CAO, TSRTC, Hyderabad
payable at Hyderabad on any Nationalized / Scheduled bank (Excluding co-
operative banks), to be received not later than 15:00 Hrs on 10.02.2017.
The processing fee and EOI document cost are non refundable.

EOI offers will be opened on the same day of receipt at 16:00 Hrs. of.
Entrepreneurs or their Authorized Representatives (max of 2 persons) will be
permitted to be present at the time of opening of EOIs.

Note: The EOI without the Cost of EOI document and processing fee will
be rejected.

4 INITIAL ELIGIBILITY CRITERIA:

I ). BOT project in 9.14 Acrs of land as a single land parcel

a) Financial criteria:
The Developers / Investors / Operators should have
Average Annual Turnover of INR 150 Crores, in the three Financial Years ( FY
2013-14, FY2014-15, FY 2015-16)
And
Minimum Net-worth of INR 75 Crores at the end of the Financial Year
2015-16 ( as on 31.03.2016)

b) Technical Criteria: (Technical Qualification / Experience Criteria)


Bidder should have :

i. Developed / Constructed a single real estate Project of 5,00,000 Sq.ft


built up area (including parking) in the last five years before the date
of issue of RFP
OR

ii. Developed / Constructed a total built up area of 10,00,000 Sq. ft


(including parking) (Combined built up area considering not more
than five projects) in last five years before the date of issue of RFP.

II ). BOT project in 4.57 Acrs of land as a single land parcel


a) Financial criteria:
The Developers / Investors / Operators should have
Average Annual Turnover of INR 75 Crores, in the past three Financial Years
( FY 2013-14, FY2014-15, FY 2015-16)
And
Net-worth of INR 35 Crores at the end of the past Financial Year 2015-16
(as on 31.03.2016)
b) Technical Criteria: (Technical Qualification / Experience Criteria)
Bidder should have :

i. Developed / Constructed a single real estate Project of 2,50,000 Sq.ft


built up area (including parking) in the last five years before the date
of issue of RFP
OR
ii. Developed / Constructed a total built up area of 5,00,000 Sq. ft
(including parking) (Combined built up area considering not more
than five projects) in last five years from the date of issue of RFP.

Net Worth shall mean :


( i ) For Companies / Firms / Partnership Firms :
{(Subscribed and paid up capital / Share Capital + Reserves and Surplus)
(Revaluation Reserves + Miscellaneous expenditure not written off + Deficit in P & L
Account if any)} in the last financial year (as on 31.03. 2016) as per Audited Financial
Statements certified by Statutory Auditor / Chartered Accountant.

(ii) For Proprietorship firms / Individuals:


Total Assets Total Liabilities as on 31.03. 2016 as per Audited Financial Statements
certified by Statutory Auditor / Chartered Accountant.

5 Qualification through Affiliate :

The Bidder can draw upon the Technical Experience and Financial
Capability of one of its Associates. Associate means, in relation to the
Bidder/Consortium member, a person who controls, is controlled by, or is
under the common control with such Bidder/Consortium member. The
expression control means, with respect to a person which is a Company or
Corporation, the ownership, directly or indirectly, of more than 50% (fifty
percent) of the voting shares of such person, and with respect to a person
which is not a company or corporation, the power to direct the management
and policies of such person, whether by operation of law or by contract or
otherwise.

6 DEVELOPER SELECTION PROCESS:


Selection of Developer for implementation will be on the basis of bidding
process (Technical/ Experiential and Financial) in response to Request for
Proposals (RFP) to be invited by TSRTC Commercial Department subsequently.
TSRTC Commercial Department reserves the right to :

a) Invite bids only from those firms, who expressed their interest in response to
this invitation and meet the above initial eligibility criteria ie., to issue RFP
and take financial Bid only.

b) Or Alternatively, to call for fresh RFP and take both technical and financial Bid
and open the financial quote of those who qualify technically along with
those who qualified in the EOI.

c) TSRTC Department reserves the right to reject any or all EOIs received without
assigning any reasons.

7 EOI SUBMISSION:
The cost of bid document in the form of DD shall be enclosed for Rs.11,450
(Rupees Eleven Thousand and Four Hundred Fifty Only), if EOI downloaded
from the website.

EOI shall be signed by authorised signatory on all the pages including all
enclosures and submitted with Bid processing fee of Rs.57,250/- (Rupees Fifty
Seven thousand two hundred and fifty only) for the bidders who obtained the
EOI document from TSRTC office on payment of cost of document and also
who have downloaded the documents from the website.

NOTE : EOIs without cost of bid document and Bid processing fee will be
rejected.

EoI shall be submitted clearly super-scribing the envelope EoI for


DEVELOPMENT OF COMMERCIAL PROJECT AT MUSHEERABAD , HYDERABAD
DISTRICT, TELANGANA, India before 15.00 Hrs (IST) on 10.02.2017 in the
chamber of Chief Civil Engineer, 3rd Floor, B-Block Bus Bhavan, Musheerabad,
HYDERABAD.

Submission of EoI by fax, email or other electronic means will not be accepted. It
is the responsibility of the interested party alone to ensure that its EoI is
delivered at prescribed address by the stated deadline. TSRTC Department shall
not be held responsible for any delay in delivery or lost in transit cases.

Presentations by the firms would be as per the dates communicated by TSRTC.
