Q2 2016: Market Update And Observations
Strategic Activity Rebounded In Q2 Led By Symantec’s Acquisition Of Blue Coat.
§  There were some notable declines during Q2 – our High Growth Cybersecurity comps were -6% Top 5 Movers in Q2
while our Low Growth Cybersecurity comps were -5%, relative to the NASDAQ which was -1%,
the S&P 500 which was +2% and the HACK index which was relatively flat 18% 14%
Valuations §  Over the last 12 months valuations have rerated, with median forward multiples down ~50% for 17%
our cybersecurity company universe. Notables include FireEye, Palo Alto and Splunk, whose 33% 25%
forward multiples are down 72%, 51% and 46%, respectively
§  Cybersecurity M&A activity in 1H16 reached $5.6B; total announced M&A volume in 2Q16 totaled
$5.0B and 31 deals
Exits: M&A & §  There were several notable M&A transactions during Q2 – Symantec acquired Blue Coat for $4.7B
and Cisco acquired CloudLock for $293M, marking its 4th security acquisition over the last 12
IPO Activity months totaling roughly $1.5B
§  Optiv is planning an IPO in 2H16; Carbon Black, Veracode, Tenable, and Zscaler remain on hold

§  Q2 saw a large decline in the amount of large rounds, reaching its lowest funding quarter since
1Q15; there was only one deal announced larger than $50M in funding– Cylance ($100M)
Investment §  2Q16 funding volume reached $775M and 62 deals compared to $1.6B and 58 deals in 1Q16
Activity §  Approximately 60% of deals were early stage (Seed – Series A) with a median amount raised of
$3.7M; the remainder consisted of late stage (Series B+) with a median amount raised of $20.0M
§  Return of the Consolidators: April & May marked the first time in more than a year that none of the
consolidators announced an acquisition. That changed in June with Symantec (Blue Coat) and Cisco
(CloudLock) coming back to the table. Major moves will be made…who will be next?
