DEED OF SALE WITH PACTO DE RETRO

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Sale with Pacto de Retro made and executed by and between:

TONY STARK, Filipino , of legal age, single, with residence and post-
office address at 323 Avengers Drive, Malibu Village, Quezon City,
hereinafter called the VENDOR, and

CAPTAIN AMERICA, Filipino, of legal age, single, with residence and

post-office address at 324 Avengers Drive, Malibu Village, Quezon City,
hereinafter called the VENDEE.

That the VENDOR is the absolute owner of a parcel of land located at

Bagong Buhay Paraiso, Province of Tarlac and covered by Transfer Certificate
of Title No. 1234567890 with a total area of 1 hectare more or less and
particularly described as follows:

TRANSFER CERTIFICATE OF TITLE NO 1234567890

A 1 hectare parcel of land with an 800 square meter house, with
5 bedrooms and 4 bathrooms, 2 living rooms, and garage for 6 cars.

That the VENDOR, a retro, in executing this conveyance, hereby

reserves the right to REPURCHASE and the VENDEE, in accepting the same,
hereby obligates himself to RESELL, the property herein conveyed within the
period of 5 years from and after the date of this instrument, for the same
price of ONE HUNDRED MILLION PESOS (P100,000,000.00), Philippine
currency;

Provided, however, that if the VENDOR shall fail to exercise his right
to repurchase as herein granted within the period stipulated, then this
conveyance shall become absolute and irrevocable, without the necessity of
drawing up a new deed of absolute sale, subject to the requirements of the
law regarding consolidation of ownership of real property.

IN WITNESS WHEREOF, the parties hereto have hereunto set their

hands this 22 day of July, 2018, in Quezon City, Philippines.
